CROSSING AGREEMENT

This Crossing Agreement ("Agreement") made this �day of c"F'7�?✓�i��:)=-2013, by and between
Millennium Telcom, LLC dba OneSource Commimications, having its principal place of business at 4800 Keller
Hicks Rd, Keller, TX 76244 ("OneSource") and the City of Fort Worth, TX ("City"), having its principal place of
business at 1000 Throckmorton, Fort Worth, Texas 76102.
WITNESSETH:
WHEREAS, OneSource has identified communications lines that are in conflict with the proposed BNSF
Railroad track relocation, an element of the overall Alliance Airport Runway Expansion project (the "ProjecY'); and
WHEREAS, OneSource holds easement rights and will grant the City crossing rights pursuant to the track
relocation for the Project; and
WHEREAS, City agrees to compensate OneSource for the certain eYpenses incurred by OneSource related
to the Railroad track relocation and for the granting of crossing rights as requested by the City of Fort Worth.
NOW, THEREFORE, in consideration of mutual promises contained herein, the parties agree as follows:
1. OneSource ag►•ees to provide the City rights to cross its existing communications lines in lieu of relocation,
as is more fully described in E�chibits A& B.
2. City agrees to compensate OneSource in the amount of $25,000.00 (twenty-five thousand dollars) for
crossing rights, partial waiver of surface rights, as well as for any installation of facilities necessary for OneSource
to access its communications lines within the crossing area.
3. The City will stake the BNSF running lines over the OneSource easement and the OneSource easement at a
mutually acceptable time.
4. The parties agree to exercise all due caution while causing any work to be done near the other party's
existing or newly placed facilities in order to prevent damages to the other's existing or newly placed facilities.
5. OneSource agrees to indemnify and hold harmless the City, its officers, agents and employees, against and
fi•om any and all liability, loss and expense and shall defend all claims resulting from loss of life or damage or injury
to persons or properiy directly or indirectly resulting from the work perfarmed by OneSource to the extent such loss,
damage or injury, is caused by the negligence or willful misconduct of OneSource or its agents or arises out of or in
connection with the installation or access of facilities for its communications lines. As a necessary condition for
such indemnity to be enforceable against OneSource:
(i) OneSource shall be notified in writing promptly of any and all claims, liability, loss and expense
for which City seeks indemnification from OneSource, and
(ii) OneSource shall have sole control of the defense of any and all claims, liability, loss and expense
and all negotiations for their settlement or compromise.
6. This Agreement shall be enforceable in Texas, and if legal action is necessary by either party with respect
to the enforcement of any or all of the terms or conditions herein, exclusive venue for the same shall lie in Tarrant
County, Texas. This Agreement shall be governed by and construed in accordance with the laws and court decisions
of the State of Texas.
7. It is anticipated that the City will assign its rights under this Agreement to the BNSF Railroad Company
and prior written consent of OneSource shall not be required.
8. This Agreement shall be binding upon and inure to the benefit of the parties to this Ageement and their
respective heirs, executors, administrators, personal representatives, legal representatives, successors and assigns.

9. In case any one or more of the provisions contained in this Agreement shall for any reason be held to be
invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any
other provision of the Agreement, and this Agreement shall be constructed as if such invalid, illegal, or
unenforceable provision had never been contained in the Agreement.

PARTIAL WAIVER OF SIJRFACE RIGHTS
Whereas, Lennar Homes of Texas Land & Consttuction, Ltd., as Grantor, entered
into a 10-foot utility easement with Millennium Telcom, LLC dba OneSource
Communications, as Grantee, for a Communication Facility covering 46,508 square feet
of land in the Greenberry Overton Survey, A-1185, Tai-�ant County, Texas, being the
same land described in Instrument Numbers D2100200017 and D208058777, County
Records, Tarrant County Texas. The 10-foot utility easement was undated and recorded
on April 5, 2011, under Instrument Number D211080049.
Whereas, the utility easement prohibited erecting or permitting to be erected
permanent structures over the Communication Facility;
Whereas, in connection with the Alliance Airport Runway Extension Project, the
BNSF Railway Company will construct a railroad track over land identified as Parcels
23-1 and 23-2 that contains a portion of the Communications Facility as described in the
attached E�ibits "A" and "B"; and
Whereas, Millennium Telcom, LLC dba OneSource Communications wishes to
waive partially the easement prohibition for the erection of permanent structures over its
Communication Facility so BNSF Railway Company may construct, operate, and
maintain a railroad track on Parcels 23-1 and 23-2;
Now, therefore, Millennium Telcom, LLC dba OneSource Communications
hereby waives its right to prohibit erecting or permitting to be erected permanent
structures over the Communication Facility upon the surface of the property identified in
the attached E�ibits "A" and "B." The partial waiver of surface rights is a covenant
running with the land and shall be binding upon Millennium Telcom, LLC dba
OneSource Communications' successors and assigns.
