ASSIGNMENT
For value, received TCF National Bank ("Assignor"), hereby assigns to The Huntington
National Bank("Assignee"), all of its right,title and interest in and to any and all sums of money
now due or to become due from the City of Fort Worth to Assignor under CSCO 54914 (the
"Contracts") and Assignee agrees to assume and perform all duties and obligations required by
Assignor under the terms of the Contracts.
This Assignment constitutes the entire agreement between Assignor and Assignee with
respect to the subject matter hereof. No modification of any provision of this Assignment shall
be effective unless in writing and signed by Assignor and Assignee. This Assignment shall inure
to the benefit of and be binding upon Assignor and Assignee and their respective successors and
assigns. This Assignment shall be governed by the terms of the original Contracts between
Assignor and various other entities and the City of Fort Worth and the laws of the State of Texas,
without application of principles of conflicts of law.
This Assignment may be executed in one or more counterparts each of which shall be
deemed an original but all of which together shall constitute one and the same instrument.
Signed signature pages may be transmitted by facsimile or e-mail, and any such signature shall
have the same legal effect as an original.

Hi Tracy,
I have to agree with the vendor here because TCF is no longer a viable entity. So, they have no
signatory authority to assign anything. I think the legal confirmation that the entities have
merged and the letter confirming the assignment of the lease should be sufficient.

It's unclear from your email whether you expect such letter to come from TCF, but if so, that won't
be possible. We can provide a letter on Huntington letterhead that says that all payments owed to

I think the confusion is that I am not implying TCF/Huntington requires the City's (lessee's) consent
to assign the lease agreement. Rather, the City simply wants a formal letter stating the City has TCF's
consent to assign its right to receive payment to Huntington.The City will accept the letter and TCF's
consent as its authorization to issue payments to Huntington. We are not asking that Huntington
seek our consent to assign the contract.

Thanks. Regarding the consent of assignment, I think that's what created the initial issues. Under the
Master Lease/Schedule, the lessee's consent is not required for an assignment. Additionally, courts
have consistently held that a merger is not impacted by anti-assignment provisions unless the
provision specifically references either"mergers" or"assignments by operation of law". All that to
say that we don't view this as an assignment (or at least not one that would be captured by the
assignment provision in the contract), but even if it were, lessee's consent to such assignment is not
required. If you think such consent is required, please reference the specific section and I'll double-
check.

Sorry for the confusion as to the "assignment" portions of our procedure.The consent of assignment
and letter requesting assignment would relate to the written contract between our clients.The City
Secretary would then file those documents as a record of the assignment of that contract, and,
afterward, the City would "assign" the internal contract to match the newly assigned written
contract.

Good Morning,
Thank you for reaching out. Yes, for this contract there seem to be a few minor issues that are
preventing the City from issuing payment and I was hopeful we could get them ironed out relatively
easily.
I understand that TCF has merged with Huntington National Bank. So, let me first explain a few steps
of internal procedure/policy for the City that are relevant for our purposes. When the City enters
into a contract with a vendor, the City's purchasing department issues an internal "contract"through
the City's customer service management software, called PeopleSoft, in the name of that vendor.
This internal "contract" allows the department, in this case the Park & Recreation Department, to
have payments issued to the vendor when an invoice is received. A part of the purchasing
department's role is to ensure the payments are issued appropriately; and they use the information
in the PeopleSoft software to ensure that is done. City procedure, established by our administrative
regulations, require an assignment of that PeopleSoft contract when a name change, acquisition, or
merger of the particular vendor occurs. Meaning, the department cannot simply issue payment to
the new entity without following a certain procedure.
Part of that procedure requires that we obtain the following: (1) a letter from the vendor, on
company letterhead, requesting that we assign the contract to the new entity name that explains
why it is necessary(i.e. the vendor merged with another entity); I'm unclear on this. Are you
referring to an assignment of the "internal contract"?Since that's an internal contract, I'm not sure
why we would need to request an assignment since that seems like more of an internal process
issue. (2) when the merger became effective; 6/9/21. See attached "OCC Merger Certificate" (3) a
copy of the certificate of merger, or other legal document showing the merger; See attached "OCC
Merger Certificate" (4) a completed W-9 request for taxpayer identification number; See attached.
and (5) a consent of assignment signed and notarized Same question as item 1 above. We then ask
the vendor to register on the City's supplier portal to verify the name and tax id number.
In our case, the department is receiving invoices in Huntington's name. However, so far, our efforts
to obtain the above information have been refused. Instead, we have been given a press release
discussing the merger. Obviously, with our contract being in TCF's name, having invoices seemingly
go to Huntington creates confusion on our end. I believe the reasons provided to the department for
refusing to provide the above information have been: (1)the merger is not effective yet; and (2)
when the merger is effective,TCF intends to operate under its existing name.With respect to item
(1), the merger was effective on 6/9/21. As to item#2, TCF no longer exists.The surviving entity is
The Huntington National Bank.
So, our issues seem to be: (1) can you re-issue invoices in TCF's name, and not Huntington, if the
above statements are true; or(2) can you provide the City with the information outlined above so
that we may properly document the merger with Huntington and issue payment?

Lease"),and(ii)Equipment Schedule(Fair Market Value Purchase Option)dated as of August 31,2020 (the"Schedule"and
together with the Master Lease",the"Lease"),each originally entered into by and between the City of Fort Worth("Lessee")
and TCF National Bank("TCF").
As of June 9,2021,TCF merged with and into The Huntington National Bank("HNB"),with HNB being the surviving
