PROFESSIONAL SERVICES AGREEMENT
This PROFESSIONAL SERVICES EN "Agreeme ') is made and
entered into by and between the CITY O T the "City"),, a home rule
municipal corporation situated in portions of Tarrant, Denton and Wise Counties, Texas, acting
by and through Fernando , its duly authorized Assistant City Manager, and CORBIN.
DESIGN, INC., ("Consultant"'),, a Michigan corporation and acting by and through Shelley
Steele, its duly authorized vice-president.
1. SCOPE OF SERVICES.
1.1 Consultant hereby agrees to provide the City with professional consulting
services for the purpose of wayfind r g design, documentation and
implementation., Attached hereto and incorporated for all purposes nc dent to
this Agreement is Attachment "A," Scope of Services and Attachment
Project Schedule, more specifically describing the services to he provided.

1.2 Additional services, if any, will be requested in writing by the City. City shall.
not pay for any work performed by Consultant that has not been. ordered in
writing. It is specifically agreed that Consultant shall not be compensated for

4. TERMINATION.
4.1. Written Noti.ce.,
The City or Consultant may terminate this Agreement at any time and for any
reason by providing the other party with 30 days written notice of termination.
4.2 Non-,pMrppdation,offunds.
In the event no funds or insufficient funds „ e appropriated by the City it are

for which appropriations were received without penalty or expense to the City of

6. RIGHT TO AUDITO
Consultant agrees that the City shall, until the expiration of three (3�) years after final
payment under thi.s co�ntract, have access to and the right to examine at reasonable times any
directly pertinent books,, documents, papers and records of the consultant involving transactions,
relating to this, C'o�ntract at no additional cost to the City. Consultant agrees that the City shall
have access during normal working hours to all necessary Consultant facilities and shall be
provided adequate and appropriate work space in order to conduct audits in compliance with
the provisions, of this, section. The City shall give Consultant reaso�nab�le advance notice of
intended audits.
Consultant further agrees, to include in all its s'ubcontractor agreements hereunder a
pr�ovision to the effect that the subcontractor agrees that the City shall, until expiration of three
(3) years, after final payment of the subcontract, have access to and the right to examine at
reasonable times any directly pertinent books, documents, papers, and records of such
subcontractor involving transactions related to the subcontract, and further that City shall have
I al working hours to all subcontractor facilities and shall be provided

7. INDEPENDENT CONTRACTOR.

Agreement, Consultant shall have the exclusive right to control the details, of its, operations and
activities and be solely res,po�nsib�le fo�r the acts and omissions of its officers, agents, servants,,
employees, contractors, and subcontractors. Consultant, acknowledges that the doctrine of
respondeat superiot 14 shall not apply as between the City, its officers, agents,, servants and
employees, and Consultant', its offlicers, agents, employees, servants,, contractors and
subcontractors. Consultant further agrees, that nothing herein shall be construed as the creation
of apartnership or joint enterprise between City, and Consultant.

Consultant shall not assign or subcontract any of its duties, obligations or i ghts unde
this Agreement without the prior written consent of the City. If the City grants, consent, to an
assignment, the assignee shall execute a written agreement with the City and the Consultant
under which the assignee agrees to be bound by the duties and obligations of Consultant under
this Agreement. The Consultant and Assignee shall be jointly liable for all obligati,ons under this
Agreement prior to the assignment. If the City grants consent to a subcontract, the subcontractor
shall execute a written agreement with the Consultant referencing this Agreement under which
the subcontractor shall agree tobe out by the duties, and obligations of the Consultant under
this, Agreement as such duties, and obligations may apply. The Consultant shall provide the City
with a fully executed copy of'any such subcontract.
104 INSURANCE.
Consultant shall provide the City with certificate(s) of insurance documenting policies, of

(d) The insurers for all policies must be licensed and/or, approved to do
business 'in the State of Texas. All *insurers must have a minimum rating
of A- VII -in the current A.M. Best Key Rating Guide, or hav easonab�ly
equivalent financial strength and solvency to the satisfaction of C sk
Management. if the rating is below that required, written approval of Risk
Managementis required.
( Any failure on the part of the City to request required, insurance
documentation shall not constitute a waiver of the 'insurance requirement.
(f) Certificates of Insurance evidencing that the Consultant has obtained all
required insurance shall be delivered to the City prior to Consultant
proceeding, with any work pursuant to this, Agreement.
11. COMPLIANCE WITH LAWS I L N
ORD NANCES R'U' ES AND REGULATIO S.
Consultant agrees to comply with, all applicable federal, state and local laws, ordinances,
rules and regulations. If the City notifies Consultant of any violation of such laws, ordinances,
rules or regulations, Consulta,nt shall immediately desist from and correct the violation.
12. NON-DISCRIMINATION COVENANT.,
Consultant 'for itself, its personal representatives assigns, subcontractors and successors,
in interest, as part of the consideration herein, agrees, that 'in the performance, of Consultant's
duties and obligations hereunder, it shall not discriminate, in the treatment or employment of any
individual or group of 'Individuals on any basis prohibited by law. if any claim arises from an
alleged violation of this non-di scrimi nation covenant by Consultant, its personal representatives,
assigns, subcontractors or successors in interest, Consultant agrees to assume such liability and
to indemnify and defend the City and hold the City harmless from such claim.
1.3. NOTICES,
Notices required pursuant to the provisions of this, Agreement shall be conclusively
determined to have been delivered, when (1) hand-delivered to the other, party, its agents,,
employees, servants or representatives,, or(2) received by the other party by United States Mail,

14. SOLICITATIONOF EMPLOYEES,
Neither the City nor Consultant shall, during the term of this, agreement, and additionally
for a period of one year after its termination", solicit for employment r employ, whether as

7. GOVERNING U.
This Agreement shall be construed in accordance with the laws of the State of Tars. If
any action, whether real or asserted, at law or m equity, is brought t n the basis of this
Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas or the
United States District Court for the Northern District of Texas Fort Worth Division.
18. S VERABILITY.
If any provision of this Agreement ins held by any court of competent Jurisdiction to he
invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining
provisions,ns, of this A ree ent shall not n ;any way he affecte r impaired.
19 FORCE MAJEURE.
The City and Consultant shall exercise their lest efforts, to met their respective duties
and o lig,ations as set forth in this Agreement, but shall not be bald liable for any delay or
omission in erf rmance due t force seas r other causes beyond their reasonable control
(fo�rce rna e re), including, but not limited to, compliance with any government law, ordinance
or regulation, acts, of God, acts of the public enemy, fires, strifes, lockonts, natural disasters,
ar , riot ateri,al or labor restrictions by any governmental authority, transportation problems
and/or,any other similar causes.
20. HEADINGS NOT CONTROLLING.
Headings and titles used in this, Agreement are for reference purposes only and shall not
he deemed ,a part of this Agreement.

21, REVIEW OF COUNSEL.

Agreement and that the normal rules of construction to the effect that any ambiguities are to be

No extension, modification or amendment of this Agreement shall be binding upon a

party.
23. ENTIRETY OF AGREEMENT.
This Agreement, including the schedule of exhibits, attached hereto and any documents,

City and Consultant, their ass,igns and successors in 'interest, as to the matters contained herem.
Any prior or contemporaneous oral or written agreement is hereby declared null and void to the
extent in conflict with any provision of this Agreement.
24. SIGNATURE AUTHORITY.
The person signing this agreement hereby warrants that he/she has, the legal authority to
execute this agreement on behalf of the respective party, and that such binding authority has, been

granted by proper, order, resolution, o�r�dina,nce or other authorization of the entity. The other
party is fully entitled to rely on this warranty and representation in entering into this,Agreement.

Bid Document consisting of the mat,erial' perfoirmisacs standards, general
conditions, 'I'bolilerpilate"' language necessary for a competitive bidding process,
and the bid form.,
The Sign Location Plans and SlIgn Message Schedules identify the, high-level public
wayfindingli signage, we have des,igrued for the proposed system, plot its location and define
its content. A Sign Location Plan is a site plan that graphically illustrates the preferred
location of each proposed s,ign from a wayfindiing standpoint, with: locations d icted as
accu�.urately as possible given the plan I s scale. A Si gn Message Schedule defines what each
sign gill say, ,identifies the sign type, and lists its location. It also notes whether any graphics
are i�ncluded on the sig!n, such as directional arrows, icons, or symbols.
The audit/demolition plan will then, be developed. This will include the addition, of existing
photo g�raphs and notes in the Slii , Message Sch dual .
We ask the CITY to review the Sign Location Plans and Sig n Message Sched�ul,es closely
for accuracy. We will modify these documents up to two times before asking for final
appr va,l.
Using the final Slign Location P'lans and Sign Message Schedules, we update the cost
estimate and develop a phasing plan for implementation of the si!gnage elements.

1) Professional Fees for seirvice�s are billed monthly according to the progress of the work
together with expenses incurred�, and are payable within 30, days,., No initial payment is,

sufficient to determine the amount of professional fees required, receiving approval from the
CITY before any additional services are provided., If the project is, not co�m�pletedi within 12

2�) Tra,ve�l Expenses, will be billed at the actual cost of'transploirtati:on and living expenses
incurred while perfoirming services on the project. Estimated travel expenses fo�r thiis plr,oject

stay within estimated budget guid�elines, we request that meeting dates be confirmed at

The documents provided as part of this proposal inc,lude a version o�f'each document in
electronic (Adobe PDF') format. For the purposes of timeliness and cost effectiveness, the
Blid Package will be issued to potential blidders in e,lect,roni,c form�at only. Preparation of
add�itioinal coplies may require additional general expenses.
4) Maximum Fees: These maximum fees, and expenses apply as long as the scope of the
work, remains the same, previously approved materials are not revised, and: the work
schedule proceeds directly and efficiently without a d�e�lay that exceeds six months. If It
appears that the maximum fees and expenses, co�uld be exceeded for reasons beyond our
controly we will notify you, and agree either on new fee and expense l�imits or a new strategy
for completing the project with�in the existing fees and expenses.
5�) Reactivation Compensation- If the project is suspended for longer than six months and is
subsequently reacti�va,ted, the CITY and Corblin Design shall, prior to reactivation, agree
upon a lump sum or other basis of reimbursement to, Corbin Design for any ext,ra start-�up
costs occasioned as a result of the wo�rk having been, suspended. The exception will be for
those items listed Force Majeure.
6), Leadership Changes: Should the CITY leadership change d!urinig the course of Corbin
Design's work, or should new entities,join, the leadership teami, necessitating additiona,l
client educationly Coirbin Design may ellect to put its work on, hold until a meeting is he�ld to
d�iscuss, project progress to date and future dir�ecti�oni, to assure a smooth transition. Corbin
Des,ign's time and expenses appl�icab�le to such meetingl if any, shall be paid by the CITY as
an additional expense along with associated fees.
7) Conditions and Responsibilities: The CITY, through the suppliers identified by itself and
Corbin Des,ign, will be ultimately responsible for ordering, purchasing, receiving and
verifying, the s,ignag�e,, supervising installation and authorizing final payment. Coirbin Design,
will not directly purchase or supply any specified items unless it is agre�ed upon prior to the

In dea,ling with contractors and suppliers, Corbin Design will act only as, a consultant to the
CITY, and the CITY will be so�le�ly responsibile for payments to contractors and suppliers who
might be Involved in the work as a re�s,ult of the design services provided by, Corbin Design.
Corbin Design will not be held responsible for the failure of contractors or suppliers to
satisfactorily perform under their agreements,with, the CITY.
The Sign Location Plans provided to the CITY by Corbin Design, are general in nature and
not to scale, and reflect locations, deemed desirable for the effectiveness of'the overall
wayfinding plan. They do not include exact, locations or provide mounting,, electrical or
lands,c,aping�, specifications. The investigation of actual exte�rior site conditions such, as
u�nde�rg�rounid utilities, as well as interior conditions including ceiling heigh�ts,,, wall widths and
other encumbrances is the responsibil�ity of the CITY and the sign contractor selected to
install the signs,.
Bid Documents prepared by Corblin Design show design intent, not construction or
engineering detail�. The fabricator is r�espons,ible for fabrication, installation, and overall
product quality. We expect the more d�etalled development and en�gineer,ing of I the design-
intent drawings, and installation, detail to be shown in the �fabirica,to�r's submitted shop
drawings. Corbin Design and the, CITY will review al�l shop drawings submitted by the
fabricator.
Although we would prefer to work with signage contractors mutually selected, by the CITY
and Corbin Designy we recognize that certain conditions may require that the co�mpetit,ive
bidd�i�ng process for the signage fabrication and i,nstall�ation be open: to, all bidders, regardless
of thei!r qualifications. Because an open bid pirocess, is requiredy we reseirv,e the right to,
adjust our fees for Task Four based on our evaluation of the qualifications of the su�cces,sf'u�l
bidder and the need for additional project, management on Corbin Design's part. We will
notify the CITY be�fore issuing a change order for these services.,
The CITY' is responsible for coordinating the, provision of electrical service to sign locations
that require electricity, working with the fabricator to set up s,ign installation schedules, and
foillowing up, with the fabricator to verify that all punch list items have been corrected to the
CITY's satisfaction.

Historic Stockyards. The program includes the following activities,*.
1. Dielsign� and implement a signia,ge system to direct vehicular and pedestrian traffic within the three
visiltor districts,. The signiage system will provide information about,attractions, parking facilities, bus,
routes, and rail stations (to, ble redesigned),- and
2. Develop and maintains an interactive welbisitel wilith information ablout plarkingl, transit,, and piolin�ts of
interest interest in the three visitor districts (completed': vmw.fortvviorthpg[����).

The project is funded wilthl a $556,300.00 relimblursement grant through the federal Congestion
Mitigation and Air Quality Improvement Program (CMAQ)administered by the North Central Texas
Council of Govern,menlits., 'The grant is, matched by locals funds and iin-lkind services of$3,86,5811.00
from Downtown Fort Worth, Inc.,, t'hel Cultural District Committeley Stockyards Station,, and the City, for
total project funding of$9142,881.00.
The attached project history describes the activities that,have occurred since the project bleigan�.
Given changes in federal sign design standards, concerns about ploltential sign clutter, new
devellopment, and changes in wayfinding best practices, and technology, the project partners have
determined the need to hii�re a wayfinding consultant,to redesign and implement the wayfinding
project,. The consultant fee will come from existing project funding.
'The scope of services, has been divided into two phases.: 1) evaluation oflexisting conditions, revlised

signage pillan, and preferred approach; and 2),final sign design, sign standards manual,, bid
documents and process, and oversight of sign fabrication and installation.
The recommended wayfinding consultantl Corblin Design, Inc., has pro posed to provide the
