HomeMy WebLinkAboutContract 53692-A1 CSC No. 53692-A1 FIRST AMENDMENT TO THE LEASE AGREEMENT This AMENDMENT ("AMENDMENT") OF FORT WORTH CITY SECRETARY CONTRACT(CSC)NO. 53692 is made and entered into by and between the City of Fort Worth, a home-rule municipal corporation of the State of Texas ("City"), acting herein by and through Dana Burghdoff, its duly authorized Assistant City Manager, and Omni Air International, LLC, a subsidiary of Air Transport Services Group,Incorporated("Tenant"),acting herein by and through Art Seabolt, its duly authorized Vice President Technology. City and Tenant are individually referred to as a"party" and collectively referred to as the "parties". WHEREAS, the City entered into CSC 53692 with Tenant on February 20, 2020 to lease approximately 26,151 square feet of space in the Structures Building located at 2070 Eagle Parkway, Fort Worth, Texas 76177 at the Alliance Fort Worth Maintenance Facility located at 2000 Eagle Parkway, Fort Worth, Texas 76177 ("Leased Premises"); and WHEREAS,the Tenant now desires, and the City has agreed, to increase the space of the Leased Premises in the Structures Building to approximately 53,436 square feet. NOW THEREFORE, in consideration of the terms set forth in the Lease Agreement, the parties agree to amend the Lease Agreement as of the executed date of this Amendment as follows: ARTICLE II.DEMISE; TERM Under Section 2.1(i), change 26,151 square feet to 53,436 square feet. ARTICLE IX.RENT,FEES,RENT CREDITS Delete Section 9.1 in its entirety and replace with: Base Rent. Tenant agrees to pay "Base Rent" to Landlord, without demand or notice, in advance in the following amounts (prorated on a per diem basis for any partial month) which are based upon a total of 53,755 square feet of the Leased Premises. DISCUSSION: Omni Air International, LLC (OAI) is a private airline that provides charter services around the globe for U.S. and foreign military troops, military family members, government employees and natural and humanitarian disaster relief. OAI is currently operating at the Alliance Fort Worth Maintenance Facility (AMF). OAI has requested additional lease space for storage and maintenance in the Structures building at the AMF. The City of Fort Worth Property Management Department and OAI have agreed to amend the current lease agreement (City Secretary No. 53692) under the following terms: Increase the leased premises in the Structures Building to approximately 53,436 square feet of space; and Revise the base rent payment schedule to include the additional square footage to the entire leased premises as follows: Term Price per Monthly Annually Square Foot Upon execution of this first amendment - March 2022 $1.00 per SF $4,479.58 $26,877.48 Year 3 $1.00 per SF $4,479.58 $53,775.00 Year 4 $1 .10 per SF $4,927.54 $59,130.50 F Year 5 $1.20 per SF $5,375.59 $64,506.00 This property is located in Council District 7.
