FOURTH AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 46273
This Fourth Amendment to Fort Worth City Secretary Contract No. 46273 ("Fourth
Amendment") is made between the City of Fort Worth ("Fort Worth"), a municipal corporation
and Scientel Solutions LLC, a Delaware Company("Vendor").
WHEREAS, Fort Worth and Vendor entered into an Agreement identified as Fort Worth
City Secretary Contract No. 46273 beginning December 17, 2014 and expiring on December 18,
2019 (the "Agreement"); and
WHEREAS, on or about October 7, 2015, the Agreement was amended via CSC 46273-
A 1 to terminate a previous Addendum and replace it with a separately executed Addendum and
modify Section 27.2 of the Agreement Federal Law Enforcement Database Access;
WHEREAS, on or about July 19, 2018, the Agreement was amended via CSC 46273-A2
to include hardware and software upgrade increasing the cost of the Agreement in the amount of
$2, 478,737.60;
WHEREAS, on or about December 19, 2019, the Agreement was renewed for its first
renewal term beginning December 19, 2019 and expiring on December 18, 2022;
WHEREAS, on or about May 1, 2020, the Agreement was amended via CSC 46273-A3 to
include a software upgrade at a one-time cost of$9,500
NOW THEREFORE,known by all these present, Fort Worth and Vendor, acting herein by
the through their duly authorized representatives, agree to the following terms, which amend the
Agreement as follows:
1. The Agreement is hereby amended to include an additional scope of work as
described in"Attachment A" attached hereto and incorporated into the Agreement.
2. The one time cost of the hardware and software upgrade is $70,618.55 and the cost
of the additional support and maintenance is $8,000.00 annually for a new annual
total of$246,152.08.
3. All other terms,provisions, conditions, covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect.

7. INTRODUCTION
Scientel Solutions is recommending that The City of Fort Worth upgrade their
existing 5620 SAM with the Nokia Network Services Platform(NSP)software to
take advantage of the latest feature sets for monitoring and provisioning the.
network and to avoid the restrictions that will result from having the end-of-life
5620 SAM in the network. By staying within the Nokia architecture,the city will
benefit from the native integration of the NSP and the rest of the Nokia devices
already in place in the network.This proposal describes a full turn-key upgrade
from the 5620 SAM to the latest version of the NSP.
The scope of work is turnkey in nature and will include the following major
elements:
• Replacing the existing 5620 SAM that is currently running version 14.0
software and is no longer supported at the end of 2020.
• Stand up an entirely new/redesigned hardware and NSP software running
NFM-P Standard to support the similar functionality of the current
5620SAM.
• New network provisioning will allow growth and a hardware platform that
will replace the current End-of-Life/End-of-Support software currently in
place that is critical in notification of MPLS network events,provisioning,
and mitigation.
• Additional network elements(Customer Equipment)can be added for
additional monitoring capabilities by the City of Fort Worth simply by adding
License.points required for the hardware to be monitored.
• Nokia Network Services Platform(NSP)will be utilized to provision new
customers and services but also quickly provide insight into network and
hardware related issues.
The benefits for City of Fort Worth include:
• The newest NSP software will allow for growth and expansion to the
newest capabilities that NSP has to offer allowing for the platform to
expand as additional services ofAnalytics and Customer Billing based on
capacity requires.
• Replaces End of Life and End of Support at the end of 2020 software
currently in place.
• The new solution will altow a centralized alarm monitoring solution for both
networks as well as environmental and access conditions.
• When the time comes to upgrade the existing MDR-8000 to the Nokia MPR-
9500 the system will be ready to monitor these elements at Day 1.

Scientel Solutions understands that if The City of Fort Worth is going to upgrade the
existing element and alarm manager into your existing network,the solution must:
1. Meet or exceed the current platform's reliability.
2. Not be at or near the end of its product Lifecycle.
3. Integrate seamlessly into the existing Network Management System and
provide the required information to that NMS.
4. Provide the flexibility of expanding capabilities due to customer request or
needs.
5. Be deployed in an extremely well-planned effort with fool proof transition
plans and safeguards in place.
6. Be supported by professional,trained and knowledgeable staff.
For these reasons we are proposing upgrading the existing 5620SAM to the Latest
and greatest hardware and software to support ongoing functionality and growth.
Nokia NSP will be utilized as a wholistic management tool for not only the MPLS
network but also the Optical Services Network to manage and maintain the
hardware,provision services,and monitor and generate usage as well as trending
analasis. The solution in place today requires a separate management of both the
Cisco Optical newtork as weLLas the Cisco Routing/Switching network. Below is
information on some of the aspects of what the tool can provide and why its
important to have a solutions that will Look at the entire network to provide
accurate reporting and management.
Key Differentiators:
The Nokia NSP provides operators with an abstracted and simplified way to define,
provision and activate network services across networks that can span multiple
Layers(Layer 0 to Layer 3),multi-technology services and physical/virtual
infrastructure,as well as equipment from multiple vendors.The Nokia NSP service
is intelligent,ensuring that services are mapped to the best available IP and optical
network paths.With optimization criteria and constraints specified at service
creation,operators can be confident that provisioned services are placed on
optimal paths.Whether to achieve Low latency,cost or utilization,and with service
requirements for bandwidth being met on demand.The NSP also continuously
adapts and optimizes the network in real time using flow redirection and self-tuned
adaptive routing.By intelligently adapting the network to real-time changes in
demand and traffic patterns,NSP enables operators to get more out of existing
network assets while keeping service quality and network efficiency high.

Control Plan Assurance Manager(CPAM):
The CPAM is tightly integrated as a part of the Nokia Network Services Platform
(NSP) NFM-P module,which is the next-generation network management system
(NMS)for the Nokia IP Routing and Nokia mobile Evolved Packet Core(EPC)
portfolio.With the CPAM,the NFM-P module extends its network and service
management with integrated routing control plane management.
The CPAM Interior Gateway Protocol(IGP)and some Border Gateway Protocol
(BGP)support is included as a part of the base NFM-P right-to-use license.All other
CPAM applications(such as for BGP path and prefix monitoring support, IP/MPLS
link utilization monitoring, root cause/impact analysis and multicast management)are
included within the NFM-P Premium right-to-use license.
The CPAM uses real-time control plane information provided by the virtualized
Control Plane Assurance Appliance(CPAA),or vCPAA.The CPAA is a passive
route-listening and route-processing virtual appliance that non-intrusively participates
in routing plane signaling. It is a distributed processing platform based on the proven
Nokia Service Router Operating System(SR OS),supports Nokia and third-party
equipment,and can be deployed in a redundant configuration. In addition,the CPAA
processes operator-generated requests for real-time path computations that can span
multiple IS-IS or OSPF areas.The CPAA is fully managed by the Network Services
Platform NFM-P module for centralized configuration,alarm collection and software
upgrades.

2. SCOPE OFVVORK
Scientel Solutions will perform the following scope of work as part of this project:
• Scientel Solutions will install NSP v20 on a server provided by the City of
Fort Worth that meets the specifications detailed in Section 1.

• Scientel Solutions will execute an Acceptance Test Plan(ATP)to ensure
that all support devices are reporting alarms correctly
• Scientel5olutions will incorporate this NSP version 20 into the existing
support contract
• Scientel Solutions will cut over the new NSP version 20 and decommission
the existing 5620 SAM
• Scientel Solutions will install new asset tags on all equipment
• Listing of"new plant accountable equipment"
• Configure server hardware as required for the new NSP server
specifications
• Install VVllare ESXi server
• Install,provision,and patch RHEL(Red Hat Enterprise Linux)
• Install and provision NSP Server and supporting software needed to
support the existing infrastructure
• Cutover and replace existing 5620 SAM with newly installed server
• Test connectivity and monitoring capabilities with Scientel NOC for
functionality
• Assure City of Fort Worth web interface is working as expected
• Power down and decommission the existing 5620 SAM
• Complete any documentation related to the implementation of the new
server.
3. ADDITIONAL SITE SPECIFIC SCOPE OF WORK
In addition to the site-specific scope of work,the following is included for all sites:
• Implementation of a Nokia Network Services Platform Network Management
System.
• Required miscellaneous installation hardware in a spaced designated by City of
Fort Worth.
• New asset tags on equipment
o Listing of"new plant accountable equipment"
o Assignment and affixing City of Fort Worth asset tags if required by City of
Fort Worth
4. TECHNICAL SUPPORT/MAINTENANCE
Scientel will provide both remote and onsite technical support and maintenance of all
hardware and software for a full year after completion of the installation.
Remote and Onsite Technical Support Includes:
• VMWare,RedHat Enterprise Linux,and Nokia related software updates and
patches as needed.
o Scientel will at a minimum provide one major software update/patch
throughout the year of support.

In addition,ScienteL will monitor manufacture releases in order to
determine if any additional updates/patches are required.
• Hardware performance checks will be added to the quarterly audit report and
outline any necessary updates as required.
• Software patches will be reliant on current enrollment in Nokia Software
Subscription Program on an annual basis.
• The same applies to both VMWare and RedHat Linux Enterprise subscriptions.
5. ASSUMPTIONS
For this proposal ScienteL Solutions has made the following assumptions;
• City of Fort Worth will allocate power and rack space at Eagle Mountain to
install the server required for the new NSP installation.
• The NSP will be Located at Eagle Mountain with similar connectivity to the
existing MPLS network.
• The NSP proposed is not a redundant system and if additional planning is
needed to include a failover NSP that will require a change in scope and cost.
• Scientel Solutions will work with the City of Fort Worth to provide a detailed
cutover/transition plan to minimize the impact to monitoring during the
transition.
• Fort Worth will stay current on all subscriptions to Nokia,VMWare,and RedHat
Linux Enterprise.
6. GENERAL PROJECT RESPONSIBILITIES
The following general project responsibilities,not defined by specific tasks,include:
ScienteL Solutions Responsibilities
ScienteL Solutions will designate a Project Manager who will direct ScienteL Solutions'
efforts and serve as the primary point of contact for the client.The ScienteL Solutions
Project Manager will have significant authority to make certain decisions relative to the
project,on behalf of ScienteL Solutions,and will have direct access to ScienteL
Solutions'executive management for resolving problems beyond the Project
Manager's immediate authority.The responsibilities of the ScienteL Solutions Project
Manager include:
• Participate with the client in daily progress review meetings and submit status
reports that identify the activities of the previous review period,as well as
activities planned for the upcoming review period,including an updated Project
Schedule.Maintain project communications with the client's Project
Manager(s).
• Participate in weekly conference calls or face-to-face meetings and issue a
mutually agreed upon agenda for each call or meeting.

• Manage the efforts of Scientel Solutions staff and coordinate activities with
client's project team members.
• Measure,evaluate and report the progress against the Project Schedule.
• Resolve deviations from the Project Schedule.
• Monitor the project to ensure that support resources are available as
scheduled and as identified in the contract.
• Assume accountability for all Scientel Solutions contractor and subcontractor
supplied tasks within the Project Schedule,if any.
Coordinate and oversee the installation of all hardware and software.
• Review and administer change control procedures through the client's Project
Manager,commonly referenced as a"Project Change Request"(PCR),issued by
the Scientel Solutions Project Manager.
• Work with the client Manager(s)in designing and approving the format of an
action item log to be used in conjunction with the Project Schedule.The
purpose of the log is to identify outstanding issues,provide continual status
updates on specific tasks and to identify responsibilities of the parties.
• Prepare and submit regular status reports that identifies the activities and
milestones completed in the previous month and activities planned for the
current month and the next month,including progress and payment
milestones,and an updated Project Schedule.
• If Scientel Solutions must replace or substitute a Project Manager,Scientel
Solutions will immediately notify the client of such a change and will provide
the client with a resume of the person Scientel Solutions intends to substitute
orchange
• Provide and coordinate lift trucks and trained/authorized operators as well as
licensed electricians to install devices as required. If tower crews are required
per the defined type of installation in the summary section,it is the
responsibility of Scientel Solutions,
• Provide wall penetrations,conduit,cable trays and other supporting
equipment necessary for the routing of power,grounding and networking
cables.
• Prepare Method of Procedure(MOP)request for all service affecting work
activities.
• Submission of MOP requests must be made in advance of the scheduled event,
to allow City of Fort Worth operations time to coordinate the approval,since
all microwave sites in the system active and transport customer traffic.
• Submission of downtime requests must be made at least 4 weeks in advance
of a scheduled event,to allow City of Fort Worth operations time to coordinate
the reroute and/or downtime approval,since all microwave sites in the system
are active and transport customer traffic.
• Schedule on-site work activities affected by MOP approval(s)based on the
work activity and time of day and day of the week restrictions designated in
the approval.

City of Fort Worth Responsibilities
The client will designate a Project Manager who will direct the client efforts and serve
as the primary point of contact for Scientel Solutions.The client's Project Manager(s)
will have significant authority to make certain decisions relative to the project,on
behalf of the client,and will have direct access to the client's executive management
for resolving problems beyond the Project Manager's immediate authority.The
responsibilities of the client's Project Manager(s)include:
• Maintain project communications with the Scientel Solutions Project Manager.
• Identify the efforts required of the client's staff to meet the client task
requirements and milestones in the Statement of Work and Project Schedule,
• Measure and evaluate progress against the Project Schedule.
• Monitor the project to ensure that support resources are avaiLable as
scheduled.
• Participate in Progress Reviews meetings.
• Provide timely responses to issues related to project progress raised by the
Scientel Solutions Project Manager.
• Approve and release payments in a timely manner predicated on project
deliverables.
• Ensure that all appropriate client personnel attend and actively participate in
Progress Reviews,conference calls,and other project meetings.
• Assign one or more personnel who will work with Scientel Solutions staff as
needed for the duration of the project,including at least one system
administrator.
• Ensure acceptable Standard Change Request and Approval Letter(s)are
approved by authorized signature(s).
• Provide building access to Scientel Solutions personnel to all facilities where.
the system is to be installed during the project.Temporary identification cards
should be issued to ScienteL Solutions personnel if required for access to
client facilities.Access must be available after business hours where required
by Scientel Solutions,or as necessary to meet the project schedule.
• Provide any required parking permits to Scientel Solutions personnel for
restricted access entry and/or parking.
• Obtain all zoning,site access,and other permits(including,but not limited to,
easements,impact studies,planning commission approval,variances,etc.)
necessary for this project and any other agreements required to gain use of
sites.
• Provide the appropriate fire inspection and building inspection certificates.
• Provide adequate space,electrical power,communications lines and
environmental appropriations for the communications equipment to be
installed by Scientel Solutions.
• Review and approve or revise delivered design documents within ten days of
submission.
• The client must inform Scientel Solutions of all relevant rules,regulations,
and requirements for installation. Should these conditions impact the project
schedule and limit installation,the client may incur additional cost.

The ScienteL Solutions demarcation point on the network infrastructure end is
the client-owned switch(to be determined on the IP Network Design). The
client is responsible for connecting Host end servers to this router.
• The client shall provide power and grounding within 10'of each location.
Provide City of Fort Worth plant account tag and description Listing of
equipment to be replaced or removed by the contractor.
7. WARRANTY STATEMENT
ScienteL Solutions,Inc.warrants that work will be performed in accordance with sound
engineering practice and professional standards,but makes no other warranty,
express or implied including the merchantability.
In the event of any error,omission,or other professional negligence or any breach of
the above warranty of which ScienteL Solutions,Inc.is notified in writing within 90 days
after system acceptance,the sole and exclusive responsibility of ScienteL Solutions,
Inc.shall be to re-perform deficient work at its own expense,and ScienteL Solutions,
Inc.shall have no other liability whatsoever.
In no event shall ScienteL Solutions,Inc.be liable,whether in contract or tort,including
negligence,for Loss of profit,loss of product,loss of use,or for indirect,consequential
or special damages. The Liability of ScienteL Solutions,Inc.for injury or damage to
persons or property arising out of this work shall not exceed the Lesser of the total

B. CONCLUSION
ScienteL Solutions signature quality is the ability to provide full turn-key systems and
complete maintenance services supporting the City of Fort Worth microwave system.
We have many years of experience in providing point-to-point microwave
communications systems and a proven successful relationship working with Nokia
product portfolio. ScienteL Solutions will be responsible for every aspect of the system
implementation from beginning to end. We will keep you informed on a daily or weekly
basis with respect to the status and progress of the project. You have control over the
extent of your involvement. Once the system is completed,we will ask the City of Fort
Worth to inspect and witness testing of the system for final acceptance.

RECOMMENDATION:
It is recommended that the City Council authorize the execution of a fourth amendment to City Secretary Contract No.46273, professional services
agreement with Scientel Solutions, LLC, using Houston-Galveston Area Council Cooperative Contract CW10-19,for additional maintenance
services,and a one-time training and upgrade to the City of Fort Worth's Public Safety microwave system at a cost of$76,618.55 with an
additional maintenance cost of$8,000.00 for the upgrade for a total annual maintanence cost of$246,152.08 with an increase up to 8% per year.
DISCUSSION:
In 2011,the City Council authorized an agreement with Scientel Solutions, LLC(Scientel) for the installation of a microwave system through
Cooperative Contract Houston-Galveston Area Council (H-GAC)Contract, Mayor and Council Communication (M&C)C-24680.The microwave
system provides connectivity between radio transmitter sites and radio system core computers. The microwave system is a key component
of the public safety radio communication system that is used by Fort Worth and partner agencies.The City Council authorized an upgrade to the
system in 2018(M&C P-12212).
Late last year, Scientel informed City Staff that it would no longer be able to support parts of the system. The upgrade would provide additional
security and functionality. Therefore,staff recommends upgrading the system for a one time cost of$76,618.55 using the H-GAC Contract CW10-
19. The current annual maintenance cost for the system is$238,152.08.This upgrade will increase the maintenance cost by$8,000.00 for a new
total annual maintenance cost of$246,152.08,which will increase up to 8%per year.The upgrade will be funded through capital project funds and
the annual maintenance cost is paid through operating funds.
All other terms and conditions of the existing agreement remain the same.
BUSINESS EQUITY-An M/WBE goal is not assigned when purchasing from an approved purchasing cooperative or public entity.
ADMNISTRATIVE CHANGE ORDER:An administrative change order or increase may be made by the City Manager up to the amount allowed by
relevant law and the Fort Worth City Code and does not require specific City Council approval as long as sufficient funds have been appropriated.
AGREEMENT TERMS: Upon City Council approval,this agreement shall begin upon execution and expire one year from that date.
FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that funds are available in the current capital budget,as previously appropriated, in the ITS Capital Fund for
the FY21: Microwave Mgmt Software project to support the approval of the above recommendation and execution of the agreement. Prior to any
expenditure being incurred,the IT Solutions Department has the responsibility to validate the availability of funds.
