FIRST AMENDMENT AND SECOND RENWAL
TO CITY SECRETARY CONTRACT NO.46140,
CONTRACT FOR TELECOMMUNICATIONS AND DATA SERVICE
WITH SMART CITY NETWORKS
This First Amendment and Second Renewal to City Secretary Contract No. 46140, ("First
Amendment and Second Renewal") is made and entered into by and between the City of Fort Worth, a
home-rule municipal corporation of the State of Texas ("City"), acting by and through its duly authorized
Assistant City Manager, and Smart City Networks, Limited Partnership, a Florida limited partnership, acting
by and through its general partner, SCN-GP, LLC, a Florida limited liability company("Smart City"),
WHEREAS, the City and Smart City are currently parties to an agreement for exclusive
telecommunications and data service for facility users and exhibitors at the Fort Worth Convention Center,
the same being Fort Worth City Secretary Contract No. 46140;
WHEREAS, the primary term of the Agreement was for five years through November 30, 2019,
with an option to renew for an additional two-year period;
WHEREAS,the parties exercised the renewal option and extended the term for two years, effective
beginning on December 1, 2019 and expiring on November 30, 2021, the same being CSC No. 46140-R1
(CSC Nos.46140 and 46140-RI are collectively referred to as the "Agreement");
WHEREAS, the parties desire to amend the Agreement to add a second renewal option through
February 28, 2021;
NOW THEREFORE, the parties, in consideration of the mutual covenants and agreements
contained herein, do mutually covenant and agree that the Agreement shall be renewed and extended as
follows:

Section 3.2 is amended to add a second renewal term from December 1, 2021 through February 28,
2022 and reads as follows:
"3.2 Renewal Term. Following the Primary Term, the City and SCN, by
written mutual consent, may elect to extend this Contract under the same terms
and conditions for one additional two (2) year period and another period of three
(3)months(each a"Renewal Term"). Notification of intent to extend the Contract
must be given in writing to the other party at least sixty (60) calendar days prior
to the expiration of the applicable term."

The parties agree to exercise the second and final Renewal Term, which will begin on December 1,
2021 and expiring on February 28,2022.

All terms in this First Amendment and Second Renewal that are capitalized but not defined have the
meaning assigned to them in the Agreement.

All terms and conditions of the Agreement that are not expressly amended or referenced pursuant to
this First Amendment and Second Renewal shall remain in full force and effect during the Renewal Term
unlcss specifically amended in writing.
