D ,LL ,S FORT WORTH INTERN ,TION ,L ,IRPORT BO ,RD OFFICI ,L BO ,RD 'CTION/RESOLUTION Date Committee Subject Resolution # 08/05/2021 Concessions/Commercial D ART Silver Line Easement, Compensation 2021-08-156 Development Agreement, and Operating Agreement Action That the Cities of Dallas and Fort Worth are requested to grant an easement for the D ART Silver Line, and that the Chief Executive Officer or designee be authori-'ed to sign a Compensation Agreement with D ART, and to sign a joint amendment to the Operating Agreements of both D ART and the Fort Worth Transportation Authority (a a Trinity Metro). Description • Easement. The Cities of Dallas and Fort Worth are requested to grant an easement to the Dallas Area Rapid Transit Authority (D ART) for 11 parcels of land that are necessary to accommodate the D ART Silver Line into the Terminal B Station at DFW Airport, as shown on the attached Exhibit A. • Compensation Agreement. The D ART Compensation Agreement will: ♦ Require D ART to pay the DFW Airport Board $3,723,446 for the above mentioned easement, when it is delivered, together with temporary staging area rentals per the Schedule of Charges; ♦ Require D ART to ma a the same commitment that Trinity Metro previously made, to pay the DFW Airport Board half the cost of constructing a grade -separated crossing of the D ART and Trinity Metro rail facilities at Dallas Road (less half the cost to construct a typical surface roadway), at such time that the DFW Airport Board decides to build said crossing; and ♦ Require the DFW Airport Board to pay to D ART an amount not to exceed $1,677,528 to construct an at -grade crossing of the Cotton Belt railroad line to provide the DFW Department of Public Safety with quic access to all the areas of the Airport north of the Cotton Belt. • Joint Operating Agreement Amendment. The D ART Silver Line will include a spur from the Cotton Belt to the Terminal B Station, as does the existing Trinity Metro Line, as shown on the attached Exhibit B. Because the two rail lines will exist and operate within close proximity, the two transit authorities have agreed to share easement areas. The joint amendment to their respective operating agreements with the DFW Airport Board will ma a their operating commitments applicable to the Shared Easement Area, and because liability for environmental and other obligations may be difficult to discern, it will ma e them jointly and severally liable for such obligations within the Shared Easement Area.
