The National Purchasing Cooperative is an intergovernmental purchasing cooperative formed by certain school districts outside of Texas to serve its members throughout the United States. If you agree to be considered for a piggy-back award by the National Purchasing Cooperative, you agree to the following terms and agree to serve National Purchasing Cooperative members in the states you have indicated on the State Service Designation form, in your Proposal. By signing this form, Proposer(referred to in this Agreement as"Vendor") agrees as follows: 1. Vendor acknowledges that if The Local Government Purchasing Cooperative ('Texas Cooperative') awards Vendor a contract under this Proposal Invitation ("Underlying Award', the National Purchasing Cooperative ('National Cooperative's may - but is not required to -"piggy-back"on or re-award all or a portion of that Underlying Award ("Piggy-Back Award'J. By signing this National Cooperative Vendor Award Agreement ("Agreement', Vendor accepts and agrees to be bound by any such Piggy-Back Award as provided for herein. 2. In the event National Cooperative awards Vendor a Piggy-Back Award, the National Cooperative Administrator ("BuyBoard Administrator'D will notify Vendor in writing of such Piggy-Back Award, which award shall commence on the effective date stated in the Notice and end on the expiration date of the Underlying Award, subject to annual renewals as authorized in writing by the BuyBoard Administrator. Vendor agrees that no further signature or other action is required of Vendor in order for the Piggy-Back Award and this Agreement to be binding upon Vendor. Vendor further agrees that no interlineations or changes to this Agreement by Vendor will be binding on National Cooperative, unless such changes are agreed to by its BuyBoard Administrator in writing. 3. Vendor agrees that it shall offer its goods and services to National Cooperative members at the same unit pricing and same general terms and conditions, subject to applicable state laws in the state of purchase, as required by the Underlying Award. However, nothing in this Agreement prevents Vendor from offering National Cooperative members better (i.e., lower) competitive pricing and more favorable terms and conditions than those in the Underlying Award. 4. Vendor hereby agrees and confirms that it will serve those states it has designated on the State Service Designation Form of this Proposal Invitation. Any changes to the states designated on the State Service Designation Form must be approved in writing by the BuyBoard Administrator. 5. Vendor agrees to pay National Cooperative the service fee provided for in the Underlying Award based on the amount of purchases generated from National Cooperative members through the Piggy-Back Award. Vendor shall remit payment to National Cooperative on such schedule as it specifies (which shall not be more often than monthly). Further, upon request, Vendor shall provide National Cooperative with copies of all purchase orders generated from National Cooperative members for purposes of reviewing and verifying purchase activity. Vendor further agrees that National Cooperative shall have the right, upon reasonable written notice, to review Vendor's records pertaining to purchases made by National Cooperative members in order to verify the accuracy of service fees. 6. Vendor agrees that the Underlying Award, including its General Terms and Conditions, are adopted by reference to the fullest extent such provisions can reasonably apply to the post-proposal/contract award phase. The rights and responsibilities that would ordinarily inure to the Texas Cooperative pursuant to the Underlying Award shall inure to National Cooperative; and, conversely, the rights and responsibilities that would ordinarily inure to Vendor in the Underlying Award shall inure to Vendor in this Agreement. Vendor recognizes and agrees that Vendor and National Cooperative are the only parties to this Agreement, and that nothing in this Agreement has application to other third parties, including the Texas Cooperative. However, it is our desire to have the resulting contract be a current price contract. All three of John Deere's current national contracts are based on current pricing. This would ensure that Members have access to the newest equipment models as they become available. Any price or product updates would automatically become a part of the contract. • Non-Contract Items o Should we be awarded the contract, John Deere would like the ability to sell non-contract items to your Members in conjunction with the sale of a contract item. The price for non- contract items would be between the dealer and the agency. There are 2 types of non- contract items: • Type 1 - Items and equipment manufactured or branded by John Deere that are not in our price pages such as parts, oil, filters, belts, blades, extended warranties, manuals, etc. ■ Type 2 - Items and equipment that are not manufactured or branded by John Deere such as boom mowers, trailers, cages for tractors for roadside mowing, etc. o The ability to sell non-contract items allows the customer to experience a more seamless purchasing process. They are able to purchase what they need to make their equipment whole all in one transaction. • Ordering Procedure (this is the current process for Contract#529-17) o The ordering procedure will flow as follows: ■ John Deere dealers submit their quotes and TASB/BuyBoard Purchase Orders (PO)through our order management system as they have always done. These quotes and purchase orders will be received by our Order Management Team. The team will verify membership, audit the quotes for pricing accuracy per the contract as well as verify the Member purchase order is correct. If any mistakes are found, the Order Management Team will follow up with the dealer and/or Member to have the PO and/or the quote corrected. • Upon completion of the audit and any necessary corrections, the Order Management Team will send a confirmation email to the dealer letting him know .JOHN DEERE Agriculture Turf Division 2000 John Deere Run Cary, NC 27513 Phone:919 804 2000 that he can order the equipment(if not in stock) and deliver(if in stock)the equipment to the BuyBoard Member. The Order Management Team will also fax the same Member PO to BuyBoard after they have completed the audit. This would ensure that Texas BuyBoard Members receive their rebates and it would also eliminate the excess POs that BuyBoard receives that are never processed due to various reasons such as equipment not being on contract or the Member changing their mind. ■ BuyBoard can then send confirmation to the BuyBoard Member and the John Deere Order Management Team (CorpAcctGovSu pport(o-),Joh n Deere.com ) once it receives the PO from John Deere. • The ordering process would be complete at that point. This process eliminates the wait time for the BuyBoard confirmation. Offering this contract on a national level requires more expediency with processing orders and the changes outlined above would help facilitate efficiency. • Optional delivery fee of$4 per loaded mile (miles figured from Google Maps) for equipment sold using the contract. • Set-up fee of 4%for golf products (Price Tabs G10, G15, G20, G25, G30, G35) only. o On John Deere's current BuyBoard contract, #529-17, customers are charged 4% of the equipment contract sale for set-up for golf products only. If awarded this contract, John Deere would like to request this same set-up fee (4%) for the golf products (reel mowers, special application mowers, special application vehicles, debris maintenance, aeration and fleet management). • Currently on Contract 529-17 Deere & Company doesn't service Alaska and Hawaii. We plan to sell equipment to these two states on the contract resulting from RFP 611-20. For equipment deliveries to BuyBoard Members in Alaska and Hawaii, factory freight to the delivering dealer will be paid by the end-user. Factory freight is known at the time of quoting and will be included on the quote to the end-user. For equipment deliveries to BuyBoard Members in the continental US (excluding Alaska & Hawaii), the end-user will not be charged factory freight to the delivering dealer. Thank you. )Wqj Tamara Hebert Contract Administrator GovContractSupport(-John Deere.com .JOHN ©EERE Agriculture&Turf Division 2000 John Deere Run Cary, NC 27513 Phone:919 804 2000 December 3, 2019 Proposal Number: 611-20 Proposal Opening Date: 05 December 2019 Proposal Time: 4:00 PM CST Proposal Title: Grounds Maintenance Equipment, Irrigation Supplies and Installation Reference: Proposal Invitation Questionnaire 1.
