HomeMy WebLinkAboutContract 56223-A4 CSC No. 56223-A4 FOURTH AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NUMBER 56223 COOPERATIVE PURCHASE AGREEMENT This FOURTH AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 56223 ("Fourth Amendment") is made and entered into by and between the City of Fort Worth, a home-rule municipal corporation of the State of Texas ("City"), acting by and through its duly authorized Assistant City Manager, and Robert Half International Inc., a Delaware corporation ("Vendor"), acting by and through its duly authorized representative. WHEREAS, City and Vendor are parties to a Cooperative Purchase Agreement, which adopts and amends Houston-Galveston Area Council Cooperative Contract TS06- 21 for City purposes, for Vendor to provide City with temporary staffing services, that agreement being Fort Worth City Secretary Contract Number 56223 ("Contract"); and WHEREAS, as originally executed, the Contract provides for an initial one-year term expiring on May 31, 2022 and an annual expenditure amount not to exceed $100,000.00; and WHEREAS, the parties have previously executed amendments to increase the total maximum annual expenditure to $1,137,248.00, said amendments being Fort Worth City Secretary Contract Numbers 56223-A1 and 56223-A2, and another amendment to add the position of ERP Consultant and provide compensation rate therefore, that amendment being Fort Worth City Secretary Contract Number 56223-A3 (collectively the "Prior Amendments"); and WHEREAS, City requires staffing services assistance that is in addition to what was previously contemplated by the Prior Amendments, with the cost of such additional services not anticipated to exceed $75,000.00; and OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX Fourth Amendment CFW and Robert Half Page 1 of 3 WHEREAS, the parties wish to amendment the Contract, as previously revised by the Prior Amendments, to increase the maximum expenditure by an additional $75,000.00 (of which $50,000 will be allocated to PeopleSoft Contract ("PSK") ID number 13961, "COOPHGACTS06-21CS56223TempFIRE", and $25,000 to PSK 13960, "COOPHGACTS06-21CS56223TempsFMS"),which amendment is authorized under the contracting authority afforded to the Fort Worth City Manager by Section 2-9 of the Fort Worth City Code. NOW, THEREFORE, City and Vendor, do hereby covenant and agree as follows: 1. That Fort Worth City Secretary Contract Number 56223, as amended by the Prior Amendments, is hereby further revised to delete the fourth paraph, as amended and revised by Fort Worth City Secretary Contract Number 56223-A1, and the fifth paragraph, added by Fort Worth City Secretary Contract Number 56223-A2, in their entirety and replace them with the following: City shall pay Vendor in accordance with the fee schedule in Exhibit A, as amended, and in accordance with the provisions of this Agreement. With the exception of services provided to the City Attorney's Office in accordance with the immediately proceeding paragraph, total payment made under this Agreement for the first year by City shall not exceed One Million, One Hundred and Eighty- Seven Thousand, and Two Hundred and Forty-Eight Dollars ($1,187,248.00). Vendor shall not provide any additional items or services or bill for expenses incurred for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City shall not be liable for any additional expenses of Vendor not specified by this Agreement unless City first approves such expenses in writing In addition to services addressed under the immediately preceding paragraph, City shall pay Vendor (in accordance with the fee schedule in Attachment A of Fort Worth City Secretary Contract Number 56223, as amended) an additional amount of up to Twenty-Five Thousand Dollars for staffing services provided to the City Attorney's Office. Total first year payment for all services under the immediately preceding paragraph and this paragraph shall not exceed One Million, Two Hundred and Twelve Thousand, and Two Hundred and Forty-Eight Dollars ($1,212,248.00). 2. That all other terms and conditions of Fort Worth City Secretary Contract No. 56223, as amended by the Prior Amendments, that are not amended herein shall remain in full force and effect throughout the term of the Contract and any subsequent. That this Fourth Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image (such as a PDF or tiff image) of a signature shall be treated as and shall have the same effect as an original.
