This Second Amendment to Development Agreement (this "Second Amendment") is
entered into by the City of Fort Worth, Texas, a home-rule municipal corporation situate in
Tarrant, Denton, Johnson, Parker, and Wise Counties, Texas (the "C "), acting by and thro�gh
its duly authorized Assistant City Manager, and Traditions Investors, LLC, an Arizona limited
liability company("Owner'), effective upon execution by both parties.
RECITALS
WHEREAS, the City and SLF IV— 114 Assemblage, L.P. ("SLF IV") entered into that
certain Development Agreement for the Traditions development dated January 12, 2016 (City
Secretary Contract No. 47477) (the "Agreement") governing approximately 1,102 acres of land
shown in Exhibit A and described in Exhibit B attached hereto and incorporated herein by
reference(the"Traditions Property"); and
WHEREAS, the Agreement was recorded in the Denton County real property records on
February 11,2016, as Instrument No. 2016-15030; and
WHEREAS, the City and SLV IV entered into that certain First Amendmen to
Development Agreement for the Traditions development dated June 17, 2019 (City Secretary
Contract No. 47477-A1) (the"First Amendment"); and
WHEREAS, the First Amendment was recorded in the Denton County real prop rty
records on June 27, 2019, as Instrument No. 76441; and
WHEREAS, the Traditions Property consists of approximately 431.303 acres
encompassed by Tradition Municipal Utility District No. 1 of Denton County ("Tradition
No. 1"), approximately 662.91 acres encompassed by Tradition Municipal Utility District No. 2B
of Denton County,and approximately 8.707 acres not contained within a municipal utility dis ct;
and
WHEREAS,Owner owns all of that certain Tract 2 as shown on Exhibit A and described
in Exhibit B as"SLF IV-114 Assemblage Tract 2",being approximately 47.262 acres in Tradi ion
MUD No. 1, defined in the Agreement and herein as the"Mixed-Use Tract"; and
WHEREAS, Owner has asked the City to allow additional uses to be developed on the
Mixed-Use Tract; and

WHEREAS,the City is willing to allow the additional uses on the Mixed-Use Tract on the
condition that Owner petition the City to annex the Mixed-Use Tract for limited purposes pursuant
to Section 43.121, et seq.,Texas Local Government Code,and apply the City's zoning ordin ces
to the Mixed-Use Tract pursuant to Chapter 211, Texas Local Government Code, in liei L of
regulating land uses by contract pursuant to Section 212.172,Texas Local Government Code; and
WHEREAS,Owner has submitted to the City a petition to annex the Mixed-Use Trac for
limited purposes pursuant to Section 43.121, et seq., Texas Local Government Code, an an
application to adopt zoning regulations for the Mixed-Use Tract,in accordance with Chapter 11,
Texas Local Government Code; and
WHEREAS, full purpose annexation of the land within Tradition MUD No. 1, including
the Mixed-Use Tract,.is governed by the Agreement, as amended by the First Amendment; and.
WHEREAS,it is necessary to amend the Agreement to address limited purpose annexation,
zoning and full purpose annexation of the Mixed-Use Tract; and
WHEREAS,this Second Amendment amends the Agreement, as amended,with respect to
the Mixed-Use Tract only; and
NOW, THEREFORE, in consideration of the premises, mutual promises, covenants,
obligations, and benefits herein contained,the City and Owner agree as follows:
1. The first sentence of Section 2.01 is amended to add the phrase"(with the exception of the
Mixed-Use Tract which is addressed in Section 2.02(d)below)"where indicated. Section
2.01 shall remain unchanged in all other respects:
Development of the Property (with the exception of the Mixed-Use Tract which is
addressed in Section 2.02(d)below) shall be governed ...
2. Section 2.02(b)is amended in its entirety to read as follows:
The Property(except for the Mixed-Use Tract as addressed in Section 2.02(d)below)may
be developed with a combination of the uses permitted in Sections 2.02(a)(i) through
2.02(a)(vi) as set out in the Residential Use Table described in Section 2.02(vii) tq be
determined at Owner's discretion. A maximum of 3,284 Residential Units ma3 be
constructed on the Property; provided, however, Residential Units constructed on the
Mixed-Use Tract are not counted toward such maximum.
3. Section 2.02(d)is amended in its entirety to read as follows:
(i) Owner has submitted to the City an application to annex the Mixed-Use Tract for
limited purposes pursuant to Section 43.121, et seq., Texas Local Government
Code, and Section 6.04(b). Further, Owner has submitted to the City zoning
application ZC-21-190 to zone the Mixed-Use Tract "PD/D Planned
Development" for all uses in "D" High-Density Multifamily, with development

standards; "PD/MU-2" for all uses in High Intensity Mixed-Use,plus mini-sto age
facility. with development standards and "PD/E" Planned Development for E"
Neighborhood Commercial, site plan required. Upon City Council approva of
such zoning application for the Mixed-Use Tract, the zoning regulations s lall
supersede Section 2.02(d)(ii).
(ii) The Mixed-Use Tract may be developed in accordance with the uses and
development standards provided by MU-2" High Intensity Mixed-Use, "MU-1"
Low Intensity Mixed-Use, "E" Neighborhood Commercial, "UR" Urban
Residential and a maximum of 150 detached multifamily units and an enclgSed
storage facility. This Section 2.02(d)(ii) is effective only if the City Council does
not approve zoning for the Mixed-Use Tract in accordance with Section 2.02(d)(i).
Upon approval of such zoning, this Section 2.02(d)(ii)shall have no force or effect.
(iii) Residential Units constructed on the Mixed-Use Tract shall not be counted toward
the maximum number of Residential Units for the Property described in Sec 'on
2.02(b) above. Notwithstanding any provision of the Agreement, as amended, or
any exhibit thereto, including without limitation Exhibits C-1 and C-2 to the First
Amendment, a minimum of eleven percent(11%)of the Mixed-Use Tract shall be
retained as open space. The location of such open space shall be at Owner's
discretion. This Section 2.02(d)(iii)applies without regard to whether the Property
is developed in accordance with Section 2.02(d)(i)or Section 2.02(d)(ii).
(iv) Notwithstanding anything set forth herein to the contrary, in no event shall the
Mixed-Use Tract be used for single-family residential development.
4. Section 2.02(c) is amended in its entirety to read as follows:
Owner shall maintain a cumulative count of the Residential Units to be constructed on The
Property (excluding the Mixed-Use Tract) on each preliminary plat submitted to the City
for the Property. The number of Residential Units to be constructed shall be adjusted on
each final plat as needed.
5. Section 6.03, "Full Purpose Annexation", is amended to add Section 6.03(d)as follows:
In the event the City annexes the Mixed-Use Tract for limited purposes pursuant to Sec ion
6.04(b), the City shall not annex the Mixed-Use Tract for full purposes until the City
annexes all of the MUD No. 1 Property, in accordance with Section 6.03(a).
6. Section 6.04,"Limited Purpose Annexation,"is amended in its entirety to read as follows:
(a) Section 43.0751, Texas Local Government Code. The City Council adopted
Ordinance 17335-08-2007 annexing 108 acres of land in Tradition MUD No. 1,
including the Mixed-Use Tract, for the limited purpose of assessing and collecting
sales and use tax,pursuant to Strategic Partnership Agreement dated June 26, 2006

(City Secretary Contract No. 35626). The City Council adopted Ordinance; No.
22273-06-2016 on June 4, 2016, disannexing all of the land annexed for linlited
purposes pursuant to Ordinance 17335-08-2007, except the Mixed-Use Tract, in
accordance with Amended Strategic Partnership Agreement dated June 20, 2016
(City Secretary Contract No. 35626-A1).
(b) Section 43.121, et seq, Texas Local Government Code. Owner has submitted an
application to the City to annex the Mixed-Use Tract for limited purposes pursuant
to Section 43.121, et seq., Texas Local Government Code, for the purpose of
authorizing the City to applying its zoning ordinances to the Mixed-Use Tract. The
regulatory plan adopted by the City Council pursuant to Section 43.125, Texas
Local Government Code (the "Regulatory Plan'), shall be consistent with the
regulations applicable to the Mixed-Use Tract set out in this Agreement. The City
Council shall adopt a zoning ordinance for the Mixed-Use Tract concurrently ith
adoption of an ordinance annexing the Mixed-Use Tract for limited purposes (the
"Limited Purpose Annexation Ordinance"),in accordance with Section 2.02(d). In
the event of a conflict between Section 6.03(d) and Section 43.121, et seq., L cal
Government Code, the Limited Purpose Annexation Ordinance or the Regulatory
Plan with respect to full purpose annexation of the Mixed-Use Tract, Section
6.03(d)will prevail. In no event may the City annex the Mixed-Use Tract for full
purposes until the City annexes all of the MUD No. 1 Property.

8. Except as specifically amended in this Second Amendment the Agreement, as amended by
the First Amendment, shall remain in full force and effect in accordance with its on final
terms and conditions. The Parties expressly acknowledge that (i) the Agreemen , as
amended, applies to the Mixed-Use Tract, both before and after limited purpose

annexation; and (ii) this Second Amendment applies to the Mixed-Use Tract, only, and
does not affect the remainder of the Traditions Property.
9. All owners of at least 10 acres within the Traditions Property have consented to this
Amendment in writing in accordance with Section 9.13 of the Agreement.
10. This Second Amendment shall be recorded in the real property records of Denton County.
