HomeMy WebLinkAboutContract 44357 CITY SEC!1* TAR CITY OF FORT WORTH, TEXAS COWWT STANDARD AGREEMENT FOR PROFESSIONAL SERVICES This AGR NT is between the City of Ft Worth, a, Texas home-rule municipality (the "CITY"), and Savant Group, Inc., authorized to do business in Texas, an independent contractor ("Consultant"),, for a PROJECT generally described pus: Granhury Signal Retiming Local Air Quality project. Article I Scup of Services (1) C hereby agrees to, perform, as an independent contractor the services set forth in the Scope of Services attached hereto as Attachment "A"". These services shall be performed' in connection with Granbury Signal Reti inq Local Air Quality Project.. (2) Additional services, if any, will he requested in writing by the City. City shall not pay for any work performed by Consultant or its suhconsultants, subcontractors and/or suppliers that has not been ordered in writing. It is specifically agreed that Consultant shall not be compensated for any Alleged additional work resulting from oral orders of any person. Article ii Compensation Consultant shall be compensated in accordance with the Foe Schedule shown in Attachment ",B" Payment shall be considered full compensation for all labor, aterials, supplies, and equipment necessary to oornpileto the services described in Attachment "'A"". However the total fee paid by the City shall not exceed a total of $48,800.00 unless the City and the consultant mutually agree upon o foe amount for additional services and amend this Agreement accordingly. The Consultant shall provide monthly invoices to the City. Payment for services, rendered shall be duo within thirty 30 days of the uncontested performance of the particular services so ordered and receipt by cite of Consultant's invoice for payment of same,. Acceptance by Consultant of said payment shall operate as and shall release the city from all claims or, liabilities under this Agreement for anything related to done, or furnished in connection with the services for which payment is made, including any act or omission of the cite in connection with such services. Article IV Independent Contractor Consultant, shall operate hereunder as an independent contractor, and not as an, officer! agent, servant, or employee of the City. Consultant, shall have exclusive control of and the exclusive right to control the details of its work to be performed hereunder and all persons performing same, and shall be solely responsible for the acts and omissions of its officers, agents, employees,, contractors and subcontractors. 'The doctrine of respondent superior shall not apply as between City and Consultant, its of ers, agents,, employees,, contractors, and subcontractors, and nothing hereiin, shall: be construed as creating a partnership, or joint venture between City and Consultant. Article V Professional Competence ands Indemnification I I (1) Work performed by Consultant shall comply in all aspects with all applicable local, state and federal, laws and with all applicable rules and regulations promulgated by the local, state and national boards, bureaus and agencies. Approval by the City shall not constitute or be; deemed to be a release of the responsibility and liability of Consultant or its officers, agents, employees,, contractors and subcontractors for the accuracy and competency of its services performed hereunder. (2) In accordance with Texas Local Government Code Section 271.904, the Consultant shall indemnify, hold harmless, and defend the City against liability for any damage caused by or re,sul�t,ing from an act of negligence, intentional tort, intellectual property infringement,, or failure to pay a subcontractor or supplier committed by the Consultant or Consultant's agent, consultant, under contract, or another entity over which the Consultant's exercises control. City of Fort Worth,Texas Standard Agreement for Professional Services PMO Official Release Date:08/09/20112 Page 2 of 8 Article VI Insurance (1) Consultant shall not commence work under this Agreement until it has obtained all insurance required, under this Article and the City has approved such insurance', nor shall Consultant allow any subcontractor to commence work on its subcontract until all similar insurance of the subcontractor has been so obtained and approval given by the City; provided, however, Consultant may elect to add any subconsultan't as an, additional insured under its liability policies. Coverage shall be on any vehicle used in the course of the Project,. Except for employer's liability insurance coverage under Consultant's work&s compensation insurance policy, the City,, its officers, employees, and servants shall 1 .0-% be endorsed as an additional insurea on uonsultant's insurance policies. b. Certificates of insurance shall be delivered to the Transportation and Public Works, Attention: Michael Wobkein, 5001 James Avenue, Suite 301, Fort Worth,, TX 76115, prior to commencement of work,,., c. Any failure on part of the City to request required insurance documentation shall not constitute a waiver of the insurance requirements specified herein. d. Each insurance policy shall be endorsed to provide the City a minimum th:irty days notice of cancellation, non-renewall and/or material change in policy terms or coverage. A ten days notice shall be acceptable in the event of non-payment of premium. Best rating of A-M V11 or equivalenit measure of financial strength and solvency. f. Other than workers compensation insurance, in lieu of traditional insurance, City i may consider alternative coverage or risk treatment measures through insurance I pools or risk retention groups. The City must approve in writing any alternative emative coverage. g. Workers' compensation insurance policy(s) covering employees employed on the Project shall be endorsed with a waiver of subrogation providing rights of recovery in favor of the City. h. City shall not be responsible for the direct payment of insurance premium costs for Consultant's insurance. L Consultanti's insurance policies shall each be endorsed to provide that such insurance i,nsurance s primary protection and any self-funded or commercial coverage maintained by City shall not be called upon to contribute to loss recovery. j. In the course of the Agreement, Consultant shall report, in, a timely manner,, to : i City's officially designated contract,administrator any known loss occurrence which could give rise to a liability claim or lawsuit or which could result in a property loss. k. Consultant's liability shall not be limited to the specified amounts of insurance required herein. 1. Upon the request of City, Consultant shall provide complete copies of all insurance policies required by these Agreement documents. Article V11 Transfer or AsMignment City and Consultant each bind themselves, and their lawful successors and assigns, to this Agreement. Consultant, its lawful successors and assigns, shall not assign, sublet or transfer any interest in this Agreement without prior written consent of the City'. Article V1111 Tie r ,na m I t'on of Contract (1) City may terminate this Agreement for its convenience on 30 days' written notice. (3) All reports,, whether partial or complete, prepared under this Agreement, including any original drawings or documents,1 whether furnished by the City, its officers, agents, employees, consultant ►,, or contractors,, or prepared by Consultant, all be or become the property of the City, and shall be furnished to the City prior to or at the time such, services are completeld, or upon termination or expiration of thi's Agreemen�t. Article IX Rilight to Audit (1) Consultant agrees that the City shall, until the expiration of three (31) years after final payment under this Agreement, have access to and the right to examnine any directly pertinent books, documents, papers and records of Consultant involving transactions relating to this Agreement., Consultant agrees that the City shall have access during normal working hours to all necessary facilities and shall be provided adequate and appropriate workspace in order to conduct audits in compliance with the provisions of this section. City shall give Consultant reasonabile advance notice of intended audits. (2) Consultant further agrees, to include in all its subcontracts hereunder, a provision to the effect that the subcontracting consultant agrees that the City shall, until the, expiration of three (3) years after final payment under the subcontract, have access to and the right to examine any directly pertinent books, documents, papers and records of such sub-consultant, involving transactions, to the subcontract, and further, that City shall have access during normal working hours to all sub- consultant facilities, and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this article. City shall give Consultant and any sub-consultant reasonable advance notice of 'intended audit. (3) Consultant and sub-consultants agree to, photocopy such documents as may be requested by the City. The City agrees to reimburse Consultant for the cost of copies at the rate published in the Texas Administrative Code in effect, as, of the Brno copying, is performed. Consultant acknowledges the MBE and S goals established for this Agreement and its accepted, written commitment to MB,E and' S participation. Any misrepresentation of facts (other than a negligent misre presentation) and the commission of' fraud by the Consultant may result in the termination of this Agreement and debarment from participating in City contracts for a period of time of not less than three (3,) years. Art1cle X11 Venue and Jurl"sdicti'on If any action,: whether real or asserted, at law or in equity, arises on the basis of any pirovis,ion of this Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas or the United States District Court for the Northern District of'Texas. , — Fort Worth Division. This, Agreement shall be construed in accordance with the laws of the State of'Texas. Article XIV Severablility The provisions of this Agreement are severable, and if sing wor phrase, clause, sentence, paragraph, section or other part of this Agreement or the application thereof to any person or circumstance shall ever be held by any court of competent jurisdiction to be invalid or unconstitutional for any reason, the remainder of this Agreement and the application olf'siu�ch word, ph rasel, clause, sentence, paragraph, section,, or other part of this Agreement to other persons or circumstances, shall not be affected thereby and this Agreement shall be construed as if such invalid or unconstitutional portion had, never been contained therein. The intersections included in the signal warrant studies and traffic signal timing project will include Gran bury at Gorman, holden, IH 2,0 Eastbound, IH 20 Westbound, and Bilglade. WORK TO BE PERFORMED Task 1. Project Management Task 2., Traffic Signal Warrant Studies Task 3. Traffic Signal Timing Task 4., Traffic Signal Upgrades TASK 1, PROJECT MANAGEMENT. ENG,I,N,E,ER will manage the work outlined in this scope to ensure efficient and effective use of ENGINEER'S and CITYl is time and resources. The data will be used to confirm the peak hours,to collect the turning movemient counts. • Speed Data —The ENGINEER will collect speed data on one (11)weekday during the extended 24 hour counts. The data will be used to determine the 85th percentile speed of the roadway. The speed data will be collected as part of the 24-hour bi-directional count. • 24-hiour machinie counts The ENGINEER will conduct up to four(4,) unidirectional tube counts at one intersection if it does not meet the four-lour warrant and the data is needed to meet the other volume warrants,., The data will be recorded in 15-minute increments. • Peak hour turning movement counts— Free hour turning movement counts will be collected at each intersection for four(4,), peak hours on a typical, weekday. Time periods willinclude, 2 hour counting, increments for the Weekday AM, PM; weekday off'-peak, and weekend peak. 2.2 Site Visits, 0 Conduct a site visit at each intersection to evaluate: — Site distance as defined by AASHTO Green Book, if needed to meet the signal warrant", — Pedestrian facilities, — Land use surrounding the site, — Near-by traffic generators, — Additional intersection specific needs that may warrant a signal, — Safety coins iderations,, — Intersection photos, needed to show any operational issues, — Existing Signal Phasing, — Lane widths, — Turning bay lengths, and — Any operational factors that may affect the intersection. 0 If any pedestrian generators (i.e., schools, after school care facilities) are found near the site, one additional site visit shall be made to determ� ine eixisting pedestrian patterns if the site visit is required for the, intersectiioin to, pass, a signal warrant. 0 Site distance evaluations at the intersections sihal,l, follow the guidelines of the 2004 issue of A Policy on Geometric, Design of Highways and Streets produced by the American Association of State H,igihway and Transportation Officials (AASHTO Green Book). The site distance evaluations will only be performed if' the intersection does not meet the 4 hour signal warrant. ATTACHMENT'KA"TO STANDARD AGREEMENT FOR ENGINEERING RELATED DESIGN SERVICES(REV 7/2'7/2009) PAGE 3 OF 11 2.3 Technical Memorandum Develop a technical memorandum for each intersection containing the following-, — 11 Signal Warrant Analysis showing if the intersection meets, any of the volume warrants as defined in the 2011 TxM TCD., — Site Specific Information detailing surrounding land uses:, traffic generators, school crossings, Fire Departments, and any other information that may generate the need, for a traffic signal. The site information will also include the site distance evaluations and the posted speed limits, near the intersection. — Site Distance diagrams, and results for intersections that do not meet the volume warrants — Collision Diagrams and results that are pro videld by the CITY., — Aerial Photo showing the intersection and surrounding area. 2.4 Review Meeting —conduct a review meeting with the CITY to discuss the technical memorandums. ASSUMPTIONS, 0 The data provided by the CITY will be provided at,the kick-off meeting. DELIVERABLES A., Technical Memorandum for each intersection (2 stapled copies of each intersection and, I digital copy). TASK 3, TRAFFIC SIGNAL TIMING The traffic signal timing Final Technical Memorandum shall be submitted to the CITY per the approved Project Schedule as well as the layouts required to show signal upgrades. The follor in intersections shall, have traffic signal timing plans: • Giranbury and, Gorman • Granbury and Belden • Granbury and IH 2,0 Eastbound Frontage Road • Granbury and IH 20 Wesitbo�und Frontage Road • Granbury and Bilglade The following activities apply for each intersection noted above: 3.1 Data Collection The ENGINEER will assess the data collection needs of the corridor and prepare a data collectioln plan specifically for the corridor. Data collection efforts will include the following.- ATTACHMENT"A"TO STANDARD AGREE MENTFOR ENGINEERING RELATED DESIGN SERVICES(REV 7127120091) PAGE 4 OF 11 1 CITY's proposed draft or finial Synchro TM signal timing data files for each time-of-day plan if available. 2. Extended 24 hour counts,—Seven days of continuous counts provide a record of variation in directional traffic volumes along the arterial. This information will be used to, confirm t'he number of timing plans to be imiplemented and the duration of each separate plan. The data gill cover both weekdays, and weekend. The ENGINEER proposes to conduct one (1) seven day 24-hour machine count. Using this data will also allow the engineer to compare with the 24-hour data collected as part of the signal warrant studies and determine if any adjustments need to be made to account for traffic variations. 3. Peak hour turning, movement counts,—The ENGINEER,will use data collected under Task 2 to conduct traffic signal warrant studies for this corridor. It is assumed that the original TMC rills be collected close enough to the signal 'timing data- therefore no Intersections will need to be recounted. 4. Existing -timing pilan, information -The ENGINEER will gather hard copies of the existing timing information for each signalized intersection frolm the CITY. The CITY will provide their existing, SYNCHRO model for the study corridor if one exists. 5. Existing signal infrastructure re —The ENGINEER will gather the following infrastructure and hardware information: at each signalized intersection: — Presence and functionality of Pedestrian Signals and Pushbuttons, — Traffic Signal Head configuration — Vehicle detection locations (stop line or setback by approach) 6. Intersection geometrics—The ENGINEER wil�l record the intersection geometrics, for each study location. Geometrics will include the number of lanes per approach, permitted lane usage (left only) right,only, shared, left and through, etc.), pedestrian crossing distances, and intersection widths (for clearance calculations). Corridor information: —Thie ENGINEER mill collect the following data.- Posted speed limits School zones and times Other observed impedances to traffic flow 3.2 Before Travel Time Runs 0 The, ENGINEER will use the floating car technique to record "before"' travel time, runs., 'Travel time runs,will be conducted for the AM, PM, weekday off-peak, and weekend peak periods. The ENGINEER rill make, four (4), travel time runs, in each direction,for each time period. These runs will establish : I the actual baseline conditions for the corridor and gill be used to calibrate the Baseline SYNCH model. 3.3 Conduct Baseline Analysis 0 The baseline analysis will serve to identify key issues related to traffic operations along the corridor. Analysis of the current conditions, gill be undertaken using SYNCHRO software., The followinig, tasks will be accomplished as part of the baseline analysis - Field Assessment-The ENGINEER will conduct,a thorough field A evaluation of the corridor. The evaluation will include a review and verification of'the existing timing plans, observation of the existing traffic oplerati�oins, and the potential impact of major driveways on corridor operations. - Review and Smooth Data­The, ENGINEER will review all data collected for quality assurance and consistency with field observations. Adjustments will be made to the collected data to eliminiate any inconsistencies or errors. Where appropriate, count data will be smoothed to take into,account observed conditions in the-field. - Develop Baseline SYNCH Model -the ENGINEER will build a SYNC,HRO network for the corridor utilizing traffic counts, signal timing and phasing, plans, and geome,trics collected previously. The ENGINEER will include pedestrian data as required to accurately reflect -traffic,conditions along the corridor. - Calibrate SYNCHRO Model -The ENGINEER will evaluate baseline conditions and calibrate the SYN'CHRO model to insure consistency between the output for measures of effectiveness and data collected. - Technical Memorandum -the ENGINEER will prepare a technical memorandum stating any minor nor improvements to the traffic signals that will improve the operation of the corridor. 3.4 Prepare Timing Plans 0 The ENGINEER will conduct an analysis of the corridor to determine basi c corridor operations parameters. The corridor analysis will result in the recornmendations for the following operational parameters*. - Cycle Len -The ENGINEER will conduct an analysis of the critical intersections to determine the optimal cycle length for that intersection. This cycle length will be tested to, determine its impact on other corridor intersections operations as well as its ability to provide pro�gress,i,on along the corridor. The cycle length selected wi'll be based on information collected in the field as well' as outputs from Synchro. Based on the analysis,, an optimal cycle length wi�ll be recommended for each timing plan. ATTACHMENT wA"TO STANDARD AGREEMENT FOR ENGINEERING RELATED DESIGN SERVICES(REV 7127/2009), PAGE 61 OF 11 Calculate Clearance Intervals, and Pedestrian Intervals-The ENGINEER will calculate, based on acceptable engineering standards, the clearance intervals, (yellow plus all red) and pedestrian crossing times, (walk and flashing don't walk). 3.5 Implementation and Fine-TTune Timing Plans The ENGINEER will meet with the CITY in a technical' work session to review results, of the data collection, field observation efforts, baseline conditions, results of'the corridor analysis,, and tirminig plans developed. The ENGINEER will, incorporate review comments into the development of final optimized timings for the corridor. The ENGINEER will then program Quiicne't in the CITY shop and conduct testing to ensure the timing plans, are working properly and correct any timing issues that are discovered. The CITY will program the controllers in the field. The ENGINEER will implement the timing plans in the field and conduct fine tuning effort by adjusting splits and offsets for each timing plan to arrive at the most efficient operation of the corridors. Following implementation of the timing plans, the ENGINEER will drive-thru the, corridor with the CITY to receive final approval of the plans. 3.6 After Conditions Analysis • The ENGINEER rill conduct an analysis of the "after", conditions, to assess the benefits oft a implemented improvements. • The ENGINEER will use the floating car technique to record "after"travel time runs., Travel time runs will be conducted for the AM, PM and weekday off-peak periods. The ENGINEER will make four(4) travel time runs in each direction for each time period. 'The ENGINEER will develop, a data collection plan similar to the data collected for the, Baseline Analysis that will be used to assess the ""After'operational conditions. As a minimum the subsequent data collection plan will include the following: - Travel Time Runs-The ENGINEER will collect after travel time runs following the same procedures and for the same time periods: as the Before Travel Time Runs. - Final Timing plan information-The final implemented and fine,tuned tirming Mans will be documented and used in the final analysis. 3.7 Final Corridor''Technical Memorandum 0 Following the corn lotion of the after condition analysis, the ENGINEER will prepare a Final Corridor Technical Memorandum that documents the benefits, of the im pilementation of the signal timing improvements, along the corridor. The plans will only show intersections that require new cabinets as well as locations for new radar detection. The plan set shall include the foillowing: 0 Estimate Summary Sheet" 0 Traffil'c Signal Upgrade Layout (pier intersection) showing existing traffic signal pollen, mast arras, pedestrian signal poles, and controller cabinet assemblies. Existing curb, lines will be created from aerial files provided by the CITY. Radar detection will be evaluated based, on existing pole locations and detection area required. A new 332 cabinet will be shown for intersections that currently have NEMA cabinets. The new cabinets,will be installed, on the existing cabinet base. Notes will be added to transfer the existing GPS clocks, to the new cabinets. The intersection of Granberry and Belden will also include ADA ramp upgrades. The layout sheet for Belden will include sidewalk ramp layouts, CITY standard and special sidewalk ramp details,, and sidewalk ramp quantities. ASSUMPTIONS, • The ENGINEER wild determine the pedestrian and ADA requirements.for the intersection of'Gira,nbuiry at Belden. • The plans shall be prepared in accordance with the applicable requirements for CITY plans, details, specifications, standards,, and manuals. Existing traffic 'signal specifications and standards furnished by the CITY will be used for design plans, unless otherwise requested by the CITY in wr,iiting!. These include*. Compensation A. The ENGINEER shall be compensated a total lump sum fee of $48,800 as summarized in Exhibit B-1, — Engineer Invoice and Section IV—Surrimary of Total Project Fees.
