CITY SECRETARY CONTRACT NO. Z))q )V-4,S_ AMENDMENT NO. 5 TO CITY SECRETARY CONTRACT NO. 41910 SYSTEM PURCHASE AGREEMENT BETWEEN CITY OF FORT WORTH AND MOTOROLA SOLUTIONS INC. This Amendment No. 5 ("Amendment") to City Secretary Contract No. 41910 System Purchase Agreement ("Agreement"), is made and entered into by and between the City of Fort Worth (the "City"), a home rule municipal corporation, situated, in portions of Tarrant, Denton, and Wise Counties, Texas acting by and -through Susan Alanis, its duly authorized Assistant City Manager, and Motorola, Solutions, Inc., ("Consultant"), acting by and through Dan Delaney its duly authorized MSSI Vice President, collectively referred to as the "Parties." RECITALS The following provisions are true and correct and form the basis of this Amendment: WHEREAS, on or about June 14, 2011, the parties entered into a System Purchase Agreement ("Agreement") to purchase a P25 Radio Communication System. The Agreement is a public document on file in the City's Secretary Office and referenced as City Secretary Contract No. ("CSC") 41910; and WHEREAS, oin or about May 23, 2012, the parties subsequently amended the Agreement via CSC No. 41910-A1, to incorporate changes agreed to during the Design Review and in accordance with the Agreement, to modify pricing structure, system description, scope of services, acceptance testing, equipment, LTE services, and other items as deemed necessary and agreed to by the Parties; and further amended the agreement on or about May, 23, 2012, via CSC No. 41910-A2, to extend the pricing provision and modify provisions for equipment storage; and further amended the Agreement on or about August 1, 2012, via CSC No. 41910- A-3 to incorporate changes in the Astro Repeater (ARS) site location from Texas Motor Speedway ("TMS") to American Tower Corporation Roanoke Site ("Roanoke ATC"); and further amended the Agreement on or about January 25, 2013, via CSC No. 41910-A-4 to incorporate changes for subscriber hardware and installations, training, and work at radio sites deemed necessary and agreed to by the Parties. CSC Nos. 41910, 41910-A1, 41910-A2, 41910-A3, and 41910-A4 are hereby collectively referred to as the ("Agreement"); and WHEREAS, the Parties wish to amend the agreement to incorporate changes in design, equipment, installation and work at Burnett Plaza Site, Roanoke Site, Bergh 2 Site, and Eagle Mountain Site; perform coverage testing; and additional training as agreed to by the Parties. The City of Fort Worth will lease a communications equipment room on the 31't floor for the P25 system deployment, with antenna systems installed on the roof above the 42nd floor.Tasks to be involved with this site implementation are described in this Statement of Work. The responsibilities listed in this Change Order 5 Statement of Work replace the responsibilities in the original contract, and Amendments 1 through 4, Statement of Work Linder heading 3.7.2 Site-Specific Site Development Responsibilities, and in particular, section 3.7.2.4 Burnett Plaza Simulcast Remote Site. All installations will be compliant City codes and Motorola's R56 Standards and Guidelines for Communications Sites, which include applicable NEC and other guidelines, to the extent plossibille. City of Fort Worth Civil and Construction Responsibilities 1. Lease the communications equipment room and rooftop usage as needed for the project 2. Provide and make arrangements for Mlotorolla and Motorola-subcontractor access to the site to complete the work 3. Perform engineering and design work of the communications room, and supporting requirements, including structural analysis, provisions for all power and HVAC systems, any and all coring needed for cables and wiring, and advise of any requirements, needed to complete the work described in this SOW 4. Construct the COMIM:Liinications room, including, but not limited to: floors, walls, ceilings, doors, locks, windows, window coverings, lights, HVAC, air ducts, temperature control, and security equipment 5. Comply with any City codes required for the construction and electrical work 6. Provide the final construction: drawings of the leased and support areas for use in completing the work, including Motorola-supplied information for any Motorola equipment or work to be performed 7. Provide the final electrical design, including the main service sizing and electrical one-line drawings 8. Update the final drawings with Motorola input of redlines identifying any corrections needled, as may be decided during construction and implementation 9. Supply the primary 3-phase electrical service,, and electrical service panel, inside the communications equipment room on the 31" floor — of sufficient capacity to supply all of the communications equipment and all additional requirements of the Communications room a. The Motorola-supplied UPS-backed distribution, panel will require a 200-amp circuit from the City-supplied main panel 10. Provide the electrical transformer that will supply 120VAC power to the communications equipment, including the UPS-backed electrical panel(s) 11. Install Motorola-supplied Type 2 protection on the main electrical service per R56 standards 12. All permitting as necessary for work described in this SOW 11 Provide and install generator with fuel tank and all accessories to fully power-back the main panel supplied in the communications room, along with all equipment to be operated in the room 14. Provide cored holes of at least 25"x 25"to support the cable ladder and all coaxial cables between floors that lead up from the 31"floor to the roof. With the exception of the transition on the 41't floor, cored holes should be positioned on top of each other,with only minor exceptions in a few areas between floors that may require slight adjustment to the cable ladder path. 15. Burnett Plaza building management will need to approve the installation and work before proceeding. 16. Provide and install all telecommunication links for connection to the P25 system or any of the communications equipment 17. Install any communications equipment needed that is not to be installed by Motorola a. Motorola will install the identified equipment for the P25 radio communications system, as defined in the original contract, and this SOW b. Motorola will relocate and install the 700 MHz base station for interface with the Dallas/COG system in the new communications room—which was originally providled in the Phase 1 P25 Project 18. Install any necessary sensors and/or wire any alarms for equipment that is not installed by Motorola to the MOSCAD punch block. For example, door alarms,generator,ATS, dehydrator, Type 2 SPD, and HVAC. 19. Ground any ancillary support items to MGB or IPGB per Motorola R56 standards (Le,g, metal door frame, H'VAC housing, City-installed ellectricaill panels, ducts, vents, etc.) 20. Ensure that 500 kcmil down conductor is connected to building electrical service grounding electrode(s) 21. Reposition any electrical devices or conduits necessary to support the coaxial cable entry on the 31"floor, and the coaxial cable path through the cored-holes to the roof 22. Install any non-UPS backed electrical subpanels and ground to IPGB, along with any additional' outlets inside the room Motorola Civil, Construction, and Electrical Installation Responsibilities, 1. Supply and install cable tray system 2. Install separate conduit, wiremold, or similar power cable raceway, clecoupled from the main cable tray,to support the electrical power wiring over the communication racks 3. Install 36-hole coaxial cable entry panel on wall leading to adjacent electrical chase area 4. Supply and install copper Master Ground Bus (MIGB) under coaxial cable entry panel to support up to 36 2-hole lug connections 5. Supply and install #2/0 equipment ground bus on cable tray system per Motorola RS6 standards 6. Transport 64 kVA UPS, bypass switch cabinet, and battery cabinet from Motorola project warehouse to final site location 7. Install 64 kVA UPS, bypass switch, and batteries per floor layout 8. Supply and install one main UPS distribution panel (approximately 20"'W x 60"H x 6"D) 9. Supply and install Type 1 surge protector on UPS-backed distribution panel 10. Supply and install four 42-circuit electrical subpanels (approximately 20"W x 38"H x VD) that can support up to 168 120VAC circuits, backed by the UPS 11, Install up to twelve (12) Motorolla-supplied Transte,ctor OP820 Series Surge Protectors at the top of communication racks a. These will have to be installed in a later visit, after communication racks have been installed by others b. Note that 9 of the 12 OP820 SPDs are identified in the current Motorola-supplied floor layout c. Up to 3 additional can be installed' for City-supplied communications equlipment in the racks, or separate drops (up to 20) can be supplied, instead. This will be determined in the City's final design prior to installation for a total of 150 circuits. 12. Individually wire each of eight (8) circuits per OP820 SPID to a 20-amp circuit breaker in the UPS- backed electrical subpanel (up to 96 circuits) 13. Supply and install Interior Perimeter Ground Bus (IPGB) per Motorola 856 standards and floor layout—minimum 4110 AWG 14. Supply and install ground wire and bond the following to the MGB, or IPGB per Motorola R56 standards a. Each of up to 25 communication racks and/or cabinets that may be installed in the room b. Coaxial cable entry(MGB) c. UPS cabinets (MGB) d. Electrical panels (IPGB) e. Cable tray system (MGB) f. Power raceway system (IPGB) g. Any metal components of the fire suppression system (TBD) h. Punchblocks if necessary (IPGB) i. Fire extinguisher attachment, if needed j. Motorola-installed metal conduit (IPGB) 15. Supply and install R56 compliant "BC" rated fire extinguisher 16. Supply and install R56 compliant eye-wash kit 17. Supply and install one Personal Protection Equipment (PPE) kit (includes full face shield, goggles, baking soda, acid resistance apron, and gloves)—per R56 paragraph 3.13.2 18. Supply and install punch-block panel with 4 punch blocks for alarm hookups 19. Wire fifty-four (54) 20-amp UPS backed circuits directly to Motorola-supplied radio equipment in communication racks. These will have to be installed after the communication racks of equipment have been installed by others. 20. Provide NEC required arc flash and shock hazard warning labels on all Motorola-installed electrical equipment added to the building electrical system 21. Label powered component or circuit on each breaker in panel and each OP8 circuit 22. Coordinate, attend, and assist manufacturer startup test of UPS 23. Wire available alarms of the following Motorola-installed components to the punch-block panel for interface with the MOSCAD system: a. UPS and bypass switch b. Type 1 SPID 24. Provide redline inputs for correction to the City's construction drawings, as may apply, at completion of the installation work. The City will formally apply the redline input to the construction drawings. City of Fort Worth Antenna System Installation Responsibilities 1. Relocate or remove all existing obstacles, on each floor of the antenna system cabling route, that are necessary to install the new coaxial cables and support ladders or trays, prior to Motorola beginning the installation of the antenna systems and supports. Obstacles noted during site walks inicllude, for example,various electrical components, panels, conduits, piping, transformers, etc. 2. With the exception of the coaxial cable entry to the communications room on floor 31, core all holes necessary for the antenna system installation, including above the louvers on the 42"d floor to support the doghouse or coaxial cable covering on the 42nd floor 3. Provide 1 DB420 antenna for Motorola installation (Siren system) 4. Provide I DB224 antenna for Motorola installation (High Water system) 5. Supply and install jumpers inside of communications room from Motorola-installed polyphasers to City-installed radios for High Water and Siren systems 6. Supply and install all jumpers and interconnections of Motorola-installed coaxial cables to the NPSPAC repeaters at such time as the City relocates these to the 31"floor. This will include final termination to the existing antennas, tower mounted amplifier, and repeaters. a. Note:The City will be responsible for any further antenna system sweeps associated with the completion of the NPSPAC antenna system installation, and performance related to existing equipment to be reused 7. Remove previously stored rooftop antennas and store elsewhere Motorola Antenna System Installation Responsibilities 1. Transport all Motorola-provided equipment to site 2. Work with the City of Fort Worth and Burnett Plaza building management to create a final construction schedule, coordinate all installations, and observe any requirements for the work Pre-Work to Antenna System Installations(prior to delivery of Motorola-supplied antenna system equipment): 3. Supply and install 6-hole, 20" cable ladder between all floors and to the roof level: up to 12 floors @ 13 feet per floor 4. Supply and install horizontal cable tray and all cable support hardware on 31st floor between the cable entry of the equipment room and the vertical cable ladder a. Provide copper bus bars and bond to building interior 500 kcmil down conductor on 36th and 31"floors b. Bond interior cable ladder to interior 500 kcmil down conductor on top floor and to bus bars on 36th and 31't floors 5. Supply and install cable tray and all cable support hardware on 40th floor level horizontally(up to 30 feet)for further route vertically to the 41't floor generator room 6. Supply and install outside "doghouse", or coaxial cable covering and protection, at 41" floor to allow outside transition of all cables to rooftop parapet—obtain Burnett Plaza approval prior to beginning work 7. Supply and install cable ladder from 41't floor doghouse to parapet approximately 30' up. Position this ladder approximately 6 feet from the Lightning Protection System (LPS) down conductor. 8. Bond exterior cable ladder to LPS down conductor at top and bottom of run — irreversible crimp or cadweld 9. Supply and install' any hardware or work needed to transition coaxial cables to inside parapet area—with Burnett Plaza approval 101. Supply and install any necessary hardware or cable ladder to top of parapet area (approximately 25') for routing coaxial cables to final location of antennas and Tower Mounted Amplifiers (TMAs) 11. Provide and install tinned-copper external ground bar (EGB) at doghouse entry area, and bond to LPS down conductor a. Note: tinned-copper will not be needed for internal ground bars, they may be copper only 12. Provide and install cable entry port panel as needed ............................................... 13. Bond doghouse covering, entry port panel, and adjacent vent covering to EGB 14. Bond exterior cable ladder and covering to LPS down conductor at top and bottom 15. Schedule and provide for hoisting all materials to the rooftop as may be necessary Antenna System Installations I of 2 (once Motorola-supplied equipment is delivered): 16. Transport 8 RF antennas, 2 TMAs,, 4 GPS antennas, all associated coaxial cable, and all ancillary equipment to the site for installation a. Note: Two RF antennas and 1 TMA have already been installed and will be used as part of the final 8 P25 system antennas and 3 TMAs. New coaxial cable will be supplied and installed to use with these 2 existing antennas and I TMA, as they will be transitioned to the new 31't floor equipment room. b. Note: The City of Fort Worth will supply 2 additional antennas (DB420 and DB224) for installation of 2 additional radios (Siren and High Water systems). Motorola will install these antennas, and will supply and install the associated antenna mounts, plenum and UV rated coaxial cables, connectors, ground kits, hoist grips, polyphasers, and top mounted jumpers for these 2 additional radios. 17. Authorize execution of a system purchase agreement in the amount not to exceed $39,345,641.55 with Motorola Solutions, Inc., for equiipment and professional services using Houston-Galveston Area Contract number RA01-08; and 4. Authorize execution of Amendment No. 2 to City Secretary Contract No. 40264 with Buford Goff& Associates to provide engineering and quality assurance services in the amount not to exceed $2,900,000.00. DISCUSSION: If approved, this M&C will approve a one-time exception to the Financial Management Policy Statements (FMPS) regarding debt structures with balloon payments, authorize the issuance and sale of Tax Notes to JP Morgan Chase in order to fund the project to upgrade the City's public safety and public works radio communications system instead of using the lease-purchase agreement previously approved, and authorize the execution of the related purchase and services agreements. The FMPS, adopted by the City Council on December 14, 2010, prohibits balloon debt repayment schedules which consist of low annual payments and one large payment of the balance due at the end of the term. However, due to a unique combination of circumstances, including rare market conditions, financing restrictions, and the urgency of the project to ensure continued maximum public safety, staff is seeking a one-time exception to the policy for the sole purpose of funding this long-term project via Tax Notes which have a maximum life of seven years. It is anticipated that the Tax Notes will be refunded prior to final maturity to accomplish proper amortization periods. On May 17, 2011, (M&C P-112'34 revised)the City Council approved the acquisition of hardware, software and services to upgrade the City"s public safety and public works radio communications system. On this same M&C,the staff recommendation was to fund this project via a lease-purchase agreement with Motorola. On today's Agenda is M&C G-17302 for separate consideration as staff's recommendation to rescind that authorization and repeal the related ordinances. Because of current market conditions, the City can finance this project quickly via Tax Notes, resulting in a projected savings of approximately $500,000.00 annually over the lease-purchase cost. Although the method of financing is transferring from lease-purchase to financed purchase, the General Fund will continue to be the source of repayment. The upgrade to a current generation digital system will more effectively meet the requirements of first responders, and fulfills state and federal objectives for interoperability amongst the region's similar ,agencies. This system will replace the City's current system acquired in 1992, which is no longer supported by the manufacturer. On September 16, 2008, M&C C-23055 was approved, authorizing Buford Goff and Associates, Inc., (BGA) to perform an assessment of the public safety radio system. In March 2009, BGA presented a report that key components of the system had reached end of their life expectancy, were no longer supported by the manufacturer and could suffer failures when taxed by emergencies and increased traffic. In light of these factors, the City was encouraged to act as soon as possible. On May 18, 2010, City Council approved M&C C-24221 authorizing BGA to develop a master plan for the City to upgrade its radio systems, and negotiate a competitively-priced agreement with the City's communications provider, Motorola Solutions, Inc. The master plan reinforced the urgency of the 2009 study. Given the current fragile state of the system, increasing service outages, the unavailability of replacement parts, and the financial challenges the City is facing, the Master Plan attempted to balance these factors and ensure a stable, reliable and secure communications infrastructure for Police, Fire, Waiter, Transportation and Public Works, Parks and Community Service and other City departments. On June 15, 2010, M&C C-24272 was approved to authorize the acquisition of the Project 25 (P25) standard master switch, or the core, of a current generation radio system along with one small site to operate as a potential backup to the existing system. The plan proposed by BGA and Motorola Solutions, Inc., builds upon the installation of this master switch and the initial site. Because of the magnitude of this project, the full build-out and migration is expected to require almost 48 months to complete. Assuming contract execution in July 2011, the project would be scheduled for completion in the first quarter of 2015. The total cost of the project is estimated not to exceed $53,000,000.00. This total includes$39,345,641.55 for hardware, software and services acquired through the System Purchase Agreement with Motorola Solutions, Inc.; $2,900,000.00 for engineering, consulting, and other professional services from BGA through March 2015; and additional costs for project management and site construction. Additional M&Cs will be submitted to the City Council for approval of these other project costs as necessary. Staff recommends execution of the System Purchase Agreement with Motorola Solutions. Under this agreement, the system implemented will include expanded coverage areas, specifically in west Fort Worth and at Texas Motor Speedway, and it will provide additional security features which will help prevent unauthorized monitoring of public safety communications transmissions. Public works personnel will also utilize a segment of this system, and if a significant event occurs, public safety personnel will have access to the public works portion as well. Ongoing support capabilities will be enhanced through 7x24 monitoring and dispatch by Motorola's network operations center. Staff also recommends execution of Amendment No. 2 to City Secretary Contract No. 40264 with Buford Goff&Associates for the provision of engineering, consulting and other professional services through March 2015. These services will include detailed work regarding system design reviews, frequency licensing, acceptance testing and other critical program functions. Staff is continuing to explore cooperative measures with other agencies for potential cost sharing and joint participation. This project is structured in such a way to enable such measures if they are realized in the future. Additionally, it is anticipated that the City Mangers Proposed Budget will include General Fund debt service transfers beginning in Fiscal Year 2013. PRICE ANALYSIS -The HGAC contract offers fixed discounts ranging from five percent to 26 percent, which remain unchanged from the previous purchase Agreement approved by City Council on March 18, 2008, M&C P-10750. Staff reviewed the pricing and determined it to be fair and reasonable. COOPERATIVE PURCHASE-State law provides that a local government purchasing an item under a cooperative purchasing Agreement satisfies any state law requiring that the local government seek competitive bids for purchase of the item. The Houston-Galveston Area Council contract was competitively bid to increase and simplify the purchasing power of government entities. M/WBE - Buford Goff and Associates, Inc., agrees to maintain its initial M/WBE commitment of-rive percent that it made on the original agreement and extend and maintain that same M/WBE commitment of five percent to this Amendment No. 2. Therefore Buford Goff and Associates, Inc., remains in compliance with the City's M/WBE Ordinance and attests to its commitment by its signature on the Acceptance of Previous M/WBE Commitment form executed by an authorized representative of its company. A waiver of the goal for M/WBE subcontracting requirements for Motorola Solutions, Inc., was approved by the M/WBE Office because the purchase of goods or services, is from sources,where subcontracting or supplier opportunities are negligible.
