HomeMy WebLinkAboutContract 42507 CITY SECRETARY CONTRACT NO +�-� MEMORANDUM OF UNDERSTANDING This Memorandum of Understanding ("MOU") is entered into by and between the City of Fort Worth (the "city"), a Texas municipal corporation with its principal location at 1000 Throckmorton Street, Fort Worth, Texas 75102, and CIBER, Inc., ("CIBER"), a Delaware corporation with its principal location at 5353 South Fiddler's Green circle, #1400, Greenwood Village, Colorado 80111. The city and CIBER are hereafter collectively referred to as the "parties." The City issued Request for Proposal ("RFP") No. 10-0354 on April 28, 2010 for Oracle PeopleSoft Financial and Supply Chain Management Software and Oracle Hyperion Budget Preparation Software Implementation Services (the "Services"). CIBER was selected as the top vendor, and the city and CIBER proceeded to negotiations pursuant to the RFP. On or about December 21, 2010, the parties negotiated agreed upon terms and conditions for the Services and reached substantial completion in the negotiations ("Negotiated Terms and Conditions"). Due to unexpected delays in the City's transition from a legacy records system to an Enterprise Resource Planning System for Human Resources and Payroll, the city finds it necessary to delay implementation of the Services no later than October 31, 2012. Based on the foregoing, the parties hereby agree as follows: 1. city staff intends to recommend that the Fort Worth City council award the City's contract for the Services to CIBER. 2. Both parties agree to honor the Negotiated Terms and conditions subject to final approval of the terms by the Fort Worth City council, with the exception of Key consulting Staff to be designated prior to contract execution. Additionally, both parties agree to honor the currently negotiated Scope outlined in the Statement of Work, including consulting services, and staffing levels, assuming the original project phase duration, which included a 24- month Phase IIA. In addition, assuming the same project duration, pricing will reflect the following based upon contract execution date: a. Should the final contract be executed between the MOU acceptance date and July 31, 2011, there will be no price increase b. Should the final contract be executed between August 1, 2011 and June 30 2012, there will be a 3% increase on price to offset cost increases c. Should the final contract be executed between July 1, 2012 and October 317 2012, there will be an additional 1% cost increase to offset cost increases 3. The parties agree that the Negotiated Terms and conditions will be firm and valid until October 31, 2012, subject to the preceding section 2. --- --~�- OFFICIAL RECORD City (4 Fort \Vorth ('111FIR. 1110. The parties acknowledge that this MOLD represents the understanding related to the Services to be provided to the City until such time as both parties have executed a final agreement consisting of the Negotiated Terms and Conditions, and such agreement has been approved by the Fort Worth City Council.
