Thereafter, the Annual Maintenance Fee for the Licensed Product(s) shall not increase by more than ten percent (l0%) per annum over the prior year's Annual Maintenance Fee. This limitation shall not apply to increases in licensed capacity or usage. The above Total Fee shall be payable by Client upon execution of this Agreement. ADDITIONAL TGRMS AND CONDITIONS: Client hereby acknowledges receipt of the above Licensed Product(s). The license gianted herein is peipetuaL Commencing June 28, 2014 and provided all fees due under this Agreement, including any applicnble upgiade fees, are paid in full, Client may elect to cancel maintenance services and retain the right to use the Licensed Product(s) in accordance with the tenns and conditions of this Agreement. If Clie��t elects to cancel maintenance seivices, Client (i) shall not be entitled to a refund of any fees which are due and payable under this Agi•eement or which have been paid, and (ii) shall not be entiUed to receive �ny rights provided for in the Agreement related to maintenance services incfuding Customer Support Desk, en�or con�ections, enhancements, improvements and updates. Client may elect to reinstate maintenance services by paying all maintenance fees that would have been due had Client not canceled m�intenance seivices, in addition to the Maintenance Fee for the then cunent mai��tenance period.
