The City of Fort Worth ("City") and Journal Technologies, Inc. ("Journal") entered
into a contract commencing on March 2, 2015, which is known as City Secretary
Contract No. 46477 (the "Agreement"). Under the Agreement, Journal agreed to
provide the City with hosting services; however, the City has made a business
decision to move the hosting services associated with the Agreement in-house.
Section 4.1 of the Agreement allows the City to terminate the hosting services
provided under the Agreement by providing Journal with a 90 day notice. This
letter is Journal's 90-day notice of termination for the hosting services being
provided under the Agreement. Pursuant to the terms of the Agreement, hosting
services shall no longer be provided to the City after the expiration of 90 days of
your receipt of this letter.
Additionally, the City requests that Journal work with the City as outlined in
Section 4.5 of the Agreement — Services Disentanglement to transition hosting
services. The City acknowledges that the level of disentanglement may be
different due to this change occurring prior to full implementation of the eCourt
case management system, and the City and Journal are committed to work
together as may be necessary to ensure a smooth transition.
Please note that all payments will continue to be processed pursuant to the terms
of the Agreement, and any outstanding invoices related to the terminated
services need to be submitted to the City for payment within 30 days of the
hosting service's termination date.
The parties agree that this letter serves as an amendment to the Agreement
effective 90 days after Journal's receipt of this letter by deleting all provisions of
the Agreement pertaining to Journal providing the City hosting services. The City
asks that Journal acknowledge this amendment by signing below and noting the

and will be filed with the City's City Secretary's Office.
