FIRST AMENDMENT TO FORT WORTH CONTRACT NO.
CITY SECRETARY CONTRACT NUMBER 44679
This FIRST AMENDMENT TO FORT WORTH CITY SECRETARY
CONTRACT NO. 44679 ("First Amendment") is made and entered into by and between
the City of Fort Worth, a home -rule municipal corporation of the State of Texas
("City"), acting by and through its duly authorized Assistant City Manager, and EnTex
Land Services, LLC, a Texas limited liability company ("Consultant"), acting by and
through its duly authorized Manager.
WHEREAS, in July 2013, the parties entered into a contract for Consultant to
review and compile data related to certain mineral units in which the City had an interest,
that contract being Fort Worth City Secretary Contract No. 44679 (the "Agreement");
and
WHEREAS, the term of the Agreement expires December 31, 2013; and
WHEREAS, Consultant has requested that the Agreement be extended to allow
additional time to complete the scope of work; and
WHEREAS, the parties wish to amend the Agreement to extend the term and the
period during which the current rate structure remains in effect.
NOW, THEREFORE, City and Consultant do hereby covenant and agree as follows:
1.
That Fort Worth City Secretary Contract No. 44679 is hereby amended to delete
Paragraph 2 in its entirety and to enact a new, revised Paragraph 2 to read as follows:

It is agreed that the above rate is effective through June 30, 2014, after
which Consultant will notify City in writing of any change in the
Consultant's rates.

2. As compensation for Consultant's services hereunder, City shall pay
Consultant up to $45,000.00 for services based on $300 per unit for a
quantity of up to 152 Units.

This THIRD AMENDMENT TO FORT WORTH CITY SECRETARY
CONTRACT NO. 44679 ("Third Amendment") is made and entered into by and
between the City of Fort Worth, a home -rule municipal corporation of the State of
Texas ("City"), acting by and through its duly authorized Assistant City Manager, and
EnTex Land Services, LLC, a Texas limited liability company ("Consultant"), acting by
and through its duly authorized Manager.
WHEREAS, the parties entered into a contract for Consultant to review and
compile data related to certain mineral units in which the City had an interest, that
contract being Fort Worth City Secretary Contract No. 44679 (the "Agreement"); and
WHEREAS, the parties twice amended the Agreement to extend the term, those
amendments being Fort Worth City Secretary Contract Nos. 44679-Al and 44679-A2;
and
WHEREAS, finalizing the project has required more time and units of service
than was previously anticipated; and
WHEREAS, the parties wish to further amend the Agreement to extend the term
and the period during which the rate structure remains in effect and to increase the total
number of service units required and the associated maximum compensation to be paid.
NOW, THEREFORE, City and Consultant do hereby covenant and agree as follows:

That Fort Worth City Secretary Contract No. 44679, as amended, is hereby amended to
delete Paragraph 2 in its entirety and to enact a new, revised Paragraph 2 to read as
follows:
2. As compensation for Consultant's services hereunder, City shall pay
Consultant up to $48,600.00 for services basgsLon.43.09 per unit for a

It is agreed that the above rate is effective through May 31, 2015, after
which Consultant will notify City in writing of any change in the
Consultant's rates.
Compensation will be payable upon submission of an invoice. In the
event that City disagrees with any amount due under the invoice, City
shall communicate such disagreement to the Consultant in writing within
thirty (30) days of the date the invoice is received.
2.
That Fort Worth City Secretary Contract No. 44679, as amended, is hereby amended to
delete Paragraph 10 in its entirety and to enact a new, revised Paragraph 10 to read as
follows:
10. This Agreement shall be effective as of 7/30/13 (Date) and shall continue
until the services requested under this Agreement are completed or. May
31, 2015, whichever is later. Either party may terminate this Agreement at
any time prior to such expiration, for any reason,upon thirty (30) days'
written notice. In the event of such termination, City shall pay Consultant
the compensation due to Consultant as of the termination date, including
reimbursement for expenses incurred in accordance with this Agreement
through the termination date.
3.
That all other terms and conditions of City Secretary Contract No. 44679, as amended,
that are not amended herein shall remain in full force and effect.
