MAINTENANCE AGREEMENT
THIS AGREEMENT, made and entered into this -lay of AL„� 5 , 2013, is
by and between Edwards Geren, Ltd., a Texas limited partnership, hereinafter referred to as "the
Landowner", Riverhills Homeowners Association, Inc., a Texas non-profit corporation,
hereinafter referred to as the "Association" and the City of Fort Worth, hereinafter referred to as
"City".
WITNESSETH
WHEREAS, the Landowner is the owner of certain real property described as an
approximately 345 acre tract located in the L.J. Edwards Survey, Abstract 464, F.G. Beasley
Survey, Abstracts 134 and 135, and S.C. Inman Survey, Abstract 824, Fort Worth, Tarrant
County, Texas, being a portion of the property described by deed to Edwards Geren Limited
according to the deed recorded in Volume 12915, Page 394, Deed Records, Tarrant County,
Texas, to be developed as a residential subdivision to be known as Riverhills, hereinafter called
the "Pronertv"; and
WHEREAS, the Property is being developed according to Concept Plan CP-08-003; and
WHEREAS, the City, the Landowner, the Association, and their respective successors
and assigns agree that the health, safety and welfare of the residents of the City of Fort Worth,
Texas require that on -site Storm Water Management Facilities be constructed and maintained on
a portion of the Property; and
WHEREAS, the Texas Department of Transportation is responsible for constructing on -
site Storm Water Management Facilities on a portion of the Property consisting of storm water
detention ponds that will serve the Chisholm Trail Parkway f/k/a S.H.121 ("CTP") and a portion
of the Property, the location and dimensions of which are shown and more particularly described
by metes and bounds in the attached Exhibit "A" (the "Detention Ponds") within those certain
City of Fort Worth Permanent Detention Pond Easements granted by the Landowner to the City

dated February 25, 2010, and recorded in the land records of Tarrant County on February 26,
2010, as Instrument Nos. D210042900, D210042901, D210042902 and D210042903
(collectively, the "Facility Property") and structures to convey storm water from the CTP to the
Detention Ponds (the "CTP Outfalls"); and
WHEREAS, the Landowner is responsible for constructing or causing construction of
structures connecting and conveying storm water between the Detention Ponds (the "Pond
Outfalls"); and
WHEREAS, the City is responsible for constructing or causing construction of structures
conveying stone water from the two Detention Ponds adjacent to the Trinity River to the Trinity
River (the "Trinity River Outfalls"); and
WHEREAS, the Association is responsible for adequately maintaining the Detention
Ponds; and
WHEREAS, the Association's obligation to maintain the Detention Ponds will commence
upon the occurrence of certain events as set forth in this Agreement; and
WHEREAS, the Pond Outfalls (when built) and the Trinity River Outfalls will be
maintained by the City,; and
WHEREAS, the CTP Outfalls will be maintained by the North Texas Transportation
Authority;
NOW, THEREFORE, in consideration of the foregoing premises, the mutual covenants
contained herein, and the following terms and conditions, the parties hereto agree as follows:
1. The Association, its successors and assigns shall adequately maintain the Detention
Ponds at no expense to the City of Fort Worth in accordance with the design
specifications for the Detention Ponds, attached as Exhibit "B". the current standards
then in force and effect in the City of Fort Worth and the Operations and Maintenance
Plan attached to this Agreement as Exhibit "C". Adequate maintenance is herein

defined as good working condition so that the Detention Ponds are performing their
design functions. The Storm Water Structural Control Maintenance Checklists,
attached to this Agreement as Exhibit "D", are to be used to establish what good
working condition is acceptable to the City.
2. (a) The Association's obligation to maintain the Detention Ponds in accordance with
this Agreement shall commence upon occurrence of all of the following conditions:
(i) Completion of as -built survey of the Detention Ponds by the Landowner,
at its expense, to determine whether the Detention Ponds are constructed
in accordance with approved plans;
(ii) Certification by the Parties that the Detention Ponds have been constructed
in accordance with approved plans, based on such as -built survey;
(iii) Acceptance of the Detention Ponds by the City; and
(iv) Completion of construction of Chisholm Trail Parkway Section 2 CSJ
0504-02-027, Construction Contract No. 02078-SWP-01-CN-PM) and
acceptance by the City of all improvements constructed pursuant to such
contract.
(b) The Association shall have no obligation to maintain the Detention Ponds until
all conditions set out in subsection (a) above are satisfied.
3. The Association, its successors and assigns shall inspect the Detention Ponds and
submit an inspection report to the City annually. The purpose of the inspection is to
assure safe and proper functioning of the Detention Ponds. Components of the
Detention Ponds, which need maintenance or replacement to perform their design
function, shall be noted in the inspection report along with the corrective actions to be
taken.
4. The Landowner, its successors and assigns, and the Association hereby grant
permission to the City, its authorized agents and employees, to enter upon the Facility
Property and to inspect the Facility Property and/or Detention Ponds whenever the
City deems necessary. The purpose of inspection is to follow-up on reported
deficiencies and/or to respond to citizen complaints. The City shall provide the
Landowner, its successors and assigns, and the Association copies of the inspection

findings and a directive to the Association to commence with the repairs if necessary.

5. In the event the Association, its successors and assigns fail to maintain the Detention
Ponds in good working condition acceptable to the City, the City, its authorized
agents and employees, may, after giving ten (10) days written notice to the
Association, enter upon the Facility Property and take whatever stens necessary to
correct deficiencies identified in the inspection report and to charge the costs of such
repairs to the Association, its successors and assigns. It is expressly understood
and agreed that the City is under no obligation to routinely maintain or repair
said Detention Ponds, and in no event shall this Agreement be construed to
impose any such obligation on the City, such obligation is the Association's.
6. The Association, its successors and assigns will perform the work necessary to keep
the Facilities in good working order as appropriate. In the event the City, pursuant to
this Agreement, performs work of any nature, or expends any funds in performance
of said work for labor, use of equipment, supplies, materials, and the like, the
Association shall reimburse the City upon demand, within thirty (30) days of receipt
thereof for all actual costs incurred by the City hereunder. In the event that the
Association fails to pay the City for the costs incurred under this section, the City
shall impress a lien for the costs of such work upon other lots owned by the
Association. Such lien shall be perfected by filing in the office of the County Clerk

of Tarrant County, Texas an affidavit identifying the property to be charged with such
lien, stating the amount thereof, and making reference to this Agreement.
7. This Agreement imposes no liability of any kind whatsoever on the City with respect
to maintenance of the Detention Ponds. THE ASSOCIATION AGREES, FROM
AND AFTER THE TIME ASSOCIATION ASSUMES THE OBLIGATION TO
MAINTAIN THE DETENTION PONDS PURSUANT TO SECTION 2, TO
HOLD THE CITY HARMLESS FROM ANY LIABILITY IN THE EVENT
THE DETENTION PONDS FAIL TO OPERATE PROPERLY. THE
ASSOCIATION COVENANTS AND AGREES AND DOES HEREBY
INDEMNIFY, HOLD HARMLESS AND DEFEND THE CITY OF FORT
WORTH, ITS AGENTS, SERVANTS AND EMPLOYEES FROM AND
AGAINST ALL COSTS, EXPENSES, LOSSES, DAMAGES, CLAIMS OR
CAUSES OF ACTION WHATSOEVER ARISING, OR WHICH MIGHT
ARISE, FROM THE FAILURE OF THE ASSOCIATION TO MAINTAIN
THE DETENTION PONDS' BEDS AND BANKS IN ACCORDANCE
HEREWITH, OR AS A RESULT OF ANY DAMAGES CAUSED TO
PERSONS OR PROPERTY DUE TO (1) FLOODING OF THE DETENTION
PONDS, (2) SLOPE FAILURE OF THE DETENTION PONDS, AND (3)
FAILURE OF THE DETENTION PONDS TO OPERATE IN A MANNER
CONSISTENT WITH CITY OF FORT WORTH CRITERIA TO PERFORM
ANY OF THEIR DUTIES OR OBLIGATIONS HEREUNDER.
8. The Landowner and the Association covenant and agree that no habitable building
shall be erected within the drainage easements outlined on Exhibit "A" but this
paragraph shall not preclude construction of other improvements within the drainage
easement which do not impede drainage. The Landowner and the Association
covenant and agree that no habitable building shall be erected on property adjacent to
the Facility Property which shall have a finished floor at an elevation less than two
feet above the maximum elevation of water in the respective detention pond which
would occur during a 100 year frequency flood.

9. This Agreement shall be recorded among the land records of Tarrant County, 'Texas,
and shall constitute a covenant running with the land, and shall be binding on the
Landowner, its administrators, executors, assigns, heirs, and the Association.

Operations and Maintenance Plan
The only responsibility the City of Fort Worth has in the operation and maintenance of the
Detention Ponds is inspection.
General Maintenance Procedures
The structural and functional integrity of the Detention Ponds shall be maintained at all times by
removing and preventing drainage interference, obstructions, blockages, or other adverse effects
into, through, or out of the system.
Periodic silt removal shall occur when the pond's storage volume is reduced by more than 10%.
Silt shall be removed and the pond/basin returned to original lines and grades shown on the
approved engineering plans. In addition, corrective measures are required any time a basin does
not drain completely within 72 hours of cessation of inflow. NO STANDING WATER IS
ALLOWED in basins designed for dry detention purposes.
Accumulated litter, sediment, and debris shall be removed every 6 months or as necessary to
maintain proper operation of the basin. Disposal shall be in accordance with federal, state and
local regulations.
Detention facilities shall be mowed monthly between the months of April and October
anytime vegetation exceeds 12-inches in height.

To prevent debris from entering and clogging the downstream storm sewer system a wire mesh
screen or similar screening device shall be installed over the outlet until final acceptance.
PREVENTIVE MAINTENANCE/INSPECTION
• Visual inspections of all components will be conducted every 6 months.
• A log shall be kept of maintenance actions, and inspections. The log should document
the condition of the detention system's primary components, mowing, and silt, litter and
debris removal dates. Document aeration of the basin bottoms and replanting to prevent
the sealing of the basin bottom.
• Written maintenance and repair records shall be maintained by the party or parties
signing the attached Agreement and shall be provided to the City upon request.

Dear Mr. Beck,
Pursuant to that certain Storm Water Facility Maintenance Agreement (SWFMA) entered into
on August 5, 2013 between the City of Fort Worth, Edwards Geren Ltd and Riverhills
Homeowners Association (Association), As Built Surveys of the Detention Ponds were received
on September 14, 2015 which indicated that the volumes excavated were similar to the
required excavation volumes indicated in the construction documents. Representatives from
Edwards Geren Ltd., the Riverhills Homeowners Association, Dunaway and TxDot visited the
site on November 20, 2015 and it was observed that the construction was generally conforming
to the construction documents and that the side slopes had been stabilized with erosion control
blankets and that winter vegetation was beginning to sprout.
Pending acceptance of the Detention Ponds by the City of Fort Worth, the Association is in
agreement that all other requirements of Section 2 of the SWFMA have been met and the
Association is ready to accept the Detention Ponds for maintenance in accordance with the
SWFMA effective upon receipt by the Association of written notice that the City of Fort Worth
has accepted the Detention Ponds.

City staff has inspected the Edwards Ranch Riverhills East and West Ponds (Detention Ponds)
that were constructed in TxDOT's Chisholm Trail Parkway Section 3A project and finds them to
be constructed in accordance with the approved plans and as -built survey. Please accept this
letter as the City's final acceptance of the Detention Ponds.

Association, Inc., for Maintenance of Associated Storm Water Detention Ponds
(COUNCIL DISTRICT 3)
RECOMMENDATION:
It is recommended that the City Council:
1. Authorize the execution of Amendment No. 1 to City Secretary Contract No. 43972, a Community
Facilities Agreement with Cassco Development Co., Inc., to add City participation in an amount not to
exceed $501,298.60 for the construction of storm drain improvements adjacent to the Chisholm Trail
Parkway; and
2. Authorize the execution of a Stormwater Facilities Maintenance Agreement with Edwards Geren,
Ltd. and Riverhills Homeowners Association, Inc., for the property generally known as Riverhills, a
residential subdivision and a part of the Edwards Ranch-Clearfork development, through which the
Chisholm Trail Parkway passes, with locations of the facilities as shown on the attachments hereto.
DISCUSSION:
Staff has worked closely with the developer to determine the appropriate infrastructure required to
serve the needs of the Edwards Ranch-Clearfork development while upholding the City's obligation to
provide the basic infrastructure to serve the Chisholm Trail Parkway project. It has been determined
that additional storm drain improvements are required in order to serve the drainage needs of the
section of Chisholm Trail Parkway that runs through the Edwards Ranch-Clearfork development. The
total construction cost to oversize the proposed storm drain facilities is estimated to be
$526,764.00. The City's participation will be $455,726.00 plus a 10 percent contingency of
$45,572.60 making the City's total participation not to exceed $501,298.60. The City is required by
Agreement with the North Texas Tollway Authority to perform any storm drain betterments that may
be necessary to support the construction and operation of the Chisholm Trail Parkway (City Secretary
Contract No. 26411, executed November 28, 2000).
A part of the overall stormwater management program for the Edwards Ranch-Clearfork development
(including Riverhills) and the Chisholm Trail Parkway, a series of detention ponds and related outfall
facilities are being constructed to capture and limit storm water runoff from the development and the
parkway to pre -development levels. The Maintenance Agreement will ensure proper maintenance of
the detention ponds by the developer and homeowners' association, at no cost to the City. If the
developer or homeowners' association fail to properly maintain the detention ponds under the
Maintenance Agreement, the City will have the right to take all steps necessary to ensure the
detention ponds are operating according to City standards, to correct deficiencies, and to recover its
costs. This requirement to maintain the detention ponds will run with the land.

The project is located in COUNCIL DISTRICT 3 and serves to improve the Chisholm Trail Parkway
which also runs through COUNCIL DISTRICTS 6 and 9, Mapsco 74Z.
FISCAL INFORMATION/CERTIFICATION:
The Financial Management Services Director certifies that funds are available in the current capital
budget, as appropriated, of the SH 121T Southwest Parkway Fund.
