A PROFESSIONAL SERVICES AGREEMENT WITH SUSAN ALLEN KLINE
THIS FIRST AMENDMENT TO CITY SECRETARY CONTRACT NUMBER 44376
("First Amendment") is made and entered into by and between the City of Fort Worth, Texas, a home-
rule municipal corporation of the State of Texas ("City"), acting by and through its duly authorized
Assistant City Manager, and Susan Allen Kline ("Consultant"), a natural person and Texas Historic
Preservation Consultant.
WHEREAS, on March 18, 2013, the City and Consultant entered into City Secretary Contract
("CSC") number 44376 ("Contract"), a professional services agreement for in which the Consultant
agrees to perform eatensive research and preparation and possible publication of a manuscript on the
histoiy of the City of Fort Worth Parks and Community Services Department provisionally entitled,
"History of Fort Worth Parks";
WHEREAS, the City wishes to increase the scope of work to include the brief histories of
approximately 130 additional parks for inclusion into Chapter 8: Park and Recreation Facilities of the
Commissioned Work;
WHER�AS, Consultant requires additional compensation for the additional scope of work;
WHEREAS, it is the desire of the City and Consultant to amend the Contract to increase the
scope of work and the compensation associated therewith; and
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained
herein, the City and the Consultant do mutually covenant and agree to amend the Contract as follows:
I.
Exhibit B of the Contract, which details the delivery and payment schedules for the
Commissioned Work, is hereby replaced with the exhibit attached to this First Amendment as Exhibit B.
The attached Exhibit B is hereby incorporated into the Contract for all purposes and supersedes the prior
Exhibit B. All references to Exhibit B in the Contract shall refer to the attached Exhibit B.
II.
That Section 2, "Compensation; Payment Schedule", of the Agreement is hereby amended in its
entirety to read as follows (and includes the deletion of Section 2.3):
"2.1 City shall pay the Consultant an amount not to exceed TWENTY-TWO
THOUSAND DOLLARS ($22,000.00) in accordance with the payment schedule in
Exhibit B, which shall constitute full compensation for all service to be performed and
materials to be furnished by Consultant under this Contract, except that the City will
reimburse Consultant for actual cost of out-of-pocket expenses for r r-oduetio�-sosts-fo� —

2.2 City agrees to pay Consultant ui the installments set forth in E�chibit B, each
installment to represent full and final, non-refundable payment for all seivices and
materials provided prior to the due date thereof. City shall make each installment
payment within thu-ty (30) calendar days after acceptance, receipt, and approval by City
of the respective Commissioned Work product and any invoices or progress reports
required and set forth in E��hibit B."
III.
Funds previously paid to the Consultant piior to this Fust Amendment shall apply toward the
total compensation paid to the Consultant.
IV.
All terms and conditions of the Contract that are not expressly amended pursuant to this First
Amendment shall remain in full force and effect.
V.
All terms in this First Amendment that are capitalized but not defined shall have the meanings
assigned to them in the Agreement.

Invoices and progress reports must be submitted by the 10'h of the month following each deadline.
All deadlines may be extended by mutual written agreement of the parties.
*City may pay Consultant contingency funds in an amount not to exceed $1,500.00, at an hourly rate of Seventy
Dollars ($70.00), for unforeseen costs associated with the Commissioned Work. The Consultant must seek prior
written approval from the City's Parks and Community Services Director or that person's designee before
incurring any costs against the contingency funds.
