1. This Memorandum of Understanding (MOU) is made on the 1St day of October, 2010 between the
City of Fort Worth Parks and Community Services Department (PACS), herein referred to as "City"
and Camp Gladiator, herein referred to as "Contractor," who will provide the following outdoor
program at Trinity Park.
Tuesday and Thursdav 5:30am - 6:30am: Monday and Wednesday 6:15pm - 7:15pm: SaturdaX
9:OOam -10:OOam. At the location identified in Exhibit A.
2. The services herein described will be provided by and under the supervision of the Contractor, as
an independent contractor, subject to the following conditions:
A. Camp Gladiator agrees to pay the City $150.00 or in equal payments of $50.00 monthly.
Payment is due by the 10� day of each month.
B. The Contractor will not discriminate against anyone on the basis of race, color, national origin,
age, handicap, creed, religion, sex, ancestry or place of birth in the provision of services to the
public, and will comply with all applicable provisions of TITLE VI of the Civil Rights Act of 1964
and the Rehabilitation Acts of 1973 and 1974. In addition the Contractor will comply with the
conflict of interest provision of the City, in the performance of the specified activity/service;
and agrees to adhere to the rules and regulations of the City and understands that the City may
immediately cancel the MOU for any violation by the Contractor of Paragraph 2 of this MOU.
3. The Contractor agrees to indemnify, defend and hold harmless the City, its elective and appointed
representatives and any employee or agent of the City from any and all claims on behalf of any
person, firm, corporation or agent, including the Contractor, arising from Che performance of this
agreement.
4. The contractor will provide proof of insurance with a combined single limit for bodily injury and
property damage of $500,000 per occurrence or its equivalent, and the City shall be named as
additionally insured on the Certificate of Insurance.
5. The Contractor agrees to reimburse the City for any cleanup and/or damage to Park Property as a
result of operating this Outdoor Program within fifteen (15) days of notice.
6. The Contractor understands that this MOU must be followed by the execution of a Personal Services
Agreement no later than 90 days after the execution of this MOU. This MOU will terminate on the
31St day of December, 2010.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement and any attachments and
exhibits in multiples in Fort Worth, Tarrar
