FIFTH AMENDMENT TO
CITY SECRETARY CONTRACT NO. 52570
WITH BURNS & MCDONNELL ENGINEERING
COMPANY,INC
This Fifth Amendment is entered into by and between the City of Fort Worth ("City"), a
home rule municipal corporation situated in Tarrant, Denton, Parker, Johnson and Wise counties,
Texas, and Bums&McDonnell Engineering Company, Inc. ("Consultant"), a Missouri Company,
each individually referred to as a "party" and collectively referred to as the "parties."
WHEREAS, City and Consultant entered into an Agreement identified as Fort Worth City
Secretary Contract No. 52570 on or about July 29, 2019; and
WHEREAS, the purpose of the Agreement is for the provision of solid waste consulting
service; and
WHEREAS, on January 14, 2020, the parties executed the First Amendment to the
Agreement to allow for expanded services, new term and a not to exceed amount of $470,900
(M&C-19-0397); and
WHEREAS, on or about May 27, 2020, the parties executed the Second Amendment to
extend the term of the Agreement to June 20, 2021; and
WHEREAS, on or about January 26, 2021, the parties executed the Third Amendment to
amend the scope of work to include Task 10.
WHEREAS, on or about April 19, 2021, the parties executed the Fourth Amendment to
the Agreement to extend the term until June 20, 2022 to allow for the completion of work at no
additional cost to the City; and
WHEREAS,the parties now wish to extend the term of the Agreement from June 20,2022
to December 31, 2023 to expand the scope of services to be performed at an additional cost to the
City of$75,000 increasing the Not-to-Exceed amount to a total amount of$545,900.
NOW,THEREFORE,for and in consideration of the mutual covenants contained herein,
the parties agree to amend the Agreement as follows:
L Section 1. Exhibit A. Scope of Work. Exhibit A-1 shall supplement Exhibit A of this
Agreement.
II. Section 2. Term. The term of this Agreement, as amended, shall be further amended
to be effective from June 20, 2022 until December 31, 2023, unless terminated in
accordance with the provisions of this agreement.
III. Section 3. Compensation. The Not-to-Exceed amount for the Agreement shall now
be $545,900 as provided for by this Fifth Amendment. No additional work shall occur

in excess of the amount stated in Exhibit A-1 unless there is written authorization from
the City.
IV. Section 4. Other Terms and Conditions. All other terms and conditions of the
Agreement shall remain the same.
IN WITNESS WHEREOF, this Agreement shall be deemed fully executed as of the last date
indicated below:

EXHIBIT A-1
SCOPE OF WORK
The following consulting services will be provided to the City from Burns & McDonnell, which
may include but not be limited to the following:
► Updating cost of service and financial analysis
► Long-term disposal planning
► Landfill gas to energy project analysis, strategy and planning
► Financial fee structures and market analysis (e.g. residential, commercial, landfill)
► Solid waste and resource recovery planning
► Solid waste and recycling characterization and auditing
► Public involvement and stakeholder engagement services
► On-site meetings with the City and/or contractor(s)
► City manager and City Council meetings and/or presentations
► Assistance with contractual issues, including RFP development, proposal evaluations and
negotiations
► Ad hoc reporting, analysis, meetings, and review of materials
FEE
The budget allowance for the amended agreement is $75,000 and will be billed based on the billing
rates included in the following table. Burns & McConnell will not exceed the $75,000 limit unless
approved in writing by the City.
