This VENDOR SERV�CES AGREEMENT ("Agreement") is made and entered into by and
betweEn tl�e CITY O� FORT WORTH ("City"), a Te�as home rule Enunicipal corporation, acting by and
th�•ougl� its duly autl�orized Assistant City Manager, and Ana-Lab Corporation {"Vendor"}, a Texas
Corporation and acting by a��d titrougl� its duly authorized representati�e, each individually �•eferred to as a
"�a�•ty" and collectively r•efecred to as the "pat•fies."
I. Sco e of Se�-��ices. Laboratory Analytical 5ervices ("Services"}, whic9� are set forth in
more detai] in �xl�ibit "A," attached lie��eta and inco�•Aorated 1�erein for a!1 purposes.
2. Ter�n. This Agreement 6egins on September 1, 2022 ("Effective Date") and expires on
Septernber 3a, 2022 ("�xpiration Dake"), unless terrr►inated earlier in accordance with this Agreeme��t
("inikial Term"}. City �yill have tl�e optior�, in its soie discretion, to rene�v this Agreerr►enE under tl�e sa�ne
terms and conditions, foi• uA to five {5) one-year renewal option(s) (each a"Renewaf Term"}.
3. Co�nnensation. Ciiy will pay Vendor in accordance �vith tl�e provisions of#his Agreement,
including Exhibit "B," �vltich is aYtached k�ea'eto and incorporated herein for all pur�oses. 'I'otal
compe��sation under #l�is Agreement will not exceed NINETEEN THOUSAND TIIRE� HUNDRED
Dol[ars ($19,300.00). Vendor wil] not perform any additionaf sei•vices or bi11 for expenses incunred for City
not specified by this Agreement unless City requests and appro�es in wriiing tlie additional casts %r stich
servEces. City �vill not be liable fqz- any additio�ial expe3�ses of Vendor not specified by this Ag►-eetnent
unless City first approves suclf expea�ses in writing.
4. Terminafion.
4.1. Writte�� Notice. City or Vendo�� �nay terminate th[s Agree�nent at any time and for
any �•eason by providing the other party witl� 30 days' written notice of termination.
4.2 Najt-a�propriation of FuEids. Tn tlie e�ent no funds or insui�cient funds ai•e
appropriated by City in any fiscal pe��iod for any payments due hereunder, City �vill notify Vendor
of sucli occurre�ice and tl�is Agreement will terminate on the last day of tlze fisca] pei•iod for w13icE�
appropriations E�ere rec�ived �vithout penalty o�� �xpense #o City of any kind �vhatsaever, except as
to the portions of tlfe payments herein agreed ti�on for �vhich funds ha�e been appropriafed.
4.3 Duties aa�d Obligatio�is of_the Pai�ties. In the event tl�at titis AgreemeElt is
termi��ated priar to the Expiration Date, City will pay Vendor for services actually rendered up to
tl�e effective date of te�•mination and Vendor wiil conti�tue to provide City ��ith sea-vices requested
by City and in acco�•dance witii #]ais llgreement up tp tlae effective date of termination. Upon
ter�nination of this Agreement for any reaso��, Vendor will provide City with copies of al[
co�npleted or gartially completed dacu�nents prepared under this Agreement. In ti�e event Vendor

5. Disclosure of Confiicts and Con�dential Information.
5.1 Disclos�Ere of Confiicts. Vendor hereby warrants to City that Vendor has tnade ful]
d�sclosu►-e in writing of any existing oi' potentia] conflicts of interest c'elated to Vendor's se�•vices
�u�der this Agree�nent. In tlfe e�ent that any conflicts of iciterest �rise after tile Effective Date aitliis
Agree�nent, Ve�idor hereby agrees immediately to make full disclosure to City in w��itiE�g.
S.2 Confide�itial Iiiformation. Vei�dor, for itself and its office►•s, agents and employees,
agrees that it will treat all information provicled to it by City ("City Informatio�7") as con�dential
a�3d will not disclose any such itt�ormatiott to a thi�•d party wikhout tl�e prio�• written approval of
C ity.
5.3 Public I��foi�mation Act. City is a government entity under ihe laws of the StaEe of
Te�as and all doc�rments hekd or znaicftai�fed by City are siibjeck to disclosure under t11e Teaas Public
Iijfor�nation Act. IE� tlie event tlfere is a rcqtiest for information marked Confidential or Pi'opx'ietaiy,
City will promptfy notify Vendor. It will be flie responsibi�ity of Vendor to submit reasons objecting
to disclasure. A deterinination o�i whether such reasons are s��fficient will not be decided by City,
bi�t by tile Office of the Attor«ey General of the State of Texas or by a court of campetent
j►�risdiction.
5.4 Ui�authorized Access. Vendar must store and maintaii� City Infoc•mation i�l a secure
tnantter aR�d will nok allow unauthorized users to access, modify, delete ar otherwise corrupt City
Informatio�� in any wsy. Vendo3• must notify City immediately if the secw•ity or integrity of any
City Ii�%r���atioj� l�as 6een coinpromised or is be�ieved to Ilave been compromised, in whici7 evei�t,
Veitdor will, i�} good faith, use all conunercially reasonable efforts to cooperate with City iit
identifyi�fg what infa•m�tiocl has been accessed by unatithorized means and wili fi�liy cooperate
witl� City to protect such City Information fi•om fiit�ther unauthorized disclosuR�e.
6, Rigl�t to Audit. Vendor ageees that City wil�, until the expiration of th��ee (3) yeats af�er
final paytne��f under tlfis Agreeinent, or the fi�ial conclusion of aily audit co�nmea�ced duri��g the said t}u�ee
years, have access to and the right to examine at t'easa��able tiines any directly perti�fent books, docurnents,
papers and �•ecoi•ds, ieicluding, but �iot fimited to, all eleckro3�ic records, of Ve��dor invalving trai�sactions
relating to tl�is Agree�ne��t at no additional cost to City. Vendor agrees that City will have access di�ring
normal working hours to all necessa�•y Vendor facilities a�id wi�l be provided adequate and appropriate work
space in order to conduct audits in compliance with tife provisions of this sectio�l. City will give Va�tdor
reasonable advance notice of inta�ided audits. �
7. Indenendent Contractor. It is eYpressly tinderstaod at�d agreed that Vendor will operate
as �n independent cont�•actor as ta all rights and privileges and work perforined under tiiis Agreement, and
nat as agent, re}�t•ese��tative or employee of City. Subject to and in accordance wifh the conciitians and
pro�isions of this Agree�nent, VeEldor will have the exclusive right to cai�tro� the details of its operations
and aciivities acid be solely respo��sible for the acts and ornissio��s of its officers, �gents, sei•va»ts,
employees, Ve�idors, and subcont�•actoi•s. Vendor acknowledgcs that thc doctrine of 1�espofrderrt sirpel�io��
will Eioi apply as berivicen City, its of�ce�'s, agents, se�'vants and em�loyees, and VeElda�•, its afficers, agents,
employees, se�•vants, coi�t�•actoi•s, and s«bco�itractors. Vei�dor fiu•ther agrees that notlfin�; liez•ein will be
construed as the creation of a part��ership or joint enterprEse between City a��d Vendor. It is fiirth�r

unde�•stoad that City will in na way Ue considered a Co-employer or a Joint e�nployer of Vencioa• or any
officers, agents, servants, employees, cont�•actors, or subcontractors. Neither Vendor, nor aify officers,
age�tts, scrvants, e�nployees, contraetors, or sul�contractors of Ve�ldor will be e��tit�ed to any employment
be��efits f1•om City. Vendor will be responsiUle ai�d fiable far a�iy and all payment a�id repor•ting af taxes on
behalf of itself, and any of its o�ficers, agents, servants, employees, contractors, or cantractoc•s.
8. Liability a��d I��detitrtification.
8.1 LIAB1'Ll'TY - vENDOR WILL BE LIABLE AND RESP011jSIBLE FOI� ANY
AND ALL PROP�RTY LOSS, PROPERTY DAMAGL' AND/OR PERSONAL 1'NJURY,
INCLUDING DEATH, TD ANY AND ALL PERSONS, 4T ANY ICIND OR CHARACTER,
WHETHER REAL OR ASSERTED, TO THE EXTENT CAtISED I3Y THE NEGLIGENT
ACT(S) OR OMISSION(S), MALF�ASANCE OR INTENTIONAL MISCONDUCT OF
YENDOR, ITS OFFICERS, AGENTS, SER VANTS, EMPLOYEES, CONTRACTORS, OR
SUBCONTRACTORS.
8.2 GENERAL INDEMNITICATION - VENDOR HEREBY CO vENA1VTS AND
AGREES TO INDEMNI'FY, HOLD HARMLESS AND DEFEND CITY, ITS OFFICERS,
AGENTS, SERVANTSAND EMPLOYEES, FR4MAND AGAINSTANYAND ALL CLAIMS
OR LAWSUITS OFANYKIND OR CHARACTER, WHL'THER REAL OR ASSERTED, TOR
EITHER PROYERTYDAMAGE OR LOSS (1'1VCL UD1'NGALLEGED DAMAGE OR LOSS TO
VENDOR'S BUSINESS AND ANY RESULTING LO.ST PROFI�S) AND/OR PERS'ONAL
IN.TURY, INCLUDING DEATH, TO ANY AND ALL PLIlSONS, ARISING OUT OF OR IN
CONNL'CTION WITH THIS AGREEMENT, TO THE EXTENT CAUSED BY THE
NEGLIGENT ACTS OR OMLS.SIONS OR MALFEASANCE OF VENDOR, ITS OFFICERS,
AGEIVTS, SER I�ANTS, EMPLOYEES, CONTRACTORS, OR SUBCONTRACTORS.
8.3 INTELLECTUAL PROPERTY INDEMNIFICATION — Vendor agrees to
ciefenci, settie, or pay, at its o�vn cost and expense, any claim or actian agains# Cify for
iufringement of any pafent, copyright, trade marl�, h•acle secret, or similar property rigl�t
arisiug fro�n City's use of the sofhvare and/oi• documentation iti accot•ciance rvitkt tl�is
Agreemenf, it i�eing imdersfood fl�at tl�is agreeme�it fo defend, settle o3• �ay ��ill no# apply if
Cify modi�es oi• mis�iscs the software and/or documentafion. So long as Vencior bears the
cost and expense af payment for clain�s or actious agait�st City p����suant to th'rs sectio�x,
Vendoi• will l�ave tl�e right to concluct the defense of any such claim or action anc� all
uegotiations for ifs settlemeitt or com�romise and to settle or campromise any suclz claim;
�iorveveK•, City �vill E�ave the i•iglit to fully �articipate iri a��y a��cl all sucla settlement,
negotiations, or la�vsuit as ��ecessa�y to protect City's interest, and City agrees to cooperate

additionaf charge to City; or (d) if none of the foregoing alternatives is reasonaUly available
to Vcndor termi��ate tl�is Age•eczneni, and refiuid all a�nounts paicl io Ven[lor by City,
subsequey�t ta rvk�iel� te�•�uivatiora City �nay seelc any �nd all remec�ies available to City m�cler
la�v.
9, Assig�ime�ft and Subcontracting,
9.1 Assig�ime�it. Vendor will not assign oi• subco�itract any of its duties, obligatiot�s
or rights ut�der tk�is Agreement witl�out tl�e p►-io►• written co�isent of City. If City grants co»sent to
an assigEimeiat, ti�e assigc�ee will execuke a written agreetne��t with City az�d Vea�c�o�• u��de�• whici�
the assigi�ee agrees to be bo►ind by the duties and obligations of Vendor ut�der tliis Agreetne�rt.
Vendor wil! be ]iable for all ohligations of Vendo�� under this Agreement prior to ti�e effective date
of the assign�nent.
9.2 Subcontract. If C�ty grants consent ta a subcontract, the subcontractor will execute
a wi•itten agree�ne��t with Vendoc• referencing tl�is Agreement t�nder whicl� subcontractor agrees to
k�e botuid by tlie duties and obligations of Vevdor under ti�Es Ag�•ee�neirt as sucl� duties and
obligations may apply. Vendor must provide City with a fiilly executed copy of aEly such
siEbcontract.
l0. Ynsurance. Vendor rnust provide City witll certificate{s) of ins��ra�ice doeumeniin�
policies of the fallowing types �r�d �nii�iinum covei•age limits that are to be in effect prior to commence��ent
of any Services pu�•suant to this Agreement:

vehicle" will be airy vehicle owned, hired and non-owned.
(c) Worker's Compensation:
Statutory limits accordi�lg to the Texas Workers' Compensation Act or a��y other
state workers' compeiisation laws where the Serviccs are 6eing performed

Professional Liability coverage may be p�•ovided through an endorsement to the
Co���Enercial Ge��eral Liability (CGL} policy, or a separate policy specific to
Professionaf E&O. Eitl�er is acceptable if cove��age meets all other rec�uirements.
Cover•age mt�st be claims-made, and maintai�ied for tlie du��ation of the conti•act�Eal
agreetnent a�id for two {2) years foliowing comp�etion of ser�ices provided. An
annEial certificate of instu�ance inust be submitted to City to evidence coverage.
10.2 Ge�leral Req��i_r_ements
(a) The commercial ge«eral liability and aukoinobile liabiiity policies must
name C�ty as an additional insured ti�ereon, as its intei•ests �nay appear. The teri�
City includes its employees, officars, officials, agents, a3�d vo[unteers ii� respect to
the contracted se�•vices.
{b) The workers' compensatioti policy must i»clude a Waiver o�'Subrogation
{Rigkit of Reco�ery) i�t favo�• of City.
(c} A ininimum of Thirty (30) days' notice of cancellation or reduction in
limits of covei•age ms�st be pro�ided to City. Ten (10) days' �latice will be
acceptable in t��e eve��t of non-paymei�t ai pre�nium. Notice �nEist be sent to the
Risk Manager, Cily of Fort Worth, 200 Texas Street, Fort Woi�th, Teaas 76102,
witii copies to the Foi�t Worth City Attorney at tlfe same address.
(d) The insurers for all policies must be licensed and/or app�•oved to do
bt�siness i�� tl�e State of Texas. All insiirers must ��ave a mini��itun rating af A- VII
in tfie curi�ent A.M. l3cst Key Rati��g Gt�ide, or have i•easo��ably equi�alent fitfa�icial
stre«gfh and solve��cy to H7e satisfaction of Ris�C Management. If the ratii�g is
be�ow that required, tvritteti appro�al of Risk Manage�nent is requiretl.
(e) Any �ailure on tlfe part of City ko request rec�uired insura��ce
documentatioii will not constitute a waiver of tl�e insiE�•ance reqi►irement.
(� Certi�cates of I��surance evide��cing that Vendar has obtaitted ail requirect
ins�irance will be delivered to the City pi•ior to Ve»dor proceeding witlf any work
puz•suant to this Agi•eement.
I 1. Comnliance with Laws, Ordinances, Rules a»d Reeulations. Vendor agi�ees that in tl�e
��erformance of its obligations fiereunde�•, it will comply with all applicable federal, state a�3d local laws,
o►•diiia�ices, rtiles ai�d i•egulations and that any work it produces it� connection witli this Agreeme��t will also
comply with a[1 applicable federal, state and loca! Iaws, ordinances, �•��les and regulations. If City notifies

Vendor of any �iolation of such lzws, ordinances, rules or regul�tions, Venc�or must immediately desist
from and correck the �iolation.
12. Non-Discrimination Covenant. Vendor, for itseff, its personal representati�es, assigns,
contractors, su%cotitractors, and successors iEt interest, as part of the consideration hereiEi, a�rees tEiat in the

13. Notices. Notices requi�•ed �u�•suant to the provisions of this Agreei�ent will be

employees, servants or eep�•esentatives, (2) deli�ered by facsimile wi#h electronic confirmation of the
tra��smissiari, o�� (3) received by the odter pai'ty by U�iited States Mail, re�istered, return recaipt requested,

14. Solicitation of �mplovees. Neither City nor Ve�idor will, dt�ring fhe term of this
Agi•eement and additional ly for a period of one year after its termi��ation, solicit for employ�nent o�• employ,
whether as employee or independent contractor, any peison who is or has been employed by the other
dti�-ing tlie kcr�7� of this Agreeinent, ��vithout the prio�� wriften co�tsent of tlie person's employer.
Notwik�asta�7t�ic�g tl�e foi•egoi�ig, tl�is pro�isioaa will not apply to a�� emplayee of eit��er party who responds
to a general solicitation of advertiseme��t of employment by eithee paety.
l 5. Gover�unenta� Powers, lt is undet•stood and agreed tlfat by exect�tion af tltis Agreement,
City does �3ot wai�e or s�u•render any of its governmental powers or immwiities.
16. No Waiver. The failure of City or Vendor to insist upoti the perfonnance of any term or
provision of this Ag��eeEnent or to exercise any rigl�t granted herein doas not constit��te a waiver of City's ot•
Vendor's respective right to insist upoi� a�p�•opa•i�te performance ar to assei�t a��y sucli right on aciy future
accas�on.
17. Go�ve�•nin� La�v 1 Ve�fue. Tliis Agree�nent will be construed in accoi•dance witlt the laws
of the State of Texas. �F any action, ��vhekher reai or asserted, at law or in eqtiity, is �rougEit pursuant to tliis
Agreement, venue for such action will Iie in state courts located in Tarrai�t CoE�nty, Texas or tl�e United
States District Co�irt for the Northern Distriet of Texas, Fort Worth Di�isian.

18. Seve�•abilitv. If any p�•o�vision of this Agreement is helci to be invalid, illegal or
u��e��forceable, tl�e validity, legality a��d eifforceabifiry of the remai��ing provisio�fs will not i3i a��y way be
affected or impai��ed.
19. Force Majcure. City ai3d Ve��dor will eaei'cise their best efforts to meet tlfeir respccti�e
dt2ties and abligations as set forth in this Agreement, but �vill not be l�eld liable for any delay or omission
in perfor«�a��ce due to force majeure or other causes beyond their reasonable control, including, but not
fimited to, com}�liance with any goveri�me��t law, ordinance, or ��egulakion; �cts of God; acts of the public
ene�ny, fires; strikes; lockouts; natural disasters; wars, �•iots; epic�e�nics or �ande�7�ics; go�ernment act�on
or inaction; orders of gover�unent; material or labor restrictions by ac�y governmeiital authority;
transpot•tatio�f problems; �•esti•aints oe prohibi#ions by aciy coui•t, board, departmec�t, co�ntnissioi�, or agency
flf tl�e U�zited States or of any Statcs; civil dishn�bances; otheE• natiozlal o�� regio��al einergencies; or any ot��ee
simiia�• ca��se not e��umerated herein but which is beyo�ad the z�easonable control o� the Party wl�ose
performance is affected (collectively, "I'arce Majeure E�ent"). Tl�e perforir�ance of any st�ch obli�ation is
suspended during the period of, and only to tfie extent of, such prevent�o�i or hindrance, provided the
affected Party pR•or�ides notice af the Farce Majeure �ve��t, ai7d a�� explanakion as to ilow it preve��ts or
hinders the Party's performance, as soon as reasai�ably possible after the occ�u�rence of the Force Majeure
E�c3�t, wit1� the reasottableness of such notice to be determined by the City in its sole diseretion. Tltie notice
requi�•ed by tl�is sectia�� must be addressed and delivered in accordance witlf Section 13 of t1�is Agreement.
20. Heacliii�s »of Co�itrollin�. Headings a��d titles i�sed in tl3is Agreement arc for reference
purposes only, will not be deemeci a part of tlfis Agreeme»t, and are »ot intended to define or limit tlfe scope
of any provision of this Agreement.
2 Z. Review of Counsel. The pa�•ties acknowledge tlfat each party and its counsel have
reviewed �nd re�ised this Agreeinent and that the iior�nal rules of construction to the effect that any

Daia Managemenf and Security
Pursuant to ISO 17025 and NELAP standards all client ciata recards are ���aintained in a highly secured
database and subjected to Records Manage��lent and Elech•onic Data Security management SOPs. U��less a
longer retention time is specified, recorc�s are held secure and in cot�iideztce for 5 years from the date of
con�p�etia�i and then disposed of in a znanner to preserve confidentiality. Envirom7lental Lead (Pb} records
are retained for 10 years. Hazardous waste records ai•e retained pe�•ivane�ztly. Business recoi•ds are retained
app�•opriately for tlie type of reco�•d.
Often, original paper records are replaced with scanned i�nages in an effart to reduce the laboratory's carbon
fQp��l'tllt.
As a znatte�• of confidentiality �•epoxts az•e only issued to tl�e ciient. IIowever, if the client desires otliers to
receive reports this request must be y�lade to the laboratoiy in writing.
Analytical data is recorded d'u-ectly into the laboratoiy infori�iation managez��ent system (LIMS) via
software specifically designed to interface instiumentation with tha LIMS. Data is apprapiiately stored i�i
LIMS backups and archi�ed electro�ucally. Data thak cannat be �'eprinted is scai�ied into the network and
a�•cl�ved electranically.
All analytical data leac�ing to the final report are subjected to the most str'v�gent data veriiicacioxi process.
Data is i•eviewed to verify its accuracy, repeatability, and integrity. If acceptable the data is verified dtiring
the second level of review and released to be printed on the analytical report. Any quality control outside
acceptabie cont�ol lin�its is evaivated for significance of nonconfo��iity by t�ie QA departiilent.

LIMS/LDS
The laboratoiy's LIMS system is available for all clients via Ana-Lab's custonuzec� WebLDS (wei�- based
Laboratoay Data Systean). Clients a�•e e�icauraged to visit Ana-Lab's webszte, login wzth the��• email address
and a secured password, and review t�eir samples and subseque�it data fi-om the point of sample login to
verification. As sucli, WebLDS affords clients the ability to watcl� theu• sainples be converted into usable
data tlu�ougi�out t]-►e entire laboratoiy process.
One of tlie most notable advantages of WebLDS report�d by cIients is the ability to view one's safuple
�ustoiy cozi�pared to ai�.oz•e �•ecent saxnples. Ar�ditioually, early detection of potential pzoblea��s is fe2sible
with one's ability to review and consider data eveli pi'ior to ille data verification.

DISCUSSION:
The Water Deparimer�t approached the Purchasing Division ta prpcure laboratory analyiical services agreerrtents with qualified laboratories to test
waier, wasfewater and solid waste samples to ensure compliance witi� federal and state regulatory programs.
In arder to procure these services, staff issued an In�ifatian to 8'sd (ITB), [TB No. 22-0126 cansisted of waie�'s laboratory testing specificaEions and
required ti�at all environmental iesting laboraiories fo be accredited by the Nationa! Environine�tal Laboratory Accred�tation Program (NELAP).
The IT8 was ad�ertised in ihe Fort Worth 5far-Telegram on May �, 2022, May 11, 2022, May 18, 2022 and May 25, 2022. The City received fhee
(3) respanses.
An evaluation panel, comprised of representati�es of fhe Water and Police departments reviewed and scored the submiqafs using the Besf Value
criteria wY�ich included the following: {a) Bidder's abilily to meet the Tum Around Time (TAT) requireci by the City of Fort Worth to complete the
scope of work; (b) Bidder's qualifications, certifcationsllicenses and references related to the scope of work; (c) Bidder's ability to meet the City
needs; and (d) cast af service. The individual scores were averaged for each af the criteria and the finaf scores are lisked in the following table:

After evaluation, the panel concluded inat A&B Environmentai Services Inc. dba A&B Labs, Ana-Lab Carporafian and Eurofins Environment
Testing Soulh Central I.LC, presented the best value to fhe City. Therefore, the panel recommends t�at Council aufhorize laboratory analytical
services agreements with A&B En�ironmental Services Inc. dba A&B L.abs, Ana-Lab Corpo�ation and Eurofins Environment Tesiing South Central
LLC.
It is recommended that multiple agreements be awarded to the listed vendors to ensure services are available without delay. Under these non-
exclusive agreemenls, departments will order services according to lowest cost and availabifity.
No guara�tee was made that a specific amount of services would be purchased. Sta#f certifies that fhe recommended vendors bids meet
speci�cations.
FUIVDING: The maximurn amaunt allowed under this agreement cEtywide will be $193,000.00, however lhe act[�al amount usecE will be based on
