(Consultant) made and entered into City Secretary Contract No. 57930 (The Contract) which was authorized by the City Council by M&C C-22-0695, the 13t" day of September 2022, for Fort Worth Convention Center Expansion Master Planning and Programming Stage One; and WHEREAS, further amendment is necessary to reimburse the Consultant as part of the design services agreement for additional design services for _Fort Worth Convention Center Expansion Phase 1 and Master Planning & Programming Stage Two. NOW THEREFORE, City and Consultant, acting herein by and through their duly authorized representatives, enter into the following agreement which amends the Contract: 1 . Article I — Scope of Services, Paragraph (3) shall be added to read as follows: (3) Provide additional design services for the design and detailing of Fort Worth Convention Cente Expansion Phase 1 and Master Planning & Programming Stage Two . The cost of this additional service is $4,697,778 plus $400,000.00 in reimbursable expenses and $100,000 Owner's design allowance. The scope of services is described more fully in Attachment A Exhibit A-2 dated September 14, 2022, subject: "Scope of Services" . 2. Article II — Compensation, first paragraph, is amended as follows: "Consultant shall be compensated in accordance with the Fee Schedule shown in Attachment "A". Payment shall be considered full compensation for all labor, materials, supplies, and equipment necessary to complete the services described in Attachment "A". However the total fee paid by the City shall not exceed a total of $5,197,778 unless the City and the Consultant mutually agree upon a fee amount for additional services and amend this Agreement accordingly." WORTH, TX Revision Date:3/20/2020 Page 2 of 2 STANDARD AGREEMENT FOR PROFESSIONAL SERVICES CITY OF FORT WORTH,TEXAS ATTACHMENT A SCOPE OF SERVICES—PHASE ONE I INITIAL INFORMATION A. Program The Fort Worth Convention Center Expansion Project Program is based on Forth Worth Convention Center Expansion Market and Feasibility Analysis Update,dated March 11,2019, prepared by Hunden Strategic Partners for the City of Fort Worth. The scope of work of the expansion/renovation is as outlined in the Request for Statement of Qualifications for Fort Worth Convention Center Architectural and Engineering Services,dated February 24,2022. City's program and criteria shall be accomplished within the boundary established by the Project Scope and Limit Diagram,attached,and incorporated as Attachment "A-1". B. Physical Characteristics Fort Worth Convention Center is located at 1201 Houston Street, Fort Worth,TX 76102. The Expansion/Renovation of the Fort Worth Convention Center will consist of two phases.The scope of work of this agreement will cover Phase One Expansion/Renovation and Master Planning and Programming for Phase 2. Phase One Expansion/Renovation scope of work includes the following components: (i) Demolition of the existing Annex building. (ii) Design of the new loading docks that serve existing exhibit halls.The area of the new loading dock is approximately 35,300 square feet. Renovation of the back-of-house area between the annex building and the existing exhibit hall that will become the new loading dock and back-of- house area.The total area of this renovated area is approximately 17,500 square feet. (iii) Addition of a multi-story kitchen and support space on the southeast corner of the existing building,the renovation of the existing electrical vault to the southeast corner and, to the extent that the current budget as stated in Project Initial Information allows, the renovation of the southeast corner. (iv) Re-configuration of Commerce Street Right of Way, including commerce street improvement, water,stormwater,sanitary sewer,and utility relocations and reconnections. C. Budget $42,000,000 for building expansion and renovation. $10,000,000 for reconfiguration of commerce street and associated civil work. D. Transmission and Use Conditions of Instruments of Service Protocols governing the transmission and use of Instruments of Service or any other information or documentation in digital form shall be as follows: (i) For the purposes of the exchange of documents, Electronic Files shall be considered in two categories: Category 1, read only(secure)electronic files such as pdfs,scanned images,etc.,or Category 2,open (editable)electronic files which will be exchanged in their native application such as Building Information Modeling(BIM),word processing,spreadsheets,etc. (ii) Only Category 1 Electronic Files may be considered governing versions of the Architect's work product. To the extent documents are marked and/or signed/sealed by the Architect for a specific, intended purpose such as for permitting, released for construction or a latest revision shall Category 1 electronic files be considered Contract Documents for construction; (iii) Category 2 Electronic Files are not governing versions of the Architect's work product and are therefore, not Contract Documents for construction; (iv) Category 2 Electronic Files furnished by Architect represent only the temporary status of the file(s)as of the date of transmittal,which files are subject to modification and revision at any time. The level of development and level of detail represented by computer aided electronic documents,such as Building Information Modeling("BIM"),will be developed and represented at different rates through the design process and at each phase consistent with the Standard of Care for the Architect; (v) under no circumstances are Electronic Files(both Category 1 or 2)to be construed as representing any actual as-built condition; (vi) Electronic Files(both Category 1 and 2) may not be used for any other Project; (vii) recipient acknowledges that Category 2 Electronic Files are for information purposes only and should not be relied upon by the recipient without independent review and confirmation of all relevant information; (viii) recipient agrees to release, hold harmless and waive claims against the Architect which might arise as a result of the recipient's use of Category 2 Electronic Files,or breach of these use conditions; (ix) recipient agrees to use reasonable precaution to secure Electronic Files(both Category 1 and 2)against transmission, whether inadvertent or intended, to parties that are not authorized by the City of the Project; Scope of Services—Phase One Page 16 (x) any subsequent revisions or modifications to these Electronic Files (both Category 1 and 2) are the responsibility of the party making such changes; (xi) due to the diagrammatic nature of Electronic Files (both Category 1 and 2) and due to differences in computer systems, hardware, software, and translation/conversion processes between systems, the Architect is not responsible for any dimensional inaccuracies or for the accuracy and completeness of any translation and/or transmittal process from the original file(s); (xii) recipient acknowledges that the automated conversion or transfer of electronic documents (both Category 1 and 2) may introduce inexactitudes,anomalies,corruptions,deletions,or errors. (xiii) Category 2 Electronic Files in electronic media format or text, data, graphic, or other types that are furnished by the Architect to a recipient are only for the convenience of the recipient user. Any conclusion or information obtained or derived from such electronic files will be at the user's sole risk; (xiv) the Architect makes no representations as to long-term compatibility, usability, or readability of Electronic Files(Category 1 and 2) resulting from the use of software application packages, operating systems,or computer hardware different from those in use by the Architect and its consultants at the time of transmission. Any use of,or reliance on,all or a portion of a building information model without agreement to protocols governing the use of,and reliance on,the information contained in the model and without having those protocols set forth shall be at the using or relying party's sole risk and without liability to the other party and its contractors or consultants,the authors of,or contributors to,the building information model,and each of their agents and employees. II SCOPE OF ARCHITECT'S BASIC SERVICES A. General The Architect's Basic Services consist of those described in this Article II and include structural, mechanical,electrical, plumbing and fire protection engineering services.Services not set forth in this Article II are Supplemental or Additional Services. The Architect shall manage the Architect's services, research applicable design criteria,attend Project meetings,communicate with members of the Project team,and report progress to the City. The Architect shall coordinate its services with those services provided by the City and the City's consultants.The Architect shall be entitled to rely on,and shall not be responsible for,the accuracy, completeness,and timeliness of,services and information furnished by the City and the City's consultants. B. Schematic Design Phase Services The Architect shall review the program and other information furnished by the City,and shall review laws,codes,and regulations applicable to the Architect's services. The Architect shall prepare a preliminary evaluation of the City's program,schedule, budget for the Cost of the Work, Project site,the proposed procurement and delivery method,and other Initial Information, each in terms of the other,to ascertain the requirements of the Project.The Architect shall notify the City Scope of Services—Phase One Page 17 of(1)any inconsistencies discovered in the information,and (2) other information or consulting services that may be reasonably needed for the Project. The Architect shall present its preliminary evaluation to the City and shall discuss with the City alternative approaches to design and construction of the Project.The Architect shall reach an understanding with the City regarding the requirements of the Project. Based on the Project requirements agreed upon with the City,the Architect shall prepare and present, for the City's approval,a preliminary design illustrating the scale and relationship of the Project components. Based on the City's approval of the preliminary design,the Architect shall prepare Schematic Design Documents for the City's approval.The Schematic Design Documents shall consist of drawings and other documents including a site plan, and preliminary building plans,sections and elevations;and may include some combination of study models, perspective sketches,or digital representations. Preliminary selections of major building systems and construction materials shall be noted on the drawings or described in writing. The Architect shall submit to the City an estimate of the Cost of the Work at the conclusion of the Schematic Design phase. The Architect shall submit the Schematic Design Documents to the City and request the City's approval on the form attached and incorporated as Attachment"A-3"—Phase Approval Form. C. Design Development Phase Services Based on the City's approval of the Schematic Design Documents,and on the City's authorization of any adjustments in the Project requirements and the budget for the Cost of the Work,the Architect shall prepare Design Development Documents for the City's approval.The Design Development Documents shall illustrate and describe the development of the approved Schematic Design Documents and shall consist of drawings and other documents including plans,sections,elevations,typical construction details,and diagrammatic layouts of building systems to fix and describe the size and character of the Project as to architectural,structural, mechanical,and electrical systems,and other appropriate elements.The Design Development Documents shall also include outline specifications that identify major materials and systems and establish, in general,their quality levels. The Architect shall submit the Design Development Documents to the City,advise the City of any adjustments to the estimate of the Cost of the Work,and request the City's approval on the form attached and incorporated as Attachment"A-3"—Phase Approval Form. D. Construction Documents Phase Services Based on the City's approval of the Design Development Documents,and on the City's authorization of any adjustments in the Project requirements and the budget for the Cost of the Work,the Architect shall prepare Construction Documents for the City's approval.The Construction Documents shall illustrate and describe the further development of the approved Design Development Documents and shall consist of Drawings and Specifications setting forth in detail the quality levels and performance criteria of materials and systems and other requirements for the construction of the Work. In order to perform the Work,the Contractor will provide additional information, including Shop Drawings, Product Data,Samples and other similar submittals,which the Architect shall review in accordance with Article II F. The Architect shall incorporate the design requirements of governmental authorities having jurisdiction over the Project into the Construction Documents. Scope of Services—Phase One Page 18 During the development of the Construction Documents,the Architect shall assist the City in the development and preparation of(1) procurement information that describes the time, place,and conditions of bidding, including bidding or proposal forms; (2)the form of agreement between the City and Contractor;and (3)the Conditions of the Contract for Construction (General, Supplementary,and other Conditions).The Architect shall also compile a project manual that includes the Conditions of the Contract for Construction and Specifications and may include bidding requirements and sample forms. The Architect shall submit the Construction Documents to the City,advise the City of any adjustments to the estimate of the Cost of the Work,and request the City's approval on the form attached and incorporated as Attachment"A-3"—Phase Approval Form. E. Procurement Phase Services The Architect,following the City's approval of the construction contract documents and of the latest construction cost estimate,shall assist the City and Construction Manager-at-Risk in obtaining either bids or negotiated proposals,and shall assist in awarding the contract(s)for construction. The Architect shall assist the construction manager at Risk in assembling the project manual,advertising for bids for construction of the project,and awarding the construction contracts. The Architect's assistance during the bidding phase shall consist of: (i) Consideration of Request of Substitutions, if permitted by the Construction Contact Documents,and preparation of Addenda identifying approved substitutions to prospective bidders; (ii) Participating in or,at the City's direction,organizing and conducting a pre-bid conference for prospective bidders; (iii) Preparation of responses to questions from prospective bidders providing clarifications and interpretations of the Construction Contract documents to all prospective bidders in the form of Addenda. (iv) Evaluation of bids and investigation of bidders'qualification;and (v) Recommendation for award of contracts. If the fixed limit of construction cost is exceeded by the lowest bona fide bid or negotiated proposal,the City shall either(1)give written approval of increase in such fixed limit. (2)authorize rebidding or renegotiating of the Project with a reasonable time as specified, in writing by the City; (3)terminate this contract in accordance with the provisions of the contract,or(4)cooperate in revising the project scope and quality as required to reduce the construction cost. A written approval of an increase in the fixed limit of construction (option 1 above)shall not be a basis for increasing the Architect's fee. If the City elects to proceed under option 2,the Architect,without additional compensation,shall assist the City during the re-bidding or renegotiating process and the succeeding bids or negotiated contract price shall be subject to the provisions of this Contract. Scope of Services—Phase One Page 19 F. Construction Phase Services General: The Architect shall provide administration of the Contract between the City and the Contractor as set forth below and in City of Fort Worth General Conditions of the Contract for Construction. If the City and Contractor modify City of Fort Worth General Condition,those modifications shall not affect the Architect's services under this Agreement unless the City and the Architect amend this Agreement. The Architect shall advise and consult with the City during the Construction Phase Services. The Architect shall not have control over,charge of,or responsibility for the construction means, methods,techniques,sequences,or procedures(including shoring),or for safety precautions and programs in connection with the Work, nor shall the Architect be responsible for the Contractor's failure to perform the Work in accordance with the requirements of the Contract Documents. The Architect's responsibility to provide Construction Phase Services commences with the award of the Contract for Construction and terminates on the date the Architect issues the final Certificate for Payment. Evaluations of the Work: The Architect shall visit the site at intervals appropriate to the stage of construction to become generally familiar with the progress and quality of the portion of the Work completed,and to determine, in general, if the Work observed is being performed in a manner indicating that the Work,when fully completed,will be in accordance with the Contract Documents. However,the Architect shall not be required to make exhaustive or continuous on-site inspections to check the quality or quantity of the Work. On the basis of the site visits,the Architect shall keep the City reasonably informed about the progress and quality of the portion of the Work completed,and promptly report to the City(1) known deviations from the Contract Documents,(2) known deviations from the most recent construction schedule submitted by the Contractor,and (3)defects and deficiencies observed in the Work. The Architect has the authority to reject Work that does not conform to the Contract Documents.Whenever the Architect considers it necessary or advisable,the Architect shall have the authority to require inspection or testing of the Work in accordance with the provisions of the Contract Documents,whether or not the Work is fabricated, installed or completed. However,neither this authority of the Architect nor a decision made in good faith either to exercise or not to exercise such authority shall give rise to a duty or responsibility of the Architect to the Contractor,Subcontractors,suppliers,their agents or employees,or other persons or entities performing portions of the Work. The Architect shall interpret and decide matters concerning performance under,and requirements of,the Contract Documents on written request of either the City or Contractor. The Architect's response to such requests shall be made in writing within any time limits agreed upon or otherwise with reasonable promptness. Interpretations and decisions of the Architect shall be consistent with the intent of,and reasonably inferable from,the Contract Documents and shall be in writing or in the form of drawings.When making such interpretations and decisions,the Architect shall endeavor to secure faithful performance by both City and Contractor,shall not show partiality to either,and shall not be liable for results of interpretations or decisions rendered in good faith.The Architect's decisions on matters relating to aesthetic effect shall be final if consistent with the intent expressed in the Contract Documents. Scope of Services—Phase One Page 110 Certificates for Payment to Contractor: The Architect shall review and certify the amounts due the Contractor and shall issue certificates in such amounts.The Architect's certification for payment shall constitute a representation to the City, based on the Architect's evaluation of the Work and on the data comprising the Contractor's Application for Payment,that,to the best of the Architect's knowledge, information and belief,the Work has progressed to the point indicated,the quality of the Work is in accordance with the Contract Documents,and that the Contractor is entitled to payment in the amount certified. The foregoing representations are subject to(1)an evaluation of the Work for conformance with the Contract Documents upon Substantial Completion, (2) results of subsequent tests and inspections, (3)correction of minor deviations from the Contract Documents prior to completion, and (4)specific qualifications expressed by the Architect. The issuance of a Certificate for Payment shall not be a representation that the Architect has(1) made exhaustive or continuous on-site inspections to check the quality or quantity of the Work, (2) reviewed construction means, methods,techniques,sequences or procedures, (3) reviewed copies of requisitions received from Subcontractors and suppliers and other data requested by the City to substantiate the Contractor's right to payment,or(4) ascertained how or for what purpose the Contractor has used money previously paid on account of the Contract Sum. The Architect shall maintain a record of the Applications and Certificates for Payment. Submittals: The Architect shall review the Contractor's submittal schedule and shall not unreasonably delay or withhold approval of the schedule.The Architect's action in reviewing submittals shall be taken in accordance with the approved submittal schedule or, in the absence of an approved submittal schedule,with reasonable promptness while allowing sufficient time,in the Architect's professional judgment,to permit adequate review. The Architect shall review and approve,or take other appropriate action upon,the Contractor's submittals such as Shop Drawings, Product Data and Samples, but only for the limited purpose of checking for conformance with information given and the design concept expressed in the Contract Documents. Review of such submittals is not for the purpose of determining the accuracy and completeness of other information such as dimensions,quantities,and installation or performance of equipment or systems,which are the Contractor's responsibility.The Architect's review shall not constitute approval of safety precautions or construction means, methods,techniques,sequences or procedures.The Architect's approval of a specific item shall not indicate approval of an assembly of which the item is a component. If the Contract Documents specifically require the Contractor to provide professional design services or certifications by a design professional related to systems, materials,or equipment, the Architect shall specify the appropriate performance and design criteria that such services must satisfy.The Architect shall review and take appropriate action on Shop Drawings and other submittals related to the Work designed or certified by the Contractor's design professional, provided the submittals bear such professional's seal and signature when submitted to the Architect.The Architect's review shall be for the limited purpose of checking for conformance with information given and the design concept expressed in the Contract Documents.The Architect shall be entitled to rely upon,and shall not be responsible for,the adequacy and accuracy of the services,certifications,and approvals performed or provided by such design professionals. The Architect shall review and respond to requests for information about the Contract Documents.The Architect shall set forth, in the Contract Documents,the requirements for requests for information. Requests for information shall include,at a minimum,a detailed Scope of Services—Phase One Page 111 written statement that indicates the specific Drawings or Specifications in need of clarification and the nature of the clarification requested.The Architect's response to such requests shall be made in writing within any time limits agreed upon,or otherwise with reasonable promptness. If appropriate,the Architect shall prepare and issue supplemental Drawings and Specifications in response to the requests for information. The Architect shall maintain a record of submittals and copies of submittals supplied by the Contractor in accordance with the requirements of the Contract Documents. Changes in the Work: The Architect may order minor changes in the Work that are consistent with the intent of the Contract Documents and do not involve an adjustment in the Contract Sum or an extension of the Contract Time. If requested by the City,the Architect shall prepare Change Orders and Construction Change Directives for the City's approval and execution in accordance with the Contract Documents. The Architect shall maintain records relative to changes in the Work. Project Completion: The Architect shall: (i) conduct inspections to determine the date or dates of Substantial Completion and the date of final completion; (ii) issue Certificates of Substantial Completion; (iii) forward to the City,for the City's review and records,written warranties and related documents required by the Contract Documents and received from the Contractor; and, (iv) issue a final Certificate for Payment based upon a final inspection indicating that,to the best of the Architect's knowledge, information,and belief,the Work complies with the requirements of the Contract Documents. The Architect's inspections shall be conducted with the City to check conformance of the Work with the requirements of the Contract Documents and to verify the accuracy and completeness of the list submitted by the Contractor of Work to be completed or corrected. When Substantial Completion has been achieved,the Architect shall inform the City about the balance of the Contract Sum remaining to be paid the Contractor, including the amount to be retained from the Contract Sum, if any,for final completion or correction of the Work. The Architect shall forward to the City the following information received from the Contractor: (1)consent of surety or sureties, if any,to reduction in or partial release of retainage or the making of final payment; (2)affidavits, receipts, releases and waivers of liens,or bonds indemnifying the City against liens;and (3)any other documentation required of the Contractor under the Contract Documents. Upon request of the City,and prior to the expiration of one year from the date of Substantial Completion,the Architect shall,without additional compensation,conduct a meeting with the City to review the facility operations and performance. III SUPPLEMENTAL AND ADDITIONAL SERVICES A. Supplemental Services The Architect shall provide the listed Supplemental Services only if specifically designated in the table below as the Architect's responsibility,and the City shall compensate the Architect as provided in Section IV. Unless otherwise specifically addressed in this Attachment or this Agreement, if neither the City nor Scope of Services—Phase One Page 112 the Architect is designated,the parties agree that the listed Supplemental Service is not being provided for the Project. Additional Services The Architect may provide Additional Services after execution of this Agreement without invalidating the Agreement. Upon recognizing the need to perform the following Additional Services,the Architect shall notify the City with reasonable promptness and explain the facts and circumstances giving rise to the need on the form attached and incorporated as Attachment"A-4"—Additional Services Authorization Form. The Architect shall not proceed to provide the following Additional Services until the Architect receives the City's written authorization: The Architect shall provide Construction Phase Services exceeding the limits set forth below as Additional Services.When the limits below are reached,the Architect shall notify the City: (i) Twenty-Four(24)visits to the site by the Architect during construction (ii) Three(3) inspections for any portion of the Work to determine whether such portion of the Work is substantially complete in accordance with the requirements of the Contract Documents (iii) Three(3) inspections for any portion of the Work to determine final completion. Construction Phase Services provided more than 90 days after(1)the date of Substantial Completion of the Work or(2)the initial date of Substantial Completion identified in the agreement between the City and Contractor,whichever is earlier,shall be compensated as Additional Services to the extent the Architect incurs additional cost in providing those Construction Phase Services. Phase 2 Master Planning/Programming A. Overview: Based on the Fort Worth Convention Center Expansion Market and Feasibility Analysis update,dated March 11, 2019,the design team will prepare a high-level master plan and Phase Two program to verify and validate the program established in the feasibility report and establish the design parameters for Phase One design and construction. B. Master Planning/Program phase deliverables will include the following drawings and reports: 1. Overall project site plan and architectural floor plans at the master plan level, illustrating both the phase 1 and 2 programmed spaces and building configurations. 2. Overall building elevations and sections at the master plan/conceptual level to illustrate general building fapade systems for pricing purposes. 3. A brief structural narrative for the phase 1 and 2 programmed spaces to be used as a guide for phase 1 design and construction. 4. A brief code narrative to provide an overview of code and life safety issues of phase 1 and 2 programmed spaces 5. A brief food service narrative to outline the food service space, equipment, and associated requirements based on the operational needs. 6. A high-level cost estimate for phase one and phase two programmed spaces. C. Master Planning Stage Two Service Architect shall prepare a preliminary review of the City's goals and objectives related to the convention center master plan.The master plan and programming stage Two will mainly focus on the impact on the following areas as incorporated in attachment"A-1 ". 1. New Loading Dock Configuration. 2. New electrical vault location/configuration and coordination with Oncor. 3. Commerce street final configuration. Master Planning and Programming Stage Two Deliverables: 1. Illustrative site plan for convention center renovation/expansion and commerce street re-configuration. 2. Concept building floor plans for each level-phase 1 and phase 2 3. Concept building elevations and sections-phase 1 and phase 2 4. Inhouse exterior renderings illustrating the new loading dock area. (Professional renderings are not included in this phase.) 5. Conceptual master planning civil,structural, and MEP studies. II. Civil and Traffic Engineering A. The Civil Engineer will provide Civil Engineering and design for site structure and infrastructure, including, but not limited to, circulation and parking area paving,sidewalks,grading, storm drainage, and utilities. B. For each phase of the Work,the Engineers will work with Architect to ascertain the requirements for that phase of the Work,will attend necessary conferences,will be available for general consultation, will prepare the necessary documentation, and will make appropriate recommendations. C. Site Utilities: 1. Coordinate with local utility companies for incoming service availability, locations, provisions, and requirements. 2. Establish utility tie-ins/entrances and connect to the appropriate infrastructure. 3. Design of utility services for the new building, including electrical,water, telecommunications,fire lines and hydrants, sanitary sewer, storm sewer,and natural gas. D. Grading and Storm Drainage 1. Perform hydrologic analysis and provide a written report. 2. Include stormwater detention and/or retention as may require 3. Include the design of underground storm drainage holding areas or vaults if required 4. Coordination and documentation of connecting perimeter foundation drainage and/or under slab drainage systems to storm system. 5. Grading and drainage design are to be coordinated with the Landscape Architect and Architect. E. The following services are not included. If desired or required by authorities,they may be provided as additional services.The design allowance will be used to cover the additional service fee required for the services listed below. 1. Landscape design and criteria shall be in accordance with the requirements of the codes and regulations that have been adopted by the authority having jurisdiction, consistent with the fire, life safety, and property protection code program,ADA,and related regulations, and in accordance with the Owner's Program and other standards established by the Owner. B. The landscape architect is responsible for the design and documentation of the exterior landscape and hardscape design for the project. The scope of the design will be within the defined project limits. These services will include: 1. Selection of plant material 2. Design of irrigation systems 3. Design of hardscape including material selection. C. The landscape architect collaborates with the Architect and through the Architect with all other consultants, including but not limited to Structural, Mechanical, Electrical, Plumbing,and Fire Protection Engineers, Interior designers, Food Service,Site Civil engineers,Acoustical,Audiovisual, etc. as pertinent to provide coordinated design and documentation. D. For each phase of the Work,the Landscape Architect will participate in an effort(to be directed by the Architect)to coordinate this part of the work with the other portions of the project. The Landscape Architect's services will be performed in a manner, sequence, and timing to allow coordination with those of the Architect and other consultants for the Project. E. Budgetary limitations shall not be a justification for breach of sound principles of design. In the event the Landscape Architect cannot design its portion of the Project using such sound principles of design within the project budget,or if any proposed value engineering or scope reduction would create such a breach, immediate written notice shall be given to the Architect. IV. Architectural Interior Design A. The Professional Services to be performed by the Interior Designer will include the Owner's Program elements related to public spaces, banquet and meeting areas,food and beverage venues, administrative offices, public restrooms, and exterior terraces. B. The Interior Designer will provide design intent related to room shape and configuration relevant to areas of Project Scope and program areas of responsibility. C. The Interior Designer will design and document applied finishes, millwork,cabinetry, decorative trim, decorative elements, special features, decorative partitions, and decorative hardware in accordance with the established building program.The Architect will design and document the building shell and core elements, including substrates for interior applied finishes, millwork, and specialty features. D. The Interior Designer will assist the Architect in the preparation of a detailed project design and documentation schedule related to the Interior Design Scope of Work in collaboration with the requirements of the Architect,other consultants,Owner, and Contractor. E. For each phase of the Work,the Interior Designer will work with Architect to ascertain the requirements for that phase of the Work,will attend necessary conferences,will be available for general consultation,will prepare the necessary documentation, and will make appropriate recommendations. F. For each phase of the Work,the Interior Designer will participate in an effort(to be directed by the Architect)to coordinate this part of the work with the other portions of the project. The Interior Designers' services will be performed in a manner, sequence, and timing to allow coordination with those of the Architect and other consultants for the Project. G. For each phase of the Work,the Interior Designer will, if requested,consult with the Architect to develop a preliminary estimate of Cost for this part of the Project. H. Interior Drawings and Specifications will be provided in the appropriate format, size, scale, and numerical sequence as directed by the Architect. A general furniture layout will be provided. I. The following services are not included. If desired or required by the Owner,they may be provided as additional services: 1. FF&E, Furniture, Fixtures,and Equipment, services,and documentation. V. Cost Estimating A. The cost consultant is retained to assist the Architect in providing Statements of Probable Cost. The cost consultant will provide conceptual estimates based on historic data and information on local market conditions as well as take-off-based cost estimates when documents are developed to a point that permits this approach. B. The Master Planning/Programming phase and Schematic design phase cost estimates are included in the scope of service. C. Collaborate with the Architect and through the Architect with all other consultants that may include but not be limited to the Structural Engineer, Mechanical Engineer, Electrical Engineer, Fire Protection Engineer, Plumbing Engineer,Audiovisual Designer,Telecommunications Designer,Security Designer,Audiovisual, etc. as pertinent to providing a coordinated cost estimate. D. E. Assist in the preparation of a project design and documentation schedule incorporating the requirements of the other engineers, designers, architect, Owner,and contractor. Once established and agreed to,the detailed project schedule will become the framework through which the design team's obligations will be met. F. G. Provide estimate reports for master planning/programming and schematic design phases that include a narrative of the project scope, including any special conditions or phasing requirements,a cost summary of the project by components,the estimate detail, and exhibits to the estimate inclusive of the design documents,the information provided from vendors and project quotations received for project components. H. The following services are not included. If desired or required by the Owner,they may be provided as additional services: 1. Cost estimates for the design development phase 2. Cost estimates for the construction document phase 3. Review cost estimates provided by the Owner's CMAR for the design development phase and provide comments. A. Food Service A. B. The food service consultant shall meet with Local Code Officials and Health Department with the Architect as required to facilitate understanding and acceptance of the Design. C. The food service consultant shall collaborate with the Architect and through the Architect with all other consultants that may include but not be limited to the Structural Engineer, Mechanical Engineer, Electrical Engineer, Plumbing Engineer, Fire Protection Engineer,Acoustical Consultant, Interior Designer, the Specialty Lighting Designer, Graphics Designer,Vertical Circulation Consultant, Hardware, Landscape, Civil, Code Consultant,etc.as pertinent to provide coordinated design and documentation. D. For each phase of the Work, Food Service Consultant will work with Architect to ascertain the requirements for that phase of the Work,will attend necessary conferences,will be available for general consultation,will prepare the necessary documentation, and will make appropriate recommendations. E. For each phase of the Work,the Food Service Consultant will participate in an effort(to be directed by the Architect)to coordinate this part of the Work with the other portions of the project. The Food Service Consultant's services will be performed in a manner, sequence, and timing to allow coordination with those of the Architect and other consultants for the Project. F. For each phase of the Work,the Food Service Consultant will, if requested,consult with the Architect and others as determined by the Architect in the development of a preliminary estimate of Construction Cost for this part of the Project. G. Food Service Consultant will prepare designs for all necessary Food Service spaces, including but not limited to food service venues such as retail food outlets, employee dining, kitchens, pantries, beverage stations, back-of-house corridor staging areas, receiving, storage, preparation, serving,cleaning, and waste management spaces. Refer to the project program for clarifications of specific spaces within this project. H. The Food Service Consultant will prepare documents and specifications in accordance with the Owner's purchasing requirements, including three equal sources for each element to be purchased in publicly bid projects or if required by the Owner. I. For each phase of the Work,the Food Service Consultant will consult with the Architect to develop a preliminary estimate of Construction Cost for this part of the Project and/or review cost estimates prepared by others. The Food Service Consultant will lead the preparation of the Food Service systems, fixed and portable equipment initial budget and will create cost estimates at the end of each phase of the work. The Consultant working with the Architect and Owner will work to adjust the design to meet the most recent Owner approved budget. VII. Audio-Visual A. Audio-visual Design and criteria shall be in accordance with the requirements of the codes and regulations that have been adopted by the authority having jurisdiction, consistent with the fire, life safety and property protection code program,ADA and related regulations, and in accordance with the Owner's Program and other standards established by the Owner. B. C. The Audio-visual consultant shall collaborate with the Architect and through the Architect with all other consultants that may include but not be limited to the Structural Engineer, Mechanical Engineer, Electrical Engineer, Fire Protection Engineer, Plumbing Engineer,Telecommunications Designer,Security Designer, Food Service Designer, Interior Designer,the Specialty Lighting Designer, Graphics Designer, Vertical Circulation Consultant, Hardware, Landscape, Civil, Code Consultant, etc.as pertinent to provide coordinated design and documentation. D. E. For each phase of the Work,the Audiovisual Consultant will work with Architect to ascertain the requirements for that phase of the Work,will attend necessary conferences,will be available for general consultation,will prepare necessary documentation,and make appropriate recommendations. F. For each phase of the Work,the Audiovisual Consultant will participate in an effort(to be directed by the Architect)to coordinate this part of the work with the other portions of the project. The Audiovisual Consultant's services will be performed in a manner, sequence, and timing to allow coordination with those of the Architect and other consultants for the Project. G. The Audiovisual Consultant will prepare documents and specifications in accordance with the Owners purchasing requirements including three equal sources for each element to be purchased in publicly bid projects. Vill. Security A. The Security Consultant will provide design services for the building's security and surveillance systems. The Security Consultant will work closely with the Architect, Electrical Engineer, Building Owner/Operator and Local officials with jurisdiction for the project to determine layouts to be used and types of equipment that are compatible with and enhance the building's functionality and architectural character. The consultant will provide information to the electrical engineer for incorporation into the electrical drawings of the building. B. The Security Consultant shall collaborate with the Architect and through the Architect with all other consultants including, but not limited to Structural, Mechanical, Electrical, Plumbing,and Fire Protection Engineers, Interior Designer, Food Service, Landscape Architect,Site Civil Engineer,Acoustical, Audiovisual,etc.as pertinent to provide coordinated design and documentation. C. For each phase of the Work,the Security Consultant will work with Architect to ascertain the requirements for that phase of the Work,will attend necessary conferences,will be available for general consultation,will prepare necessary documentation,and make appropriate recommendations. D. For each phase of the Work, Engineer will participate in an effort(to be directed by the Architect) to coordinate this part of the Work with the other portions of the Project. Engineer's services will be performed in a manner,sequence,and timing to allow coordination with those of the Architect and other consultants for the Project. IX. Telecom A. The Telecommunications Consultant will provide design services for the building's telephone and data transmission systems. This work will be documented in two packages:a base building package that includes the conduit and other basic infrastructure for the system within the building;and a procurement package for the bidding of the system. The consultant will consult with the Owner to assist in determining the most advantageous means of providing the telephone and data communications system within the building. B. The Telecommunication Consultant shall collaborate with the Architect and through the Architect with all other consultants including, but not limited to Structural, Mechanical, Electrical, Plumbing, and Fire Protection Engineers, Interior Designer, Food Service, Landscape Architect,Site Civil Engineer,Acoustical, Audiovisual,etc. as pertinent to provide coordinated design and documentation. X. Code A. Basic service code consulting service shall include preparation of a summary of the requirements of the codes and regulations that have been adopted by the authority having jurisdiction relative to life safety and property protection, as well as preparation of a comprehensive fire, life safety and property protection code program,to address issues unique to the building type not addressed in the adopted codes and regulations related to life safety and property protection. This program will be negotiated with local authorities having jurisdiction and will result in their ultimate approval of the program. It may include code interpretations,equivalency protection measures,and variances(any or all of which may deviate from the letter of the code)that have been accepted by the Authority Having Jurisdiction as equal to the intent of the code language. This program may contain ramifications affecting any or all of the design disciplines participating in the project. B. The Code Consultant shall collaborate with the Architect and through the Architect with other consultants regarding the Fire, Life Safety and Property Protection Program on their part of the work. These may include but not be limited to the Structural Engineer, Mechanical Engineer, Electrical Engineer, Fire Protection Engineer, Plumbing Engineer,Audiovisual Designer,Telecommunications Designer,Security Designer,Audiovisual, etc. XI. Graphics/Wayfinding A. The Graphic Consultant will provide design services for the graphic sign system for the project including both building and site signage. This system may include building identification signs, directional signs, informational signs and space identification signs. B. Graphics/Signage design and criteria shall be in accordance with the minimum requirements of the codes and regulations that have been adopted by the authority having jurisdiction,consistent with the fire, life safety and property protection code program,ADA and related regulations,and in accordance with the Owner's Program and other standards established by the Owner. (City Secretary Contract No. 57930), in the amount of$5,197,778.00 for a total contract value of$5,297,777.00, including reimbursable expenses, for design and construction administration services associated with the expansion of the Fort Worth Convention Center(FWCC). The expansion project will take place in two phases and the facility will remain operational during both. The first phase includes the construction of new state-of-the-art food & beverage facilities, demolition of the East annex, straightening of Commerce Street (to create a site pad for a future convention hotel) and the re-building of the FWCC loading docks. This phase is expected to begin in spring 2023. The second phase will replace the arena with additional exhibit halls, a ballroom, meeting rooms and refurbish the existing facility. On November 30, 2021, the City Council approved the allocation of up to $52,000,000.00 from the American Rescue Plan Act (ARPA)funds and authorize execution of a professional services agreement with Broaddus &Associates, Inc., in an amount up to $2,313,927.00, for multi-year project management services associated with the renovation of the Fort Worth Convention Center(M&C 21- 0934).
