HomeMy WebLinkAboutContract 53776-A2 CSC No. 53776-A2 SECOND AMENDMENT TO CITY SECRETARY CONTRACT NO. 53776 This Amendment is entered into by and between the City of Fort Worth (hereafter "City"), a home rule municipality, with its principal place of business at 200 Texas Street, Fort Worth, Texas, and New Leaf Community Services (hereafter "Developer") a Texas nonprofit corporation. City and Developer shall be referred to individually as a Party and collectively as the Parties. WHEREAS, on July 30, 2020, the Parties entered into City Secretary Contract 53776 for Developer to use $500,000.00 of HOME Investment Partnerships Program grant ("HOME") funds for a portion of the construction costs associated with the development of the Quail Trail Apartments, a Permanent Supportive Housing ("PSH") project for chronically homeless individuals with disabilities who are below 30% Area Median Income ("AMP'), for a total of 48 on-bedroom units to be located at 4444 Quail Trail, Fort Worth, Texas 76114 ("Contract"); WHEREAS, through the first amendment to City Secretary Contract No. 53776, City and Developer agreed to amend the Contract to extend the Completion Deadline to accommodate for the delay caused by unforeseen circumstances, including vandalism and a fire caused by a group of trespassers, occurred on the property which interrupted and delayed the project timeline; WHEREAS, due to market conditions, the project's Completion Deadline must be extended one final time; WHEREAS, City has confirmed that Developer has completed the Required Improvements, met City and HOME standards as described in the Contract, and has requested payment of the hold back per Section 5.4 in the Contract; and NOW, THEREFORE, the Parties, acting herein by the through their duly authorized representatives, enter into the following agreement: I. AMENDMENTS A. Section 2. DEFINITIONS is amended to be and read as follows by deleting the original of the definition shown below and substituting the following: "Completion Deadline means October 31, 2022. II. EXHIBIT "C" — PROJECT AND REIMBURSEMENT SCHEDULE attached to the Contract are hereby replaced with the attached EXHIBIT "C" PROJECT AND REIMBURSEMENT SCHEDULE Revised 9/2022 attached hereto. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Contract which are not expressly amended herein shall remain in full force and effect. IV. ELECTRONIC SIGNATURE This Amendment and Extension may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as anoriginal.
