HomeMy WebLinkAboutContract 46273-A5 CSC No. 46273-A5 AMENDMENT NO.5 TO CITY OF FORT WORTH CONTRACT 46273 This Fifth Amendment is entered into by and between the City of Fort Worth (hereafter 'Buyer"), a home rule municipality, with its principal place of business at 200 Texas Street, Fort Worth, Texas, and Scientel Solutions LLC, a Delaware Company ('Vendor"), Buyer and Vendor may be referred to individually as a Party and collectively as the Parties. WHEREAS, on December 17, 2014, the Parties entered into City Secretary Contract 46273 to provide support and maintenance of the City's ALU MDR8000 Public Safety Microwave and MPLS Network ("Agreement/Contract"); WHEREAS, the Parties wish to amend the Agreement to add Network Lifecycle Support Managed Services for an initial term of five (5) years at a cost of$750,000.00 per year, a three- year renewal term at a cost of$325,000.00 per year, and a final two-year renewal term at a cost of $325,000.00 per year. The total not-to-exceed amount for the contract including renewal terms is $5,375,000.00. NOW, THEREFORE, the Parties, acting herein by the through their duly authorized representatives, enter into the following agreement: 1. AMENDMENTS The Agreement is hereby amended to include Exhibit A-1 Scientel Solutions Network Lifecycle Support Managed Services, as authorized by Mayor & Council Communication 22-0549 approved on August 9, 2022. 2. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. 3. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original. Scientel will provide services to create custom reports,as available,from the NSP that can not only be generated for quarterly system performance reviews but also ad-hoc generation as well. These services will also cover implementing add itionalfeatures available with future firmware upgrades. NSP will also have a dashboard interface that will be accessible to the City of Fort Worth,and Scientel will assist Fort Worth Radio Shop personnel with guidance on accessing and utilizing the interface. 5C.A5SUMPTION5 • Network performance service levels encompass end to end systems only.No customer supplied devices(excluding devices purchased for client by Scientel solutions in connection with the system)are considered in this measurement. • Scientel will monitor the status of all MPLS equipment connecting the sites above. • All spares will be warehoused at Scientel facility to minimize any outage time caused due to equipment failures. 50.EXCLUSIONS • Transmission(waveguide)Lines,antennas,and dehydrator units are exempt from this contract. • DC Power System equipment used to provide electrical powerto specified covered devices are exempt from this contract. 5E.FORCE MAJEURE Er NON-WARRANTIES All work authorized by client to be performed by Scientel in a Force Majeure Et Non- Warranty related items that is otherwise not covered by the system or equipment warranty or is not within the base services provided hereunder shall be billed at an hourly rate of$120.00/hr,4 hour minimum and$150.00 trip charge.(Weekdays outside the hours of 8AM-5PM Central Time,M-F)Saturday work shall be billed at an overtime rate of $180.00/hr,4 hour minimum and a$150.00 trip charge plus expenses,Sunday and holiday work shall be billed at an overtime rate of$240.00/hr,4 hour minimum and$150.00 trip charge with the addition of out of pocket expenses.Unless necessary to ensure the effective functionality of the system,Scientel Solutions shalt not perform any non- warranty,emergency,or after-hours work unless it has first provided a written estimate to client and has received a written authorization(e.g.purchase order)from client to perform the work.For any emergency work necessary to ensure the effective functionality of the system,Scientel shall provide prompt notice to client of the need to perform such Proposal No.SLI00232 8 January 31,2022 Fifth Amendment to Fort Worth City Secretary Contract No. 46273 Page 10 of 22 scientel S O L U T I O N S T Ii E U N IVER5ALINTEbRATUR work.ScienteL shall not revise the hourly technician billing rate during the term of this agreement without the prior written consent of the client. Definition of Force Majeure-The"Event of Force Majeure"means an event beyond the control of Scientel Solutions which prevents Scientel.Solutions from complying with any of its obligations under this contract,including but not limited to: ➢ Acts of God(such as,but not Limited to,fires,explosions,earthquakes,drought, tidal waves,and floods) ➢ War,hostilities,invasion,act of foreign enemies,mobilization,requisition,or embargo ➢ Rebellion,revolution,insurrection,or military or usurped power,orcivil war ➢ Contamination by radioactivity from any nuclear fuel,or from any nuclear waste from the combustion of nuclear fuel,radio-active toxic explosive,or other hazardous properties of any explosive nuclear assembly or nuclear component of such assembly ➢ Riot,commotion,strikes,go slows,lockouts or disorder,unless solely restricted to employees ofthe supplier or of his subcontractors ➢ Act or threats of terrorism. Definition of Nan-Warranty-Warranty that does not apply to:damage caused by accident,abuse,misuse,water,flood,fire,or other acts of nature or external causes; damage caused by service performed by anyone who is not an authorized service provider of ScienteL;or damage to a product that has been modified without written permission of ScienteL. 5F.SUPPORT RECORDS ➢ Scientel shall maintain the"inspection checklist"for three years after the project is completed ➢ At the conclusion of the project,Scientel shall update"inspection checklist"as deemed warranted by the Scientel individual currently maintaining the checklist ➢ Scientel shall maintain all documentation necessary to support the system during the term of this agreement and shall provide such documentation to the client upon reasonable request. 6.MPLS NETWORK SYSTEM CONFIGURATION SERVICES Scientel works with Fort Worth to oversee additions to the North Texas Interoperable Radio Network. There are multiple agencies that have joined the North Texas Interoperable Radio Network and Scientel wants to make sure there are adequate hours to support this effort going forward. To allow for the system expansion,Scientel Solutions will also provide MPLS provisioning services on the system for a total of 24 hours per month,not to exceed 288 hours for each yearly term. Additional provisioning services will be billed at$200.00 per hour for Network Engineering Services. SYSTEM UPGRADES Scientel is proposing system upgrades that will take place over a 3-year period to allow for a smooth transition from the current MDR8000 Microwave system to the Latest supported Nokia Microwave(Wavence 9500). System upgrade services are a full-turnkey effort to include microwave path design,FCC Licensing,equipment procurement, integration,and performance testing. Upgraded radio equipment will maintain the current system's performance criteria of bandwidth and reliability. Scientel.has designed the upgrades to replace radio equipment only and utilize existing transmission Lines and antennas. Legacy radio equipment no longer needed will be decommissioned and returned to the City of Fort Worth for disposal. During these upgrades the system will be adding support for alL the existing components as well as the newly added hardware/software. The total warranty support period being provided wilt set to expire end of calendar year 2027. Staff recommends, therefore, that the hardware refresh be incorporated into the existing maintenance agreement, and that the maintenance period be extended through 2032.
