AMENDMENT NO.5
TO
CITY OF FORT WORTH CONTRACT 46273
This Fifth Amendment is entered into by and between the City of Fort Worth
(hereafter 'Buyer"), a home rule municipality, with its principal place of business at 200 Texas
Street, Fort Worth, Texas, and Scientel Solutions LLC, a Delaware Company ('Vendor"),
Buyer and Vendor may be referred to individually as a Party and collectively as the Parties.
WHEREAS, on December 17, 2014, the Parties entered into City Secretary Contract
46273 to provide support and maintenance of the City's ALU MDR8000 Public Safety Microwave
and MPLS Network ("Agreement/Contract");
WHEREAS, the Parties wish to amend the Agreement to add Network Lifecycle Support
Managed Services for an initial term of five (5) years at a cost of$750,000.00 per year, a three-
year renewal term at a cost of$325,000.00 per year, and a final two-year renewal term at a cost of
$325,000.00 per year. The total not-to-exceed amount for the contract including renewal terms is
$5,375,000.00.
NOW, THEREFORE, the Parties, acting herein by the through their duly authorized
representatives, enter into the following agreement:

AMENDMENTS
The Agreement is hereby amended to include Exhibit A-1 Scientel Solutions Network
Lifecycle Support Managed Services, as authorized by Mayor & Council Communication 22-0549
approved on August 9, 2022.

ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Agreement which are not expressly amended herein shall
remain in full force and effect.

ELECTRONIC SIGNATURE
This Amendment may be executed in multiple counterparts, each of which shall be
an original and all of which shall constitute one and the same instrument. A facsimile copy
or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall
have the same effect as an original.

2.EQUIPMENT SUPPORTED
Scientel Solutions will support all current City of Fort Worth-owned equipment as listed in
table below at the following locations:Public Safety(PSB),Burnett Plaza,Bergh,Eagle
Mountain,North Beach,Bolt St,Holly,Westland 6,Irving-Finley,Irving-UC,Rolling Hills,
Grand Prairie-109 St,Grand Prairie-Lake Dam,Arlington-Cooper,and Arlington-Curry.
Additionally,support coverage will extend to new microwave and MPLS components that
are to be installed to replace end-of-support units as part of contracted scope of work
(Section 6A). A detailed list of the new equipment will be provided to the City of Fort Worth
upon completion of installation. Please refer to tables below:

3.SYSTEM MONITORING
Scientel Solutions securely integrates an SNMP monitoring solution to provide visual,
audible,email,and text alerts to the Network Operations Center(NOC)at our headquarters
in Aurora,IL to ensure expedited notification and response to network events.We utilize
incident management software for ticketing and reporting which allows Scientel Solutions

to report on key performance metrics(KPI5),Once the team is made aware of a change in
network conditions,the engineer will begin to ticket,notify appropriate parties,and triage
the situation.Once the situation is assessed,the engineer will determine if the issue can be
resolved remotely or if a member of staff is required to be dispatched to the Location.
Throughout the Lifecycle of the incident,the ticket and documentation are updated,
allowing ScienteL to keep accurate statuses for awareness and escalations.Our NOC is
here to support The City of Fort Worth on a 24x7x365 basis.ScienteL Solutions also
coordinates with other vendors and the city to implement and track changes and
improvements in the network.We offer personalized services to meet the needs of the City
of Ft.Worth.
3A.TICKETING
Sciente['s NOC will utilize Fort Worth's NSP Server that will automatically generate tickets
as problems arise on a proactive basis for priorities 1-3.Priority 4,tickets can be generated
by calling our 24x7x365 NOC number or by submitting an email to the NOC email address:

4.SYSTEM SUPPORT&PREVENTATIVE MAINTENANCE
Scientel Solutions will conduct physical maintenance inspections(indoor,infrastructure,
and network hardware&software)on a quarterly basis with fifteen days advance notice
to The City of Fort Worth.The scheduled inspections shall take place at the agreed upon
time and locations,upon the conclusion of these inspections Scientel and The City of Fort
Worth will conduct a quarterly business review meeting.

Upon receipt of notification of an issue from ScienteL's monitoring system,Scientelwill
utilize,categorize,and troubleshoot the failure as necessary.Scientel wilL determine the
severity Level of the project and respond based on the timetable noted in section SA.
ScienteL will serve as a Level 1 call center while providing level 2 Et 3 Support.

5B.SUPPORT SCOPE OF SERVICES
The Scientel Solutions Customer Lifecycle Management Program is designed to support
the system on a 24 hour,7 days a week basis.As part of the maintenance and support
Scientel shall provide network monitoring services,which will include the monitoring of all
devices listed in section 2.
Scientel will provide services to create custom reports,as available,from the NSP that can
not only be generated for quarterly system performance reviews but also ad-hoc
generation as well. These services will also cover implementing add itionalfeatures
available with future firmware upgrades. NSP will also have a dashboard interface that
will be accessible to the City of Fort Worth,and Scientel will assist Fort Worth Radio Shop
personnel with guidance on accessing and utilizing the interface.
5C.A5SUMPTION5
• Network performance service levels encompass end to end systems only.No
customer supplied devices(excluding devices purchased for client by Scientel
solutions in connection with the system)are considered in this measurement.
• Scientel will monitor the status of all MPLS equipment connecting the sites above.
• All spares will be warehoused at Scientel facility to minimize any outage time
caused due to equipment failures.
50.EXCLUSIONS
• Transmission(waveguide)Lines,antennas,and dehydrator units are exempt from
this contract.
• DC Power System equipment used to provide electrical powerto specified covered
devices are exempt from this contract.
5E.FORCE MAJEURE Er NON-WARRANTIES
All work authorized by client to be performed by Scientel in a Force Majeure Et Non-
Warranty related items that is otherwise not covered by the system or equipment
warranty or is not within the base services provided hereunder shall be billed at an hourly
rate of$120.00/hr,4 hour minimum and$150.00 trip charge.(Weekdays outside the hours
of 8AM-5PM Central Time,M-F)Saturday work shall be billed at an overtime rate of
$180.00/hr,4 hour minimum and a$150.00 trip charge plus expenses,Sunday and holiday
work shall be billed at an overtime rate of$240.00/hr,4 hour minimum and$150.00 trip
charge with the addition of out of pocket expenses.Unless necessary to ensure the
effective functionality of the system,Scientel Solutions shalt not perform any non-
warranty,emergency,or after-hours work unless it has first provided a written estimate
to client and has received a written authorization(e.g.purchase order)from client to
perform the work.For any emergency work necessary to ensure the effective functionality
of the system,Scientel shall provide prompt notice to client of the need to perform such

work.ScienteL shall not revise the hourly technician billing rate during the term of this
agreement without the prior written consent of the client.
Definition of Force Majeure-The"Event of Force Majeure"means an event beyond the
control of Scientel Solutions which prevents Scientel.Solutions from complying with any of
its obligations under this contract,including but not limited to:
➢ Acts of God(such as,but not Limited to,fires,explosions,earthquakes,drought,
tidal waves,and floods)
➢ War,hostilities,invasion,act of foreign enemies,mobilization,requisition,or
embargo
➢ Rebellion,revolution,insurrection,or military or usurped power,orcivil war
➢ Contamination by radioactivity from any nuclear fuel,or from any nuclear waste
from the combustion of nuclear fuel,radio-active toxic explosive,or other
hazardous properties of any explosive nuclear assembly or nuclear component of
such assembly
➢ Riot,commotion,strikes,go slows,lockouts or disorder,unless solely restricted to
employees ofthe supplier or of his subcontractors
➢ Act or threats of terrorism.
Definition of Nan-Warranty-Warranty that does not apply to:damage caused by
accident,abuse,misuse,water,flood,fire,or other acts of nature or external causes;
damage caused by service performed by anyone who is not an authorized service provider
of ScienteL;or damage to a product that has been modified without written permission of
ScienteL.
5F.SUPPORT RECORDS
➢ Scientel shall maintain the"inspection checklist"for three years after the project is
completed
➢ At the conclusion of the project,Scientel shall update"inspection checklist"as
deemed warranted by the Scientel individual currently maintaining the checklist
➢ Scientel shall maintain all documentation necessary to support the system during
the term of this agreement and shall provide such documentation to the client upon
reasonable request.
6.MPLS NETWORK SYSTEM CONFIGURATION SERVICES
Scientel works with Fort Worth to oversee additions to the North Texas Interoperable
Radio Network. There are multiple agencies that have joined the North Texas
Interoperable Radio Network and Scientel wants to make sure there are adequate hours to
support this effort going forward. To allow for the system expansion,Scientel Solutions
will also provide MPLS provisioning services on the system for a total of 24 hours per
month,not to exceed 288 hours for each yearly term. Additional provisioning services will
be billed at$200.00 per hour for Network Engineering Services.
Included in this are provisioning changes and additions on the MPLS network relating to:

NSP Analytics architecture
Nokia NSP generates reports based on physical inventory,application accounting data,SNMP statistics,
OAM test results,flow-based data,service impacting events,operational state information as well as
customer provided data le.g maintenance windows).The NSP also provides the means to configure all
required policies to enable the collection and storage of the above data,scheduling of DAM tests,etc.
Additionally,the NSP will automatically aggregate statistics to hourly,daily,weekly and monthly levels and
retain the data in the Auxiliary Database as per user configuration.
NSP Analytics functionality is enabled by these components:
• The NFM-P Server,which manages all components as well as collecting accounting and SNMP statistics
for deployments with limited scale requirements-
• The Auxiliary Server,which collects accounting and SNMP statistics for deployments with large scale
requirements.The Auxiliary Server supports geographic redundancy and is horizontally scalable.
• The NSP Flow Collector,which supports the collection and aggregation of Nokia system cflowd(i.e.
IPFIXI,as well as multi-vendor NetFlow v5 data_The NSP Flow Collector supports 1+1 redundancy and
horizontal scale.
• The NSP Auxiliary Database,which warehouses the large volumes of current and aggregated historical
statistics and raw data-It also stores customer provided data enabling content-rich reports tailored to
specific needs-It is an analytics-optimized,cluster-based columnar store,enabling complex data
processing with high performance,horizontal scale and high availability.
• The NSP Analytics Server,which is used to create,schedule and run reports and dashboards and to
distribute them to a wide audience or to external systems.This server is horizontally scalable with load
balancing capabilities to ensure greater performance,scale,and end user quality of experience_

8. SYSTEM UPGRADES
Scientel is proposing system upgrades that will take place over a 3-year period to allow
for a smooth transition from the current MDR8000 Microwave system to the Latest
supported Nokia Microwave(Wavence 9500). System upgrade services are a full-turnkey
effort to include microwave path design,FCC Licensing,equipment procurement,
integration,and performance testing. Upgraded radio equipment will maintain the current
system's performance criteria of bandwidth and reliability. Scientel.has designed the
upgrades to replace radio equipment only and utilize existing transmission Lines and
antennas. Legacy radio equipment no longer needed will be decommissioned and returned
to the City of Fort Worth for disposal.
During these upgrades the system will be adding support for alL the existing components
as well as the newly added hardware/software. The total warranty support period being
provided wilt set to expire end of calendar year 2027.
The complete network implementation is slated to start calendar year 2023 and finish
calendar year 2025.Yearly upgrade work to be coordinated and agreed upon a year in
advance with the City of Fort Worth,example work to be done in 2024 to be coordinated
and agreed upon in 2023 with the City of Fort Worth.During this time the microwave path
upgrade schedule will follow as outlined below. In addition to this all software/hardware
maintenance for the existing installed locations will be bundled and included in this 5-year
coverage period. This will include the N5P Software/Hardware,all existing(16)7705 SAR-
B's hardware/software,and newly added MPR9500 radios components.
ALl major software upgrades will happen in year 2024 and in year 2026 in order maintain
the manufacturer Gold Level Support requirements. During those years the latest release
of software will be installed system wide.

Scientel Solutions Responsibilities
Scientel will designate a Project Manager who will direct ScienteL's efforts and serve as
the primary point of contact for the client.The ScienteL Project Manager will have
significant authority to make certain decisions relative to the project,on behalf of ScienteL,
and will have direct access to ScienteL's executive management for resolving problems
beyond the Project Manager's immediate authority.The responsibilities of
the Scientel Project Manager include:
• Participate with the client in routine progress review meetings and submit status
reports that identify the activities of the previous review period,as well as
activities planned for the upcoming review period,including an updated Project
ScheduLe.Maintain project communications with the client's Project Manager(s).
• Participate in weekly conference calls or face-to-face meetings and issue a
mutually agreed upon agenda for each call or meeting.
• Manage the efforts of Scientel staff and coordinate activities with client's project
team members.
• Measure,evaluate and report the progress against the Project Schedule.
• Resolve deviations from the Project Schedule.
• Monitor the project to ensure that support resources are available as scheduled
and as identified in the contract.
• Assume accountability for all ScienteL contractor and subcontractor supplied tasks
within the Project Schedule,if any.
• Coordinate and oversee the installation of all hardware and software.
• Review and administer change control procedures through the client's Project
Manager,commonly referenced as a"Project Change Request"(PCR),issued by
the Scientel Project Manager.
• Work with the client Manager(s)in designing and approving the format of an
action item log to be used in conjunction with the Project Schedule.The purpose of
the log is to identify outstanding issues,provide continual status updates on
specific tasks and to identify responsibilities of the parties.
• Prepare and submit regular status reports that identifies the activities and
milestones completed in the previous month and activities planned for the current
month and the next month,including progress and payment milestones,and an
updated Project Schedule.
• In the event that ScienteL must replace or substitute a Project
Manager,Scientel will immediately notify the client of such a change and will
provide the client with a resume of the person ScienteL intends to substitute or
change.
• Prepare Method of Procedure(MOP)request for all service affecting work
activities.

Customer Responsibilities

duration of the project,including at least one system administrator.
• Ensure acceptable Standard Change Request and Approval Letter(s)area p proved
by authorized signature(s).
• Provide building access to ScienteL personnel to all City of Fort Worth facilities and
assist with obtaining access to non-Fort Worth owned sites where covered
system equipment is to be supported and installed during the contract term.
Temporary identification cards should be issued to ScienteL personnel if required
for access to City of Fort Worth facilities.Access must be available after business
hours where required by ScienteL,or as necessary to meet the defined support
response Service Level Agreements(S LA).
• Provide any required parking permits to ScienteL personnel for restricted access
entry and/or parking.
• Obtain all zoning,site access,and other permits(including,but not limited to,
easements,impact studies,planning commission approval,variances,etc)
necessary for this project and any other agreements required to gain use of sites.
• Provide the appropriate fire inspection and building inspection certificates.
• Provide adequate space,electrical power,communications Lines,and
environmental appropriations for the communications equipment to be installed
by Scientel.
• Review and approve or revise delivered design documents within ten business
days of submission.

SUBJECT: (ALL) Authorize Execution of a Fifth Amendment to City Secretary Contract No. 46273,
Professional Services Agreement with Scientel Solutions, LLC, Using a Houston-
Galveston Area Council Cooperative Contract, for Additional Maintenance Services and
Upgrades to the City of Fort Worth's Public Safety Radio Microwave System at a Cost of
$3,750,000.00 for the First Five Years, with One Three-Year Renewal Option at a Cost of
$975,000.00 and One Two-Year Renewal Option at a Cost of$650,000.00
RECOMMENDATION:
It is recommended that the City Council authorize the execution of a fifth amendment to City Secretary
Contract No. 46273, professional services agreement with Scientel Solutions, LLC, using Houston-
Galveston Area Council Cooperative Contract CW10-19, for additional maintenance services and
upgrades to the City of Fort Worth's Public Safety radio microwave system at a cost of$3,750,000.00
for the first five years, with one three-year renewal option at a cost of$975,000.00 and one two-year
renewal option at a cost of$650,000.00.
DISCUSSION:
In 2011, the City Council approved Mayor and Council Communication (M&C) C-24680 to execute an
agreement with Scientel Solutions, LLC, (Scientel) for the installation of a microwave system used as
a critical component of the City of Fort Worth's (City) public safety radio communications system.
Implementation was completed in 2012.
In 2014, the City executed City Secretary Contract No. 46273 with Scientel to provide microwave
system maintenance services through 2024.
Although some components have been upgraded to current levels and all have been maintained, the
remaining hardware implemented in 2012 is now aged to the point that it will no longer be supported
by the manufacturer after the current maintenance contract expires.
Staff recommends, therefore, that the hardware refresh be incorporated into the existing maintenance
agreement, and that the maintenance period be extended through 2032. Under this arrangement, the
hardware will be replaced over a period of three years beginning in 2023. The City's cost will not
increase until Fiscal Year 2023. The increased cost will be shared with external agencies utilizing Fort
Worth's radio system through an increase in the annual fees charged to those agencies. The total
increase in cost over the term of the contract through 2032 will be $4,860,315.73.

COOPERATIVE PURCHASE: State law provides that a local government purchasing an item under a
cooperative purchasing agreement satisfies State laws requiring that the local government seek
competitive bids for purchase of the item. Cooperative contracts have been competitively bid to
increase and simplify the purchasing power of local government entities across the State of Texas.
BUSINESS EQUITY—A goal is not assigned when purchasing from an approved purchasing
cooperative or public entity.
SUCCESSOR CONTRACTS - In the event the Houston-Galveston Area Council (HGAC) agreement
is not renewed, staff would cease purchasing at the end of the last purchase agreement coinciding
with a valid HGAC agreement. If the City Council were to not appropriate funds for a future year, staff
would stop making purchases when the last appropriation expires, regardless of whether the then-
current purchase agreement has expired.
The City will initially use the HGAC contract to make purchases authorized by this M&C. The
Cooperative Contract is set to expire on September 30, 2023. If HGAC CW10-19 is extended, this
M&C authorizes the City to purchase similar equipment and services under the extended contract. If
HGAC CW10-19 is not extended but HGAC executes a new cooperative contract with Scientel
Solutions, LLC and with substantially similar terms, this M&C authorizes the City to purchase the
equipment and services under the new HGAC contract.
ADMINISTRATIVE CHANGE ORDER—An administrative change order or increase may be made by
the City Manager up to the amount allowed by relevant law and the Fort Worth City Code and does
not require specific City Council approval as long as sufficient funds have been appropriated.
AGREEMENT TERM: Upon City Council's approval, the initial term of this agreement shall
commence upon final execution of City Secretary Contract No. 46273 Amendment No. 5 and expire
December 31, 2027.
RENEWAL OPTIONS: The Agreement may be renewed for one additional three-year term beginning
January 1, 2028 and expiring December 31, 2030 and for one additional two-year term beginning
January 1, 2031 and expiring December 31, 2032.
FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that upon approval of the recommendations and adoption of the
Fiscal Year 2023 Budget by the City Council, funds will be available in the Fiscal Year 2023 operating
