HomeMy WebLinkAboutContract 50022-A2R4 CSC No. 50022-A2R4 SECOND AMENDMENT AND FOURTH RENEWAL TO CITY OF FORT WORTH CONTRACT 50022 This Second Amendment and Fourth Renewal is entered into by and between the City of Fort Worth (hereafter 'Buyer"), a home rule municipality, with its principal place of business at 200 Texas Street, Fort Worth, Texas, and OneRain Incorporated ("Vendor"), Buyer and Vendor may be referred to individually as a Party and collectively as the Parties. WHEREAS, on November 29, 2017, the Parties entered into City Secretary Contract 50022 to provide perpetual software licensing for Flood Warning Software system ("Agreement/Contract"); WHEREAS, the Agreement included an initial two-year term and three one-year renewals; WHEREAS, the parties have previously exercised the three renewal terms with the current term of the Agreement set to expire on November 28, 2022; WHEREAS, the Parties wish to amend the Contract to include four (4) additional one- year renewal options and simultaneously exercise the first additional renewal term, as authorized by this amendment, and renew the Contract for its fourth renewal. NOW, THEREFORE, the Parties, acting herein by the through their duly authorized representatives, enter into the following agreement: 1. AMENDMENTS The Agreement is hereby amended as follows:: . This Agreement may be renewed for four (4) additional one-year renewal terms at the City's option, each a "Renewal Term." The City shall provide Vendor with written notice of its intent to renew at least thirty(30) days prior to the end of each term. 2. RENEWAL The Agreement is hereby renewed for its fourth renewal term, as authorized by this amendment, for a new term beginning November 29, 2022 and ending November 28, 2023. 2. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect.
