ADDENDUM NO. 1 AND RENEWAL 3 TO
CITY SECRETARY CONTRACT NO. 53303
SYSTEM SUPPORT AGREEMENT
This Addendum and Renewal is executed by and between the City of Fort Worth
(hereafter "City"), a home-rule municipality, with its principal place of business at 200 Texas
Street, Fort Worth, Texas, and BAKER & TAYLOR, LLC (hereafter "Vendor"), a Limited
Liability Company. City and Vendor shall be referred to individually as a"Party"and collectively
as the "Parties."
WHEREAS, on December 19, 2019, the Parties previously entered into City Secretary
Contract 53303 (the "Agreement"); and
WHEREAS, the Agreement was executed for Vendor to provide books, materials and
collection development and management services to the Fort Worth Public Library ("Library");
and
WHEREAS, the Agreement was amended on May 12, 2020 to include the Vendor's
Sustainable Shelves Program among other collection analysis tools listed in the Statement of Work
(City Secretary Contract 53303-A1); and
WHEREAS,the Agreement was amended on June 9, 2020 to include the OCLC Online,
Inc. third party license agreement for bibliographic processing services (City Secretary Contract
53303-A2); and
WHEREAS,the Agreement allows for renewals under the same terms and conditions for
up to four(4) one-year renewal options,upon mutual agreement of the parties; and
WHEREAS, the parties previously exercised two one-year renewal options, the most
recent being CSC No. 53303-R2; and
WHEREAS,the current term of the Agreement expires on November 5, 2022; and
WHEREAS, the City and Vendor now wish to renew the term of the Agreement for
continued services pursuant to the original Agreement for an additional year, specifically from
November 6, 2022 to November 5, 2023; and
WHEREAS,the City and Vendor wish to adjust cost for labor and/or materials at the time
of the renewal.
NOW, THEREFORE, City and Vendor acting herein by and through their duly
authorized representatives, enter into the following agreement to renew the contract.
I.
ADDENDUM TO AGREEMENT
The attached renewal letter to the City from the Vendor dated August 24, 2022 provides
for a 12% increase in prices for cataloging and pricing.

RENEWAL
The term of the Agreement is hereby renewed for an additional year to begin on
November 6, 2022 and expire on November 5, 2023,unless terminated earlier in accordance with
the Agreement.
3.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Contract which are not expressly amended herein shall remain
in full force and effect.

RE: Renewal 3 to City Secretary Contract No 53303
Dear Mr. Shidal,
Baker & Taylor will be pleased to extend subject solicitation for the proposed additional one-year
period and would like to continue servicing the Library under this agreement. However, unprecedented
shifts in the labor market and increasing costs associated with shipping/delivery have impacted
businesses worldwide, including Baker & Taylor. Upon review of the costs to supply product for this
agreement, we find that terms of sale are not sustainable for our firm. We would like to propose
adjustments to our pricing with the upcoming renewal term, according to the escalation clause
included in the agreement that states the following:
29.0 ESCALATION Any requests for price adjustments must be submitted thirty days prior to the agreement renewal date.
Justification for the requested adjustment in cost of labor and/or materials must be accompanied by appropriate
documentation.Escalation shall not exceed the increase in the U.S.Department of Labor(Bureau of Labor Statistics)
Consumer Price Index for Urban Consumers. Increases shall be provided in writing to the Collection Management Division
prior to any adjusted invoicing submitted for payment.
Since the inception of this contract, the U.S. Department of Labor (Bureau of Labor Statistics)
Consumer Price Index for Urban Consumers has increased by 15.29%. We would like to propose
increasing the prices for cataloging and processing fees as outlined in the contract by 12%. Please let us
know if the County would agree to these proposed changes for the upcoming renewal term to begin in
November 2022.
