HomeMy WebLinkAboutContract 52998-R3 THIRD RENEWAL OF CITY SECRETARY CONTRACT NUMBER 52998,A PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF FORT WORTH AND STUDIO SIX ART CONSERVATION,LLC. This THIRD RENEWAL OF CITY SECRETARY CONTRACT NO. 52998 ("Third Renewal") is made and entered into by and between the City of Fort Worth, a home-rule municipal corporation of the State of Texas ("City"), acting by and through Fernando Costa, its duly authorized Interim Assistant City Manager, and Studio Six Art Conservation, LLC., a single member LLC, (the "Conservator") acting by and through Brad Smith, its authorized agent. City has designated the Arts Council of Fort Worth and Tarrant County, Inc., to manage this Agreement on its behalf. The Contract Manager shall act through its designated Public Art collection manager("Contract Manager"). WHEREAS, the City is implementing the Fort Worth Public Art Program pursuant to the Chapter 2, Section 2-56 through 2-61 of the Fort Worth Code of Ordinances to insure proper stewardship of the City's public art collection; WHEREAS, the City and Conservator entered into a Professional Services Agreement for specific services for the purpose of assisting with the care and maintenance of the Public Art Collection, the same being City Secretary Contract("CSC"No. 52998)(the"Agreement"); WHEREAS,pursuant to the Agreement, Conservator has agreed to perform services for the City on an as-needed basis through individual addenda; WHEREAS, the Agreement provides for an initial one-year term and for the possibility of three one-year renewals,at the sole discretion of the City; WHEREAS, the City agrees to pay Conservator an annual amount not to exceed FORTY THOUSAND DOLLARS AND NO CENTS ($40,000.00); WHEREAS, the Agreement was previously renewed for a one-year term that expired on September 30,2022; WHEREAS, the City and Conservator agree to continue this relationship by extending and renewing the Agreement for the third one-year renewal period. NOW, THEREFORE,City and Conservator do covenant and agree as follows: 1. The City and Conservator hereby agree to renew and extend the Agreement for its third one-year renewal period, effective on October 1, 2022 and expiring on September 30, 2023 ("Third Renewal Term"). 2. All terms and conditions of the Agreement shall remain in full forc the Third Renewal Term unless specifically amended herein.
