HomeMy WebLinkAboutContract 41103-A1 CSC No.41103-A1 FIRST AMENDMENT TO CITY SECRETARY CONTRACT NO. 41103 TOWN OF NORTHLAKE WHOLESALE WATER CONTRACT WHEREAS, the City of Fort Worth ("Fort Worth") and the Town of Northlake ("Customer") entered into that certain Water Services Agreement,with a term of January 1,2011 through September 30,2031 (Fort Worth City Secretary Contract No.41103) (the "Contract"); and WHEREAS,the Contract provides for Customer to purchase from Fort Worth and for Fort Worth to supply, at reasonable rates,treated water for Customer's use; and WHEREAS, Customer desires to increase the amount of treated water it purchases by increasing the amount at Meter#1 from 1.63 MGD to 3.63 MGD and by adding a new connection station with a capacity of 5.0 MGD; and WHEREAS, Customer desires to make certain system improvements to Fort Worth's Northside II water system, a part of the "Fort Worth System," as defined in the Contract,for the receipt of increased amount of treated water; and WHEREAS,the Contract,at Section 3.2(Points of Delivery)and 3.3 (Costs of New or Additional Connections), anticipates future expansion by the Customer as its needs dictate; and WHEREAS,Exhibit"A-1"provides a reiteration of the existing connection points and shows the proposed new connection station(s) as well as other system improvements locations;and WHEREAS, Exhibit "F", as contemplated by the Contract, details Additional Terms, including specifics of the work herein contemplated as well as the estimated costs and responsibilities. WHEREAS, the estimated amount of the City's projected cost participation is $5,732,803.00. NOW, THEREFORE, in consideration of the above-stated recitals, the contract is hereby amended as follows: OFFICIAL RECORD CITY SECRETARY FT.WORTH,TX 1. The Contract is hereby amended by adding Exhibit A-1,attached hereto and incorporated herein for all purposes,which supplements the Exhibit A contained in the original Agreement. 2. The Contract is hereby amended by adding an Exhibit F, attached hereto and incorporated herein for all purposes,which sets forth the details,rights and responsibilities of the parties summarized herein as follows: • Provide additional capacity at Northlake's existing Meter#1 and provide main extensions to construct a future meter#2 location. • Fort Worth's participation costs are estimated to be an amount up to $5,732,803.00 to complete all extensions as shown in the exhibits. 3. All other terms, conditions, and covenants contained in the Contact shall continue in full force and effect. Description of Project/Benefits to City and Water Wholesale Customers Project will bring additional capacity to Northlake at Northlake's existing Meter#1 and provide main extensions to construct an additional future meter #2 location. Exhibit "A" to the 1' Amendment of Contract depicts the proposed main extensions phase 1 & 2. The Project Management will be conducted by Town of Northlake. B. Northlake Capacity The following outlines capacity for Northlake: Current: 1.63 million gallons per day(MGD)at Meter#1 Future(upon completion of Phase 1):3.63 MGD total allowed at Meter#1 Future (upon completion of Phase 2): additional connection point, total of 5.0 MGD at the additional connection point#2. Upon completion of both phases,Northlake will be able to receive both 3.63 MGD at Meter#1 and 5.0 MGD at the new meter location in any given day.The capacity at each meter cannot be exceeded or swapped between meters. o Project Phasing: Fort Worth agrees to cost-participate with Northlake at cost percentage shown in Northlake Cost Share calculation table to complete all extensions as shown in the exhibit.Northlake will be responsible for the project schedule that Northlake chooses to pursue with Fort Worth providing support to a reasonable extent.The project will be done in two phases. Phase l: Completion of extensions A,B,C,D,E, and F. Phase 2: Completion of extension G and a new wholesale meter connection Hydraulic Modeling:Fort Worth provided hydraulic water modeling results that show the proposed extensions and phasing can support an additional demand to Northlake as shown above. The current capacity is restricted to 1.63 MGD currently. C. Project Design and Construction The City of Northlake will manage design,bidding,and construction administration of Phase 1 and Phase 2.Design and construction standards will be as determined by the City of Fort Worth. City of Fort Worth will have the right to review and approve all documents before they are finalized. Documents include,but are not limited to, design drawings, specifications, easements,bid award, payment invoices and change orders.Additional details include: • Northlake will select a design engineer.City of Fort Worth will review and approve the level of effort and associated design fee. • Northlake will submit for review design plans at approximately 30%,60%,and 90% complete for an interim review and comments. • Construction inspection will be through a City of Fort Worth designated inspector Exhibit F Term Sheet Page 1 of 5 [Northlake] [Northside H Main Extensions and Wholesale Meter Installation] I • Phase 1 construction will be a single project with one set of construction documents. Phase 2 construction,which includes a water main extension and meter station,may be broken into two separate projects • Metering station design and SCADA will be required to be consistent with City of Fort Worth standards. D. Project Schedule and Process and Payments As part of the additional capacity provided by Fort Worth to Northlake under the Contract,Northlake shall contribute to two existing Water Main Capacity Charges (WMCC). Total payment due will be based on 7 MGD of additional capacity. At the end of Phase 1, the WMCCs will be calculated based on 2 MGD of additional capacity and the current year.At the end of Phase 2,the WMCCs will be calculated based on 5 MGD of additional capacity and the current year. Northlake will provide funds up front for design and construction with various reimbursement payments not to exceed$4,274,840.15 to be made by Fort Worth: For Phase 1: • Upon execution of the amendment and approval by Fort Worth of the level of effort and design fee,Fort Worth will reimburse its proportional share of the design fee within 60 days. • As easements are obtained,Northlake will provide an invoice to Fort Worth for payment of its proportional share within 60 days. • After the project is designed, publicly bid, and awarded,Northlake will provide an invoice to Fort Worth for payment of its proportional share within 60 days o Any changes in the design fee since the initial payment will be the responsibility of Northlake to track and square-up with Fort Worth as part of invoice mentioned above o Estimated construction services and inspection fees will also be provided as a part of the invoice mentioned above • Any change during construction will be tracked by Northlake.After the project is reaches final acceptance, a final payment invoice accounting for changes orders and differences in the construction services and inspections fees will be sent to Fort Worth for payment not to exceed $1,457,962,or 20%of segment total construction cost(or credit)within 60 days. Exhibit F Term Sheet Page 3 of 5 [Northlake] [Northside H Main Extensions and Wholesale Meter Installation] I For Phase 2: • Northlake is 100%responsible for all costs related to Phase 2. • The costs for the water main extension should be documented separate of the meter station costs o Consistent with the Water Main Capacity Charge (WMCC) ordinance in Fort Worth, Northlake will provide the total costs associated with the Phase 2 design,construction, and easements costs for the water main extension(extension`WL-G' in Exhibit A) o If any future Fort Worth developments tie into the section requiring capacity from `WL-G' a water main capacity charge will be assessed by Fort Worth to the developer. o Upon request by Northlake, any water main capacity charges collected will be reimbursed to Northlake. o The capacity available to Northlake will NOT be affected by any future connections. Northlake is responsible for obtaining. 1. Fort Worth will assist in condemnation, if agreed to be necessary by both cities. ii. Fort Worth must approve easement document and costs before acquisition ■ Right of Way/Land Dedication:Any permits,application fees and assessments will be shared. ■ Franchise Utility Relocations: Costs incurred for "Franchise Utility Relocation" will be itemized as part of total construction public bid cost and shared. Exhibit F Term Sheet Page 4 of 5 [Northlake] [Northside H Main Extensions and Wholesale Meter Installation] ■ Public Notifications: Project will be public bid and follow all applicable public bid policies, local and state laws and advertisement,notification requirements ■ Outside Entity/Offsite Owner Approvals/Permits(TxDOT,Railroad,Etc.) ■ Miscellaneous Inspection and Material Testing ■ IPRC Fees ■ Additional design fees or administrative expenses NOT directly related to the construction of Phase 1 are excluded. Unless explicitly listed above or approved in writing by Fort Worth, the expenses will not be shared ■ Staff time: No staff time by either City of Fort Worth or Northlake will be included in the cost-sharing agreement.Each city is solely responsible for their own staff time. Note: Cities will each be responsible for their own attorney fees. o Contractor Qualifications and Selection ■ Contractors must meet City of Fort Worth requirements for pre-qualification, insurance, licenses and bonding. ■ Contract must be publicly bid with the low bid being selected,qualifications considered. o Miseellaneous-Inspection fee and material testing 1. Project schedule may be subject to delay due to Fort Worth policy on cutting and repair of new pavement. In the event on-going Development within Fort Worth does not provide an alignment option outside of pavement that the cities find acceptable, and the only alternative to the alignment is under new pavement, the project may be delayed up to two years until construction can occur. 2. Additional capacity will be wholly available upon completion of phases listed in Section B.No partial increase in capacity will be available until the phases listed are fully completed. 3. Additional improvements to the City of Northlake water system may be required beyond the projects outlined in this agreement in order to utilize the additional capacity provided. Any additional improvements are solely the responsibility of Northlake. 4. Coordination and approval with TCEQ for all phases is the responsibility of Northlake.This includes any main extensions and the new wholesale meter connection 5. The City of Fort Worth will agree to allow Northlake's appointed inspectors onsite for inspection during construction. 6. Regarding the main extensions constructed as part of Phase 1,Fort Worth may create a WMCC to receive reimbursement due to future development.Any WMCC collected will be 100%allocated to Fort Worth. a. The capacity available to Northlake will NOT be affected by any future connections. Capacity will be held consistent at both meters. 7.
