Meltwater Plus
• Users:Access by up to 10 Authorized Users(defined herein)to the Meltwater platform."Authorized Users"means those specific
employees or consultants located in United States that Customer has authorized to use the Meltwater platform solely for
Customer's own internal business purposes.
• Searches:25 Searches.A"Search"is a string of keywords used to search online news or social media sources and find relevant
results in the form of articles or posts.Results are displayed in the Meltwater platform and contain a hyperlink to the original
source article or post.
• Dashboards:10 dashboard(s)on the Meltwater platform.Dashboards are customizable and display analytics and search results
from any Searches.Each Dashboard can contain up to 9 Widgets.
• Widgets:Access to both Brand Monitoring and Brand Analysis widget groups,including Potential Reach,Sentiment Score,Share
of Voice,Advertising Value Equivalency,Top Languages,RSS Feed,Content Streams,Media Exposure,World Heat Map,
Trending Themes,Top Publishers and Top Locations widgets.
• Sources:News and social media monitoring.News search results from all sources tracked by Meltwater worldwide.
■ Extras:Tagging,translation and distribution of search results.
• Sentiment:Natural Language Processing(NLP)analysis of article sentiment in selected languages.
• Alerts:Twitter Influencer(twitter only),Top reach(news only),Spike detection,Sentiment Shift,and Events(40 companies)are
included.Authorized Users can configure Alerts for Searches and Users.Alerts are available in the Meltwater Platform,email
reports and/or Mobile App.
• Support:Technical and Consultative support during normal local business hours,for the duration of the subscription.
• Email:Daily e-mail reports and ad-hoc dashboard reports showing search results for Authorized Users.
• Mobile:Access to Meltwater app(available in iOS and Android)to view saved Searches and Search Results.
• Subject to the approval of Twitter,Customer may receive content from Twitter or post content to Twitter("Twitter Content")
pursuant to this Agreement and Customer represents that it has read,understands,and agrees to be bound by Twitter's terms of
service located at https://twitter.com/en/tos.Meltwater or Twitter may terminate Customer's access to Twitter Content if Meltwater
or Twitter reasonably believes that Customer is violating Twitter's terms of service.
Newsletter
• Design and send branded e-Newsletters from within the Meltwater platform,containing search results and/or Customer generated
content.
■ Includes 1 branded,customized template and 1 pre-saved Recipient list.Pre-saved Recipient list can save up to 1,000 e-mail
addresses of customers choice.
• Customer is responsible for obtaining any required consent from recipients on the Recipient list where necessary.Customer will
receive one newsletter template with a maximum of three(3)revisions.Meltwater may pause Newsletter sends if unsubscribe
rates trigger SPAM alerts.
Broadcast Local
• Streaming with monitoring coverage in the state of Texas.
• Searchable Broadcast content database from one US state within the Meltwater Platform.
• Clips can be edited and shared with colleagues.
• Broadcast content can be added to widgets for analysis and benchmarking.
Broadcast Archive
• Unlimited storage of full and/or edited,saved broadcast clips in URL format
• Ability to share internally in URL format for re-viewing for the duration of the subscription
■ Requires access to Broadcast product

Payment Terms:
Meltwater Services are paid for in advance of the Start Date in a single lump sum.Once this Order Confirmation is signed,an invoice for
the price below will be generated and due net14.Except as provided in the Terms of Use,all payment is non-refundable.Discounts
and/or special pricing and/or payment terms,if any,may not apply to your renewal term.
(If you are tax exempt please provide your Meltwater representative with a valid current tax exemption form upon signing.)

Terms of Use:
The company identified in the signature block below("Customer")hereby agrees that its use of any Meltwater Service is governed by the
terms set out in this Order Confirmation and the terms and conditions of use,located at https://www.meltwater.com/terms-of-
use/northamerica/ ("Terms")(together the"Agreement').Any other terms,including those on a purchase order,in a vendor registration
application,or part of an RFP,are considered void and shall have no force and effect.
Special Terms:
Any Special Terms below shall supersede Meltwater's standard Terms of Use.
■ Invoices under this Agreement will be due within 30 days of invoice date.
■ Invoices under this Agreement will be issued according to the following schedule:Invoice 1 in the amount of 15250.00 USD
due on or before Jan 31,2023;
■ In the event Customer extends the Agreement for an additional renewal term for the same duration as the initial term,the
pricing for the renewal term shall not exceed a 5%increase of the initial term.The pricing of any further renewals shall not
exceed a 5%increase of the then current term for a period of 2 years.

Sole source letter from Meltwater certifying that no other company_provides a similar or
competing combination of products and services. Staff also researched several vendors and
compared services provided. Meltwater was the most comprehensive service.

editorial, broadcast, social media listening and analysis platform fully integrated with a media
outreach database and a leading social media management and engagement tool.
Meltwater also offers several features that are not found in other services:
A unique and unlimited exporting features that allows a unique keyword search option.
Real-time news delivery through their Crisis Management option, that other providers can't
delivery.
A forwarding and distribution feature that complies with copyright laws .
Fully integratedplatform for editorial, broadcast, social media data.

Meltwater offers a unique suite of Software-As-A-Service products.We fully customize our service to each client's
individual needs. Our source base is the most comprehensive in the World, and covers over 300,000+ sources in
over 200 countries across all languages. We work with over 30,000 clients worldwide from a broad variety of
sectors.
Founded in Oslo, Norway in 2001, Meltwater currently has over 2,000 employees in over 30 countries. Privately
owned by its employees and partners, Meltwater was started with an initial grant of$15,000 from the Norwegian
Science Foundation and has never had any external funding since then — all of our growth has been through our

• Our services are flat-fee. There are no variable costs involved. Search criteria and keywords are unlimited
and all users are able to add, edit or delete keywords at any point during the subscription.The majority of
our competitors will not offer this flexibility and often charge per keyword used, have per article costs, and
extra for more than 1 user.
• We provide full consultative service and work with our clients on an individual basis, assessing needs and
tailoring our system accordingly. Each client is assigned a dedicated account manager throughout their
subscription. This personal consultant is available to all account users and provides advice and assistance
throughout the subscription.We do not charge any additional fees for trainings for current or new users.
• Meltwater offers an unlimited archiving facility. Included in the flat fee subscription, there are no
additional costs associated with this feature. The Meltwater archive facility is limitless, meaning unlimited
folders can be created to store unlimited amounts of articles. The archive is accessible to all users at all
times from any computer with internet access. Everything is stored and backed-up on our network
meaning our clients need not use any space on their personal hard drives.
• While all of our competitors assess additional, variable charges for distributing, archiving and translating
news articles, Meltwater is the only service that includes all three services in one platform package at a
one-time cost.
• Meltwater allows you to export all articles into an Excel report with information such as Reach, AVE,
Influencer, Outlet, Region, URL, AVE, and Associated Keywords. This exporting feature is unlimited and
articles can be exported from 2010 onward. No other company offers unlimited searching for any
keywords from this time period forward.
• Our clients choose to receive news reports daily,twice per day or as-it-happens. We also offer a real-time
"crisis management" option unlike any other service. This is often used in circumstances where
up-to-the-minute information is crucial. This tool will deliver news immediately after its publication and
can even be delivered to hand-held devices via the Mobile App. No other provider can deliver news in
real-time in this way.
• In addition to a traditional Media Directory, Meltwater also offers a proprietary Keyword Search feature
that allows our clients to contact journalists based upon the content of their published work. IE: "National
Indigenous Peoples Day". Meltwater is the only service in the industry that offers this unique feature.
• Meltwater is the only media monitoring service that has developed a system to avoid incurring copyright
fees while observing all copyright laws. Our forwarding and distribution functions were developed to
comply with all fair use copyright laws so that our clients can distribute hand selected articles to their
colleagues legally and free of charge. We are the only service that takes our clients directly to the news
source rather than reproducing the stories,which contributes to our low price point.
• While other vendors offer tools in one specific space, Meltwater is the only provider to offer an editorial,
broadcast, social media listening and analysis platform fully integrated with a media outreach database
and a leading social media management and engagement tool.
Meltwater's unique Boolean search features and dedicated local account management team would
provide the Town of Whitby with the ability to save hours each week from manually searching for relevant
content and quickly provide the team with actionable insights into issues impacting the town.

of a simple media monitoring or press release distribution company, and allows us to offer a comprehensive,

In order to facilitate operational efficiencies within the City Manager's Office, and because he
reports directly to me, I hereby designate Reyne Telles by this memorandum, and pursuant to the
powers and duties granted to me by the Charter of the City of Fort Worth, as acting Assistant City
Manager for the limited and sole purpose of executing contracts and any amendments and
addenda being managed by the departments, offices, and generated by staff who report to Reyne
Telles.
This designation shall be effective on the above-stated date. I, or any future City Manager, have
the absolute right to terminate this designation, in whole or in part, for any reason whatsoever.
This designation does not include any duties, obligations, rights to acting pay or other
compensation, benefits, or other privileges of an Assistant City Manager.
I, or any other Assistant City Manager whom I may designate,will continue to have the authority
to execute the above-stated documents or any amendments or addenda related thereto as
authorized by the Charter and the Code of the City of Fort Worth.
