Contract No. CSC No. 52912 (the "Contract")
Renewal Term No. 3: October 10, 2022 to October 9, 2023
The above referenced Contract with the City of Fort Worth expires on October 9, 2022 (the
"Expiration Date"). Pursuant to the Contract, contract renewals are at the sole option of the City.
This letter is to inform you that the City is exercising its right to renew the Contract for an
additional one (1) year period, which will begin immediately after the Expiration Date. All other
terms and conditions of the Contract remain unchanged. Please return this signed
acknowledgement letter, along with a copy of your quote for charges for the new renewal
term and a current insurance certificate, to the address set forth below, acknowledging
receipt of the Contract Renewal Notice. Failure to provide a signed acknowledgment does
not affect the renewal.

company information is correct and up-to-date.

15. INDEMNIFICATION AND HOLD HARMLESS
15.1 The CONTRACTOR shall indemnify, save, and hold harmless the Sheriff of Palm Beach
County, Florida, the Palm Beach County Sheriffs Office, and Palm Beach County and their
successors, employees, appointees, agents, heirs. Officers, and assigns, for any and all claims,
suits, and judgments against the Sheriff of Palm Beach County, Florida, the Palm Beach County
Sheriffs Office, Palm Beach County, or their successors, employees, appointees, agents, heirs,
Officers and assigns, arising out of, relating to or resulting from the negligent, intentional, or
wrongful act or omission, or violation of any federal, state, or local law or regulation, by the
Contractor or their employees or agents in the performance of this contract. The Contractor
expressly understands and agrees that any insurance protection required under the Contract or
otherwise provided by the Contractor shall in no way limit the responsibility to indemnify as herein
provided.
15.2 The Contractor shall indemnify and save and hold harmless the Sheriff of Palm Beach
County, Florida, the Palm Beach County Sheriffs Office and Palm Beach County, and their
employees, appointees, agents, heirs, officers and assigns, et al from all suits, claims and actions
brought or instituted by any Contractor, or employee of Contractor, any Contractor supplier or
laborer hired by Contractor, who has performed work or services, or furnished materials in or
about this project, or from any action occasioned by a violation of copyright, trademark or patent
rights in manufacturing, producing or selling any materials or services under this Contract.
15.3 Notwithstanding any other provisions of this Contract, the Contractor's duty to indemnify
and hold harmless shall survive the termination of this Contract.
