AMENDMENT NO.5 AND RENEWAL 3 TO
CITY SECRETARY CONTRACT NO. 53407
VENDOR SERVICE AGREEMENT
This Amendment and Renewal is executed by and between the City of Fort Worth
("City"), a home -rule municipality, and TRAF-SYS, INC. ("Vendor"), a corporation. City and
Vendor shall be referred to individually as a "Parry" and collectively as the "Parties."
WHEREAS, on January 14, 2020, Parties previously entered into City Secretary Contract
53407 (the "Agreement"); and
WHEREAS, Agreement was executed for Vendor to provide people counting equipment
and reporting for all Fort Worth Public Library ("Library") locations; and
WHEREAS, Agreement was amended on March 27, 2020 for the purpose of updating
Library locations and entry points (City Secretary Contract 53407-A1); and
WHEREAS, Agreement was amended on July 6, 2020 to reflect the increase in first year
costs associated with the additional Library locations (City Secretary Contract 53407-A2); and
WHEREAS, Agreement was amended and renewed on November 20, 2020 for an
additional year and to update Library locations (City Secretary Contract 53407-R1A3); and
WHEREAS, Agreement was amended on May 21, 2021 to update Library locations and
entry points (City Secretary Contract 53407-A4); and
WHEREAS, Agreement was most recently renewed on October 6, 2021 for an additional
year (City Secretary Contract 53407-R2); and
WHEREAS, the current term of the Agreement expires on December 31, 2022; and
WHEREAS, Agreement allows for renewals under the same terms and conditions for
unlimited one-year renewal options, at the City's sole discretion; and

WHEREAS, Parties now wish to renew the term of the Agreement for continued services
pursuant to the original Agreement for an additional year, specifically from January 1, 2023 to
December 31, 2023; and
WHEREAS, Parties now wish to amend the Agreement for the purpose of updating
Library locations and entry points.
NOW, THEREFORE, City and Vendor acting herein by the through their duly authorized
representatives, enter into the following agreement to renew the contract:

AMENDMENTS TO AGREEMENT
1. Exhibit A, Scope of Services, is hereby amended and replaced in its entirety with the
attached Exhibit A.
2.
RENEWAL OF AGREEMENT
The term of the Agreement is hereby renewed for an additional year and will expire
December 31, 2023, unless terminated earlier in accordance with the Agreement.
3.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Contract which are not expressly amended herein shall remain
in full force and effect.
4.
ELECTRONIC SIGNATURE
This Renewal and Amendment may be executed in multiple counterparts, each of which
shall be an original and all of which shall constitute one and the same instrument. A facsimile copy
or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have
the same effect as an original.

SCOPE OF SERVICES
The vendor shall provide a solution to count Library patrons entering and leaving each Library location.
Current Library locations and estimated details about each public entry points are listed below. Door
dimensions provided are approximated and should be verified by Vendor.

Vendor shall provide its turn -key solution, the Gazelle People Counter, which includes all hardware,
software, licenses, installation, support, and training for the term of this Agreement. The Gazelle People
Counter is more specifically described at the end of this Exhibit. City shall own any hardware installed
under this Agreement. Vendor shall configure and install all physical equipment and connections within
12 weeks following execution of this Agreement by both Parties.
Vendor shall utilize the City's Information Technology Solutions (ITS) department approved data wiring
contractors if required during the installation phase.
Vendor shall setup and configure data hosting and collection of data.
Vendor shall setup and configure on demand reports that can be exported, and scheduled for automatic
delivery. Vendor will also provide training for report customizations.
All data collected shall be owned by City.
Vendor shall not access the City's secured data network unless the City agrees for it to do so in a separate
written instrument or by amendment to this Agreement. Vendor will have access to the unsecured public
data network.
