'-/5'(g'5/J -Al AMENDMENT TO ALPHA RANCH DEVELOPMENT AGREEMENT r This Amendment to Alpha Ranch Development Agreement (this "Amendment") is entered into by and between the City of Fort Worth, a home-rule municipal corporation situated in Tarrant, Denton, Johnson, Parker and Wise Counties, Texas (the "City"), acting by and through its duly authorized Assistant City Manager; CTMGT Alpha Ranch, LLC, a Texas limited liability company ("Alpha Ranch LLC"); CTMGT AR II, LLC, a Texas limited liability company ("AR II LLC"); CTMGT AR III, LLC, a Texas limited liability company ("AR III LC") and Ryan Dynasty Trust ("Ryan Trust") (collectively, "Owner"), effective upon execution by all parties. RECITALS A. Alpha Ranch LLC, AR II LLC and Ryan Trust entered into that certain Alpha Ranch Development Agreement (City Secretary Contract No. 48650) effective February 15, 2017 (the "Agreement"). B. The Agreement governed an approximately 1,122.139-acre tract owned by Alpha Ranch LLC (defined therein as the "Alpha Ranch LLC Tract"), an approximately 160.8963-acre tract owned by AR II LLC (defined therein as the "Elizabeth Creek Tract"), an approximately 12 .916-acre tract owned by Ryan Trust (defined therein as the "Ryan Trust Tract"), and an approximately 171.089-acre tract owned by Alpha Ranch LLC (defined therein as the "CTMGT Tract"), totaling approximately 1,467 .0403 acres, all of which is within the Alpha Ranch Fresh Water Supply District of Denton and Wise Counties (the "District"), defined in the Agreement and herein as the "Property") and attached to the Agreement and hereto as Exhibits B, B-1, B-2 and B-3. C. Effective July 18 , 2017 Ryan Trust and Alpha Ranch LLC exchanged property within Alpha Ranch so that CTMGT owns the Ryan Trust Tract and Ryan Trust owns 17.740 acres of the Alpha Ranch LLC Tract, consisting of a 11.238-acre tract and a 6.502-acre tract. D. On June 22 , 2021, the City Council of the City approved Resolution No . 5426-06- 2021 (the "Annexation Consent Resolution") consenting to addition of approximately 522 .653 acres of land described in Exhibit B-4 attached hereto (the "Additional Property") to the Alpha Ranch Water Control and Improvement District of Denton and Wise Counties (the "District"). E. The Property and the Additional Property are depicted on Exhibit A-1 attached hereto. F. AR III is the owner of the Additional Property . G. The City Council's consent to annexation of the Additional Property by the Alpha Ranch District is subject to ex ecution by the City and the appropriate parties of amendments to certain agreements, including the Agreement. H. Together with approving this Amendment, the City Council has approved the following agreements relating to the Additional Property : Utility and Infrastructure Agreement (City Secretary Contract No. ); Amendment to Agreement for Construction of Sendera Am endment to Alpha Raneh Development Age~ -SCAN NED OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX Ranch Boulevard (City Secretary Contract No. 48648-Al) and Amendment to Agreement Concerning Operation of Alpha Ranch Water Supply District No. 1 of Denton and Wise Counties (City Secretary Contract No. 48647-Al). I. This Amendment governs dev elopment of the Additional Property, only, and has no impact on development of the Property described in Recital B , which is governed by the Agreement, except where expressly noted. NOW, THEREFORE, . in consideration of the premises, mutual promises, covenants, obligations , and benefits herein contained, the City, Owners and the District agree to amend the Agreement as follows : 1. The following definitions in Article II are amended, to read as follows : (a) "Operation Agreement" and "Sendera Ranch Boulevard Agreement" include the agreements as defined in the Development Agreement, as amended by the amendments described in Recital H. (b) "Term" has the meaning set out in Section 10 of this Amendment. 2. The following definition is added to Article III: "Utility and Infrastructure Agreement" means City Secretary Contract No. __ entered into by the City and CTMGT AR III , LLC governing infrastructure to serve the Additional Property. 3. The definition of "Property" in the Agreement includes the Additional Property, except where the Additional Property is expressly referenced in this Amendment or where clearly inconsistent with this Amendment. 4. Section 3 .02(a) is amended to read as follows: The Commercial Property shall be developed in accordance with the permitted uses and development regulations applicable to the "G" Intensive Commercial District as reflected in Sections 4.803 and 4.904 of the Zoning Ordinance. 5. Section 3.02(c) is amended to read as follows: The Residential Property may be developed with a combination of the uses permitted in Section 3.02(b)(i) through 3.02(b)(iii) as set out in the Residential Use Table described in Section 3.02(b)(iv), to be determined at Owner's discretion, subject to Section 3 .20. 6. Section 3 .06 , "Gas Drilling and Production; Setbacks from Gas Wells" is amended to read as follows : Amendment to Alpha Ranch Development Agreement -Page 2 Natural gas wells drilled on the Property prior to February 15, 2017, and on the Additional Property prior to the effective date of this Amendment, as shown on Exhibit D (individually and collectively, the "Existing Wells "), are not subject to the Gas Drilling Ordinance or any other City regulations concerning natural gas drilling. Notwithstanding the foregoing, residences, religious institutions, hospital buildings, schools, public parks or Public Buildings, as defined in the Gas Well Ordinance, shall be constructed at least 300 feet from the center of any active natural gas well on the Property or Additional Property, at the surface of the ground, and shall adhere to all setbacks applicable to compressor stations and tanks in effect on the Effective Date of this Amendment. All other Habitable Structures, as defined in the Gas Well Ordinance, shall be constructed at least 200 feet from the center of any active natural gas well on the Property, at the surface of the ground, and shall adhere to all setbacks applicable to compressor stations and tanks in effect on the Effective Date of this Amendment. 7. A new Section 3.19, "Land Use and Development Regulations for Additional Property," is added to read as follows: (a) The Additional Property described in Exhibit B-4 and depicted in Exhibit C-1 shall be developed in accordance with this Section 3.19. Section 3.02 does not apply to the Additional Property. (b) The land designated as Commercial on Exhibit C-1, consisting of approximately 37 acres, shall be developed in accordance the permitted uses and development regulations applicable to the "G" Intensive Commercial District as reflected in Sections 4.803 and 4.904 of the Zoning Ordinance. ( c) The land designated as Multi-Family on Exhibit C-1, consisting of approximately 68.6 acres, shall be developed in accordance with the permitted uses and development regulations applicable to the "D" High Density Multifamily District as reflected in Sections 4.600 and 4.712 of the Zoning Ordinance. (d) The land designated as Light Industrial on Exhibit C-1, consisting of approximately 45.1 acres, shall be developed in accordance with the permitted uses and development regulations applicable to the "I" Light Industrial District as reflected in Sections 4.803 and 4.1000 of the Zoning Ordinance. (e) The land designated as Single-Family on Exhibit C-1, consisting of approximately 375 acres, shall be developed in accordance with the following sections of the Zoning Ordinance, with the combination of single-family products to be determined at Owner's discretion, subject to the lot limit in Section 3.20: (i) Section 4.703 ("A-10" One-Family) (ii) Section 4.704("A-7 .5" One-Family) (iii) Section 4.705 ("A-5" One-Family) (iv) Section 4.603 (Residential Use Table) Amendment to Alpha Ranch Development Agreement -Page 3 8. A new Section 3.20, "Maximum Single-Family Residences" is added, to read as follows: A maximum of 5,000 single-family residences is authorized to be constructed on the Property and the Additional Property. 9. Section 4.12, "Reimbursement Agreements" is amended to read as follows, with such amendment expressly applying to the Property and the Additional Property: (a) No change. (b) All agreements entered into by the District or by a district resulting from division of the District (a "Resulting District") for reimbursement of costs incurred in connection with such District or Resulting District shall provide that (i) the District or Resulting District will not reimburse the landowner or developer for costs not evidenced by Bonds issued before December 14, 2042 without the City's written consent; and (ii) the landowner or developer waives all claims against the City for reimbursement of obligations not evidenced by Bonds before December 14, 2042. (c) Deleted 10. Section 4.13(b), "Traffic Management; Construction of Roads," is amended to read as follows: (b) Owner and the District shall design and construct, or cause the design and construction of, four lanes of Sendera Ranch Boulevard from the northernmost section of Sendera Ranch Boulevard ( currently located at its intersection with Northstar Parkway and Suncatcher Way) to SH 114 (the "Sendera Ranch Boulevard Extension") in accordance in accordance with this Agreement, as amended, and that certain Agreement for Construction of Sendera Ranch Boulevard (City Secretary Contract No. 48648), as amended by City Secretary Contract No. 48648-Al, which shall be incorporated herein by reference. Owners and the District have no obligation with respect to dedication ofright-of-way for, design or construction oflanes five and six of Sendera Ranch Boulevard. The Sendera Ranch Boulevard Extension shall be constructed in three phases ( each, a "phase"), as follows: (i) The eastern two lanes of Sendera Ranch Boulevard will be constructed from SH 114 to connect to the northernmost section of existing Sendera Ranch Boulevard (Phase 1) prior to approval by the City of a final plat for the 460th single-family lot within the Property. (ii) The western two lanes of Sendera Ranch Boulevard will be constructed from SH 114 to the southern boundary of the Alpha Ranch Property (Phase 2), prior to approval by the City of a final plat for the 1,500th single-family lot within the Property. Further, a traffic signal at the intersection of SH 114 and Sendera Ranch Boulevard (the "Traffic Signal") will be designed and constructed prior to approval by the City of a final plat for the 1,500th single-family lot within Amendment to Alpha Ranch Development Agreement -Page 4 the Property, provided the Texas Department of Transportation approves the installation of the Traffic Signal and the Texas Department of Transportation or the City agrees to accept the Traffic Signal for maintenance. There shall be no obligation to design and construct the Traffic Signal without such approvals by the Texas Department of Transportation. (iii) The western two lanes of Sendera Ranch Boulevard will be constructed from the southern boundary of the Property to connect to the northernmost section of existing Sendera Ranch Boulevard (Phase 3) prior to approval by the City of a final plat for the 1,800th single-family lot within the Property. 11. Section 5.02 of the Agreement does not apply to the Additional Property. 12. Section 6.02 of the Agreement is amended in its entirety to read as follows: Except as provided in Section 6.04, the City shall not annex all or any portion of the Property and the Additional Property within the District or a Resulting District for full purposes until the first to occur of (i) the dissolution of such District or Resulting District; or (b) the date construction of water, sanitary sewer, drainage and road facilities to serve 90% of the Property and the Additional Property within the District or Resulting District is complete and bonds have been issued by the District or Resulting District to reimburse Owner or developer for such facilities; or (iii) December 14, 2042. 13. Article VII, "Term of Agreement", is amended to read as follows: The Agreement, as amended, is a development agreement authorized by Section 212 .1 72 of the Local Government Code. Upon annexation for full purposes of all land within the District or a Resulting District, the Agreement, as amended, will terminate as to all such annexed land, but shall remain in effect for the remainder of the Property and the Additional Property. The Agreement shall terminate on December 14, 2042. 14. Section 9.01, "Notice," is amended to change the contact person for Alpha Ranch LLC and AR II LLC to Mehrdad Moayedi and to name Mehrdad Moayedi at the same address as the contact person for AR III LLC to Mehrdad Moayedi. 15. The first paragraph of Exhibit F, Assignment and Assumption Agreement, is amended to read as follows: A. Assignor is the owner of the rights of the Owner under that certain Development Agreement between the City of Port Worth, CTMGT Alpha Ranch, LLC, a Texas limited liability company, and CTMGT AR II, LLC, a Texas limited liability company, for the Alpha Ranch Development (City Secretary Contract No. 48650), as amended by that certain Amendment to Development Agreement for Alpha Ranch Development (City Secretary Contract No . 4865)-Al) (collectively, the "Agreement") relating to the development of the Property and the Additional Property ( as described therein) to the Amendment to Alpha Ranch Development Agreement -Page 5 extent the Agreement covers, affects, and relates to the land described in Exhibit A attached hereto (the "Transferred Premises"). 16. A new Section 9.21, "Annexation Disclosures," is added, to read as follows: Owner acknowledges that Owner is not required to enter into this Agreement and that annexation proceedings are subject to Owner's consent. This consensual annexation described in Article VI is authorized and governed by Subchapter C-3 of Chapter 43 of the Texas Local Government Code. Under Subchapter C-3, the City must conduct one (1) public hearing, provide notice of this public hearing between ten (10) and twenty (20) days prior to the hearing, and negotiate a service plan with Owner. The annexation ordinance may be adopted at the conclusion of the public hearing. In accordance with Section 2 l 2.172(i), Texas Local Government Code, immunity from suit for the purpose of adjudicating a claim for breach ofthis Agreement is waived. The Parties acknowledge that this section complies with Section 212.172(b-1), Texas Local Government Code. 17 . Except as amended by this Amendment, the Development Agreement remains in full force and effect. 18. All capitalized terms not defined by this Amendment shall have the meaning set out in the Development Agreement. 19. This Amendment is approved in furtherance of Section 3 of the Annexation Consent Resolution.
