HomeMy WebLinkAboutContract 56152-A1DocuSign Envelope ID: 47E2EC37-A36F-4F80-BCB5-D53BD8A2CA92 CSC No. 56152-A1 FIRST AMENDMENT TO CITY SECRETARY CONTRACT NO. 56152 A LEASE AGREEMENT BETWEEN SCORE ASSOCIATION AND THE CITY OF FORT WORTH This AMENDMENT NO. 1("Amendment") to City Secretary Contract ("CSC") 56152 is made and entered into by and between the CITY OF FORT WORTH ("City"), a home rule municipal corporation organized under the laws of the State of Texas, acting by and through William Johnson, its duly authorized Assistant City Manager and the SCORE ASSOCIATION, a Washington D.C. non-profit corporation, d/b/a SCORE Fort Worth — Chapter 120 ("Lessee"). WHEREAS, the City and Lessee entered into City Secretary Contract No. 56152, a three year lease with a term beginning on August 1, 2021 and ending on July 31, 2024 ("Lease"), for the use of office space in the building known as the "James E. Guinn School" located at 1150 South Freeway, Fort Worth, Texas 76104 (`Building"), specifically Suite Nos. 108, 110, 111, 112 within the Building (the "Leased Area"); and WHEREAS, Lessee has recently notified the City that they would like to begin holding workshops during the weekend in the Leased Area twice a month when the City currently does not provide security services for the Building; and WHEREAS, in order to ensure both parties are clear on their respective responsibilities under the Lease, the City and Lessee would like to execute this Amendment to the Lease to reflect certain responsibilities more clearly related to the security of the building. NOW THEREFORE, in consideration of the covenants and agreements set forth in the Lease, Lessee and Lessor agree to amend the Lease as follows: 1. Section 3, "COMMON AREA," of the Lease is hereby deleted in its entirety and replaced with the following: 3. COMMON AREA The "Common Area" of the Building shall be that part of the Building designated by Lessor from time to time for the common use of all Lessees, including, but not limited to, other facilities, conference rooms, elevators, stairs, tunnels, halls, lobbies, delivery passages, drinking fountains, public toilets and the like, all of which shall be subject to the Lessor's sole management and control and shall be operated and maintained in such manner as the Lessor, in its sole discretion, shall determine. Lessor reserves the right to change the dimensions and locations of the Common Area. Lessee and its employees and invitees shall have the nonexclusive right to use the Common Area with the Lessor, other Lessees of the Building and other persons entitled to use the same during normal business hours as defined within this Lease. Lessee may use the Common Area during times outside of normal business hours if written consent from the City, via the Director of Economic Development is provided. WORTH, TX DocuSign Envelope ID: 47E2EC37-A36F-4F80-BCB5-D53BD8A2CA92 rules and regulations governing its use as the Lessor may prescribe and Lessor may revoke the right of Lessee's use of specific portions or all of the Common Area at any time in Lessor's sole discretion. Lessee shall not take any action that would interfere with the rights of other persons to use the Common Area. Lessor may temporarily close any part of the Common Area for such period as is reasonably necessary to make repairs or alterations. 2. Section 7, "OBLIGATIONS OF LESSOR," of the Lease is hereby deleted in its entirety and replaced with the following: 7. OBLIGATIONS OF LESSOR 7.1 Services Furnished For purposes of this Lease "normal business hours" shall be 8:00 a.m. to 5:00 p.m. on weekdays, except holidays. Subject to the rules and regulations to which reference is hereinafter made, Lessor shall furnish Lessee, at Lessor's expense, except as otherwise provided herein, the following services during the Term: (1) Air conditioning and heating in season, at such times as Lessor normally furnishes these services to other Lessees in the Building and at such temperatures and in such amounts as are considered by Lessor to be standard, but such service outside normal business hours shall be furnished only at Lessor's discretion (2) Hot and cold water at those points of supply provided for general use. (3) Standard building janitor service in and about the Building and the Leased Area; however, Lessee shall pay the additional costs attributable to the cleaning of improvements within the Leased Area other than building standard improvements. (4) Elevators for ingress to and egress from the Building during such periods as are considered by Lessor to be standard. (5) Proper building standard facilities to furnish sufficient electrical power for standard lighting and standard office equipment (6) Replacement of fluorescent lamps, or similar lighting, in building standard ceiling mounted fixtures installed by Lessor and incandescent, or similar, bulb replacement in public areas First Amendment to City Secretary Contract No. 56152 2 DocuSign Envelope ID: 47E2EC37-A36F-4F80-BCB5-D53BD8A2CA92 (7) Telephone service, for which Lessee shall pay a monthly fee of $13.94 per phone line (8) Electricity, water, gas, and sanitary sewer utilities (9) Standard building security during normal business hours. 3. All other terms and conditions of the Lease remain unchanged and in full force and effect.
