AMENDMENT 2 AND RENEWAL 7 TO CITY SECRETARY CONTRACT NO. 45777 This Amendment and Renewal is executed by and between the CITY OF FORT WORTH ("City"), a home rule municipality, and INNOVATIVE INTERFACES, INC. ("Vendor"), a corporation authorized to do business in the State of Texas, each individually referred to herein as a "Party" and collectively as the "Parties." WHEREAS, Parties have previously entered into City of Fort Worth City Secretary Contract No. 45777 ("Agreement") on July 24, 2014; and WHEREAS, Agreement was executed for Vendor to provide the City with an Integrated Library System ("ILS") referred to by the product name, ("Polaris ILS"); and WHEREAS, original term of Agreement was for five years with unlimited one-year renewals; and WHEREAS, Agreement allows for renewals so long as Parties agree to renew Agreement; and WHEREAS, Agreement was previously renewed for additional one-year term with the current renewal term ending on July 21, 2023; and WHEREAS, Agreement was previously amended on April 05, 2021; and WHEREAS, Parties now wish to amend Agreement term dates to align with Vendor's service period, making the new term July 1, 2023 to June 30, 2024; and WHEREAS, Parties now wish to renew the term of Agreement for continued services pursuant to the original Agreement for an additional one-year term, specifically from July 1, 2023 to June 30, 2024. AMENDMENT AND RENEWAL OF AGREEMENT The term of Agreement is hereby amended and renewed for an additional year, specifically from July 1, 2023 to June 30, 2024, unless terminated earlier in accordance with the Agreement. The attached quotes from Vendor are referenced and hereby attached and incorporated for all purposes as Attachment A. In the event of any conflict between the Contract or this Renewal and Attachment A, the Contract and this Renewal shall control over Attachment A. ELECTRONIC SIGNATURE This Amendment and Renewal may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. Currency US Dollar 32, 280.1544... 32, 280.15 Total US$32,280.15 CSC 45777 Amendment 2/Renewal 7 - Attachment A Page 7 of 10 Statement of Work This Statement of Work (the "SOW") dated January 26, 2023, is entered into pursuant to the Master Professional Services Agreement between City of Fort Worth ("Client") and Innovative Interfaces Incorporated ("Innovative") effective as of August 1, 2017 (the "Agreement"). Innovative and Client may each be referred to as "Party" from time to time or collectively as "Parties". A. Purpose of this Statement of Work The SOW provides an overview of the scope of the project and fees to complete the engagement based on Innovative's prior experience with similar projects and preliminary discussions with Client. The Client hereby acknowledges that the SOW is not meant to capture all detailed requirements but documents the high level requirements and implementation approach discussed and that additional detailed requirements discussions will be required to outline the full scope of work between the Parties. B. Project Scope of Services The Scope of the project includes the following set of professional services: 1) Polaris Software Release Upgrade (Off Hours) a) Innovative will provide a Polaris software release upgrade on the production servers during off hours. No work will be performed, on the Client's production environment, without prior notification to, and approval from, the Client. Work will be performed in pre -specified maintenance windows, as agreed upon in advance by the Client and Innovative. C. Innovative Services Team The Services Team will have the following resources available for this project: System Engineer — System Engineers work with the Client on ILS setup and configuration as well as release upgrades, network connections, and infrastructure configuration. D. Client Implementation Team 1. Librarian Lead —Works closely with System Engineer to ensure requirements are clear and representative of the needs of the library. The Librarian Lead will coordinate with key members of the team as required. 2. Technical Lead - Will be responsible for assisting with Client responsibilities related to server access as well as any other system level duties required by Client. E. Implementation Assumptions 1. Timeline for the completion of this project will be established, through joint planning conversations between the Client and Innovative during the initial stage of the project. 2. Client will have adequate resources available to ensure timely completion of any Client tasks outlined in the project schedule. CSC 45777 Amendment 2/Renewal 7 - Attachment A Page 8 of 10 3. Client will provide a technical point of contact who is able to provide, or coordinate access to, necessary information and Client resources. This includes information related to server access, collecting and providing any prerequisite information required to support installation and configuration of software, and other needs that may arise during the project. 4. The Client role in the project includes the following: • Coordination of the maintenance window with library staff and library patrons, as required 5. Innovative needs 24x7 Internet access to servers during the entire period of activity associated with this work. If this access cannot be provided, the work will need to be rescheduled. 6. Innovative requires super -user (root) access and must be able to connect to the system via the Secure Shell (SSH) service. If the Client has not installed SSH, please provide telnet access and ensure that the firewall allows SSH access so that Innovative can install the SSH software and discontinue the use of telnet as quickly as possible. 7. Internet bandwidth and connection stability, from the Client site to the Internet, must be sufficient, in the consideration of Innovative, to support completion of the specified work in a timely manner. F. Fees and Payment Terms Fees for Services delivered under this SOW will be charged on a fixed price basis as set forth in the Innovative Pricing Exhibit EST-INC15720 attached herewith and are made in good faith based on the activities, approach, and assumptions contained within the SOW. Payment terms for this SOW are as set forth in the Professional Services Agreement. Any additional Change Requests will be performed at a blended rate of $200 per hour for all resources. Additionally, Client is responsible for all reasonable out-of-pocket costs and expenses incurred during this SOW. Pricing assumes that deliverables in this Statement of Work are completed prior to June 30, 2024 or additional Services fees will apply.
