Commission Assistance and Mentoring Program (CAMP) Service Agreement
THIS AGREEMENT is entered on the last date signed below by and between
City of Fort Worth, TX ("Client")
and the National Alliance of Preservation Commissions (NAPC), with principle offices in Virginia Beach, VA.
The NAPC shall perform the following services for the Client:
1. Scope of Services. NAPC will perform a 1-day CAMP with the services as outlined in Appendix A, for the fixed
price of seven -thousand dollars ($7,000) for up to thirty (30) participants (excluding host staff membe€slch
additional participant will be charged at a rate of twenty-five dollars ($25) per individual. Included in this fee
are all training materials, speaker expenses (honoraria, travel, lodging, and per diem), and a one-year
complimentary membership for all first-time CAMP participants.
2. Term and Location. The 1-day CAMP will be held on 4/15/2023 in FOIL Worth TX

3. No Intellectual Property Rights. No rights or obligations of any kind other than those expressly recited
herein are granted to either party or implied by this Agreement. Nothing herein constitutes a license or
other transfer of intellectual property rights by either party.
4. Independent Contractor. NAPC will act as an independent contractor. Services are not joint or cooperative work.
5. This is the entire agreement between the parties. It replaces and supersedes any and all oral agreements
between the parties, as well as any prior writings. Modifications and amendments to this agreement, including
any exhibit or appendix, shall be enforceable only if they are in writing and are signed by authorized
representatives of both parties.
6. Cancellation Policy. In the event of cancellation fewer than sixty days prior to the event, client will be
responsible for payment of all costs incurred by NAPC. In the event of a trainer cancellation, NAPC reserves the
right to replace the trainer with an equally qualified candidate.
7. Payment Policy. Payment is due on the day of completion of CAMP for services rendered. Overdue invoices may
result in a 2% late fee after 30 days.

Appendix A
Scope of Services
The National Alliance for Preservation Commissions (NAPC) will conduct a one -day Commission Assistance
Mentoring Program (CAMP) for City of Fort Worth, TX
("Client")
This workshop will cover the standard CAMP topics, Legal Basics and Standards and Guidelines for Design
Review and the following four elective topics, as selected by the Client after consultation with NAPC staff:
Topic 1: Meeting Procedures
Topic 2: Community Outreach
Topic 3: Envisioning Infill Design
Topic 4:
Preservation Incentives and Benefits
NAPC will:
1. Provide expert trainers who will conduct the CAMP covering the topics listed above;
2. Provide a training manual for each participant in digital format;
3. Coordinate all speaker travel including: flights, rental cars, and other ground transportation as
needed;
4. Provide all CAMP materials including, but not limited to: agendas, speaker bios, and evaluation
forms;
5. Ship all CAMP materials to client to arrive at least two days prior to the training event date;
6. Provide applicable continuing education credits, forms, and logos for promotional uses.
7. Submit an invoice to the client upon receipt of the signed Agreement.

Appendix B
Client Responsibilities
The Client will:
1. Provide suggestions for lodging arrangements for all speakers;
2. Secure appropriate training site venue (the training room should be of sufficient size to accommodate speakers
and participants comfortably, and be darkened for presentations. Participants will need adequatetable table
seating for taking notes and workshop exercises)) -
Require CAMP participants to thoroughly
3. Thoroughrly review and adhere to the attached COVID Policy for CAMP in Appendix C;
4. Provide the following audio visual equipment and materials:
• LCD projector and screen
• Laptop computer
• Microphone or other audio aides, as required by room size
• Other materials as requested by NAPC staff
5. Provide the following local and/or state preservation documentation to NAPC staff:
• State Enabling Legislation for local commissions or review boards
• State Open Meetings (Sunshine) law
• State and/or local Conflict of Interest/Ethics legislation
• Local preservation ordinances for the commissions participating in the CAMP
• Commission standards, design guidelines, and bylaws for the commissions participating in the CAMP
6. Provide NAPC staff with a list of all registered attendees for the CAMP, including contact information, within
seven (7) days prior to the event;
7. Be responsible for the production and distribution all CAMP promotional materials;
8. Provide light refreshments (i.e. beverages, snacks) for break periods;
9. Provide lunch and/or recommendations to restaurants within walking distance. (We highly encourage
providing lunch for groups over 15 as it can be difficult to get attendees back to the meeting location in time or if
there are limited restaurant options.

Appendix C
CAMP COVID Policy for Clients
These Safety Terms & Conditions are subject to change at any time. You should consult CDC,
state, and local health authorities for additional guidance applicable to your personal
circumstances, including any order recommending or requiring you to quarantine after travel or
after a possible or confirmed exposure to COVID-19. To the extent any federal, state, or local
law requires safeguards in addition to those required in these Safety Terms & Conditions, you
should follow them.
Please note that CAMP attendees must review and acknowledge Terms & Conditions and
sign the COVID Safety Waiver prior to attending CAMP.
As NAPC resumes in -person CAMPs, the health and safety of CAMP attendees and Trainers is
a top priority. NAPC will continue to monitor and follow the recommendations from the CDC, state,
and local health authorities around maintaining the safest environment possible for CAMP.
COVID safety measures for on -site CAMPs are subject to local and state laws.
Vaccines and Testing
• All CAMP Trainers are required to provide proof of COVID-19 vaccination or a negative
COVID-19 test within a 72-hour window prior to arrival.
• Vaccines are strongly recommended for CAMP attendees, and we encourage all who are
eligible to participate in whatever Booster Program the CDC recommends at the time of
the CAMP.
Face Coverings
• If you are at risk for severe illness, we strongly recommend wearing a mask or respirator
that provides you with greater protection. Surgical, KN95, KF94, or N95 masks are highly
encouraged.
o If you are at risk of severe illness, we recommend wearing a face covering that
extends from the chin to the bridge of the nose at all times during the conference,
except when eating or drinking, or for attendees who cannot wear face coverings
due to a medical or mental health condition or disability, or who are hearing -
impaired or communicating with a hearing -impaired person. If this is the case,
please be sure to maintain at least 6 feet of distance between yourself and other
attendees at all times.
Social Distancing
• Where possible, the Host will provide extra space in the CAMP venue. Seats will be
spaced apart as much as possible.
• If possible, the Host will provide at least 10 feet of space between the CAMP Trainer and
CAMP attendees while the CAMP Trainer is speaking.
COVID Exposure and Symptoms
• NAPC requests that you should not attend CAMP if and within the 5 days prior to the
CAMP if:
o You have been experiencing symptoms of COVID-19, including:
■ A fever of 100.4°F or higher.
■ Cough
■ Sore throat
■ Respiratory Illness or difficulty breathing
■ Loss of taste or smell
■ Tested positive or had close contact with someone who tested positive for
COVID-19.
■ Close contact is defined by the CDC as being six (6) feet of someone with
or without a mask for a total of 15 minutes or longer in a 24-hour period.
Notice of Potential Event Changes
• NAPC will be monitoring CDC recommendations and reserves the right to change to a
virtual format, if needed, to meet those recommendations.
• NAPC is not responsible for any additional costs that attendees may incur due to a CAMP
cancellation or conversion from in -person to virtual, including, but not limited to,
cancellation fees, airfare, accommodations, transportation costs, etc.
COVID-19 Safety Acknowledgment -
Safety Waiver and Release of Claims
COVID-19 Safety Information:
While participating in the National Alliance of Preservation Commissions' ("NAPC") Commission
Assistance and Mentoring Program ("CAMP"), consistent with CDC guidelines, CAMP
attendees are encouraged to practice hand hygiene, "social distancing" and, for individuals at
risk for severe illness, wear face coverings to reduce the risks of exposure to COVID-19.
Because COVID-19 is extremely contagious and is spread mainly from person -to -person
contact, NAPC has put in place preventative measures to reduce the spread of COVID-19.
However, NAPC cannot guarantee that those in attendance will not become infected with
COVID-19.
In light of the ongoing spread of COVID-19, individuals who fall within any of the categories
below should not engage in on -site CAMPs and/or other face to face activities. By attending an
on -site CAMP, you certify that you do not fall into any of the following categories:
1. Individuals who currently or within the past five (5) days have experienced any
symptoms associated with COVID-19, which include fever, cough, and shortness
of breath among others;
2. Individuals who have traveled at any point in the past fourteen (14) days either
internationally or to a community in the U.S. that has experienced or is
experiencing sustained community spread of COVID-19; or
3. Individuals who believe that they may have been exposed to a confirmed or
suspected case of COVID-19 or have been diagnosed with COVID-19 and are
not yet cleared as non -contagious by state or local public health authorities or the
health care team responsible for their treatment.
Duty to Self -Monitor:
CAMP attendees agree to self -monitor for signs and symptoms of COVID-19 (symptoms
typically include fever, cough, and shortness of breath) and, contact NAPC at
director@napcommissions.org if experiencing symptoms of COVID-19 within 14 days after
participating or volunteering with NAPC.
Safety Waiver and Release of Claims:
I acknowledge that I derive personal satisfaction and a benefit by virtue of my participation in
CAMP, and I willingly engage in CAMP.
RELEASE AND WAIVER.
I hereby release, waive and forever discharge any and all liability, claims, and demands of
whatever kind or nature against the national alliance of preservation commissions and its
affiliated partners and sponsors, including in each case, without limitation, their directors,
officers, employees, volunteers, and agents (the "released parties"), either in law or in equity, to
the fullest extent permissible by law, including but not limited to damages or losses caused by
the negligence, fault or conduct of any kind on the part of the released parties, including but not
limited to death, bodily injury, illness, economic loss or out of pocket expenses, or loss or
damage to property, which I, my heirs, assignees, next of kin and/or legally appointed or
designated representatives, may have or which may hereinafter accrue on my behalf, which
arise or may hereafter arise from my participation with the activity.
ASSUMPTION OF THE RISK.
I acknowledge and understand the following:
4. Participation includes possible exposure to and illness from infectious diseases
including but not limited to COVID-19. While particular rules and personal
discipline may reduce this risk, the risk of serious illness and death does exist;
5. 1 knowingly and freely assume all such risks related to illness and infectious
diseases, such as COVID19, even if arising from the negligence or fault of the
Released Parties; and
6. 1 hereby knowingly assume the risk of injury, harm and loss associated with the
Activity, including any injury, harm and loss caused by the negligence, fault or
conduct of any kind on the part of the Released Parties.
MEDICAL ACKNOWLEDGMENT AND RELEASE.
I acknowledge the health risks associated with the Activity, including but not limited to transient
dizziness, lightheadedness, fainting, nausea, muscle cramping, musculoskeletal injury, joint
pains, sprains and strains, heart attack, stroke, or sudden death. I agree that if I experience any
of these or any other symptoms during the Activity, I will discontinue my participation
immediately and seek appropriate medical attention. I DO HEREBY RELEASE AND FOREVER
DISCHARGE THE RELEASED PARTIES FROM ANY CLAIM WHATSOEVER WHICH ARISES
OR MAY HEREAFTER ARISE ON ACCOUNT OF ANY FIRST AID, TREATMENT, OR
SERVICE RENDERED IN CONNECTION WITH MY PARTICIPATION IN THE ACTIVITY.
As a CAMP attendee, You recognize that your participation, involvement and/or attendance at
any on -site CAMP or activity ("Activity") is voluntary and may result in personal injury (including
death) and/or property damage. By attending, observing or participating in the Activity, You
acknowledge and assume all risks and dangers associated with your participation and/or
attendance at the Activity, and You agree that: (a) the National Alliance of Preservation
Commissions, (b) the property or site owner of the Activity, and (c) all past, present and future
affiliates, successors, assigns, employees, volunteers, vendors, partners, directors, and officers,
of such entities (subsections (a) through (c), collectively, the "Released Parties"), will not be
responsible for any personal injury (including death), property damage, or other loss suffered as
a result of your participation in, attendance at, and/or observation of the Activity, regardless if
any such injuries or losses are caused by the negligence of any of the Released Parties
(collectively, the "Released Claims"). BY ATTENDING AND/OR PARTICIPATING IN THE
ACTIVITY, YOU ARE DEEMED TO HAVE GIVEN A FULL RELEASE OF LIABILITY TO THE
RELEASED PARTIES TO THE FULLEST EXTENT PERMITTED BY LAW.

ADDENDUM TO COMMISSION ASSISTANCE AND MENTORING
PROGRAM (CAMP) SERVICE AGREEMENT
BETWEEN
THE CITY OF FORT WORTH
AND
THE NATIONAL ALLIANCE OF PRESERVATION COMMISSIONS
(NAPC)
This Addendum to the Commission Assistant and Mentoring Program (CAMP Service
Agreement ("Addendum") is entered into by and between the National Alliance of Preservation
Commissions ("NAPC") and the City of Fort Worth ("Client"), collectively the "parties", for a
purchase of a one -day Commission Assistance Mentoring Program.
The Contract documents shall include the following:
1. The CAMP Service Agreement; and
2. This Addendum.
Notwithstanding any language to the contrary in the attached CAMP Service Agreement
(the "Agreement"), the Parties hereby stipulate by evidence of execution of this Addendum below
by a representative of each party duly authorized to bind the parties hereto, that the parties hereby
agree that the provisions in this Addendum below shall be applicable to the Agreement as follows:
I. Term. The Agreement shall become effective upon the signing of the Agreement
by an Assistant City Manager of the City (the "Effective Date") and shall expire one (1) year after
the Effective Date (the Expiration Date"), unless terminated earlier in accordance with the
provisions of the Agreement or otherwise extended by the parties.
2. Termination.
a. Convenience. Either Client or NAPC may terminate the Agreement at any
time and for any reason by providing the other party with 30 days written notice of
termination.
b. Breach. If either parry commits a material breach of the Agreement, the non -
breaching Party must give written notice to the breaching party that describes the breach
in reasonable detail. The breaching parry must cure the breach ten (10) calendar days after
receipt of notice from the non -breaching party, or other time frame as agreed to by the
parties. If the breaching party fails to cure the breach within the stated period of time, the
non -breaching party may, in its sole discretion, and without prejudice to any other right
under the Agreement, law, or equity, immediately terminate this Agreement by giving
written notice to the breaching party.
C. Fiscal Funding Dut. In the event no funds or insufficient funds are
appropriated by City in any fiscal period for any payments due hereunder, Client will notify

NAPC of such occurrence and the Agreement shall terminate on the last day of the fiscal
period for which appropriations were received without penalty or expense to the Client of
any kind whatsoever, except as to the portions of the payments herein agreed upon for
which funds have been appropriated.
d. Duties and Obligations of the Parties. In the event that the Agreement is
terminated prior to the Expiration Date, Client shall pay NAPC for services actually
rendered up to the effective date of termination and NAPC shall continue to provide Client
with services requested by Client and in accordance with the Agreement up to the effective
date of termination. Upon termination of the Agreement for any reason, NAPC shall
provide Client with copies of all completed or partially completed documents prepared
under the Agreement. In the event NAPC has received access to Client information or data
as a requirement to perform services hereunder, NAPC shall return all Client provided data
to Client in a machine readable format or other format deemed acceptable to Client.
3. Attorneys' Fees, Penalties, and Liquidated Damages. To the extent the attached
Agreement requires Client to pay attorneys' fees for any action contemplated or taken, or penalties
or liquidated damages in any amount, Client objects to these terms and any such terms are hereby
deleted from the Agreement and shall have no force or effect.
4. Law and Venue. The Agreement and the rights and obligations of the parties hereto
shall be governed by, and construed in accordance with the laws of the United States and state of
Texas, exclusive of conflicts of laws provisions. Venue for any suit brought under the Agreement
shall be in a court of competent jurisdiction in Tarrant County, Texas. To the extent the Agreement
is required to be governed by any state law other than Texas or venue in Tarrant County, Client
objects to such terms and any such terms are hereby deleted from the Agreement and shall have
no force or effect.
5. Linked Terms and Conditions. If the Agreement contains a website link to terms
and conditions, the linked terms and conditions located at that website link as of the effective date
of the Agreement shall be the linked terms and conditions referred to in the Agreement. To the
extent that the linked terms and conditions conflict with any provision of either this Addendum or
the Agreement, the provisions contained within this Addendum and the Agreement shall control.
If any changes are made to the linked terms and conditions after the date of the Agreement, such
changes are hereby deleted and void. Further, if NAPC cannot clearly and sufficiently demonstrate
the exact terms and conditions as of the effective date of the Agreement, all of the linked terms
and conditions are hereby deleted and void.
6. Insurance. The Client is a governmental entity under the laws of the state of Texas
and pursuant to Chapter 2259 of the Texas Government Code, entitled "Self -Insurance by
Governmental Units," is self -insured and therefore is not required to purchase insurance. To the
extent the Agreement requires Client to purchase insurance, Client objects to any such provision,
the parties agree that any such requirement shall be null and void and is hereby deleted from the
Agreement and shall have no force or effect. Client will provide a letter of self -insured status as
requested by NAPC.

7. Sovereign Immunity. Nothing herein constitutes a waiver of Client's sovereign
immunity. To the extent the Agreement requires Client to waive its rights or immunities as a
government entity; such provisions are hereby deleted and shall have no force or effect.
8. Limitation of Liability and Indemnity. To the extent the Agreement, in any way,
limits the liability of NAPC or requires Client to indemnify or hold NAPC or any third party
harmless from damages of any kind or character, Client objects to these terms and any such terms
are hereby deleted from the Agreement and shall have no force or effect.
9. No Debt. In compliance with Article 11 § 5 of the Texas Constitution, it is
understood and agreed that all obligations of Client hereunder are subject to the availability of
funds. If such funds are not appropriated or become unavailable, Client shall have the right to
terminate the Agreement except for those portions of funds which have been appropriated prior to
termination.
10. Confidential Information. Client is a government entity under the laws of the State
of Texas and all documents held or maintained by Client are subject to disclosure under the Texas
Public Information Act. To the extent the Agreement requires that Client maintain records in
violation of the Act, Client hereby objects to such provisions and such provisions are hereby
deleted from the Agreement and shall have no force or effect. In the event there is a request for
information marked Confidential or Proprietary, Client shall promptly notify NAPC. It will be the
responsibility of NAPC to submit reasons objecting to disclosure. A determination on whether
such reasons are sufficient will not be decided by Client, but by the Office of the Attorney General
of the State of Texas or by a court of competent jurisdiction.
11. Addendum Controlling. If any provisions of the attached Agreement, conflict with
the terms herein, are prohibited by applicable law, conflict with any applicable rule, regulation or
ordinance of the City of Fort Worth, the terms in this Addendum shall control.
12. Immigration Nationality Act. NAPC shall verify the identity and employment
eligibility of its employees who perform work under this Agreement, including completing the
Employment Eligibility Verification Form (I-9). Upon request by Client, NAPC shall provide
Client with copies of all I-9 forms and supporting eligibility documentation for each employee
who performs work under this Agreement. NAPC shall adhere to all Federal and State laws as
well as establish appropriate procedures and controls so that no services will be performed by any
NAPC employee who is not legally eligible to perform such services. NAPC SHALL
INDEMNIFY CLIENT AND HOLD CLIENT HARMLESS FROM ANY PENALTIES,
LIABILITIES, OR LOSSES DUE TO VIOLATIONS OF THIS PARAGRAPH BY NAPC,
NAPC'S EMPLOYEES, SUBCONTRACTORS, AGENTS, OR LICENSEES. Client, upon
written notice to NAPC, shall have the right to immediately terminate this Agreement for
violations of this provision by NAPC.
13. No Boycott of Israel. If NAPC has fewer than 10 employees or the Agreement is
for less than $100,000, this section does not apply. NAPC acknowledges that in accordance with
Chapter 2270 of the Texas Government Code, Client is prohibited from entering into a contract
with a company for goods or services unless the contract contains a written verification from the

company that it: (1) does not boycott Israel; and (2) will not boycott Israel during the term of the
contract. The terms "boycott Israel" and "company" shall have the meanings ascribed to those
terms in Section 808.001 of the Texas Government Code. By signing this Addendum, NAPC
certifies that NAPC's signature provides written verification to Client that NAPC: (1) does not
boycott Israel; and (2) will not boycott Israel during the term of the Agreement.
14. Right to Audit. NAPC agrees that Client shall, until the expiration of three (3) years
after final payment under the Agreement, have access to and the right to examine any directly
pertinent books, documents, papers and records of NAPC involving transactions relating to the
Agreement. NAPC agrees that Client shall have access during normal working hours to all
necessary NAPC facilities and shall be provided adequate and appropriate workspace in order to
conduct audits in compliance with the provisions of this section. Client shall give NAPC
reasonable advance notice of intended audits.
15. Prohibition on Boycotting Energy Companies. NAPC acknowledges that in
accordance with Chapter 2274 of the Texas Government Code, as added by Acts 2021, 87th Leg.,
R.S., S.B. 13, § 2, the Client is prohibited from entering into a contract for goods or services that
has a value of $100,000 or more that is to be paid wholly or partly from public funds of the Client
with a company with 10 or more full-time employees unless the contract contains a written
verification from the company that it: (1) does not boycott energy companies; and (2) will not
boycott energy companies during the term of the contract. The terms "boycott energy company"
and "company" have the meaning ascribed to those terms by Chapter 2274 of the Texas
Government Code, as added by Acts 2021, 87th Leg., R.S., S.B. 13, § 2. To the extent that Chapter
2274 of the Government Code is applicable to this Agreement, by signing this Agreement, NAPC
certifies that NAPC's signature provides written verification to the Client that NAPC: (1) does not
boycott energy companies; and (2) will not boycott energy companies during the term of this
Agreement.
16. Prohibition on Discrimination Against Firearm and Ammunition Industries. NAPC
acknowledges that except as otherwise provided by Chapter 2274 of the Texas Government Code,
as added by Acts 2021, 87th Leg., R.S., S.B. 19, § 1, the Client is prohibited from entering into a
contract for goods or services that has a value of $100,000 or more that is to be paid wholly or
partly from public funds of the City with a company with 10 or more full-time employees unless
the contract contains a written verification from the company that it: (1) does not have a practice,
policy, guidance, or directive that discriminates against a firearm entity or firearm trade
association; and (2) will not discriminate during the term of the contract against a firearm entity or
firearm trade association. The terms "discriminate," "firearm entity" and "firearm trade
association" have the meaning ascribed to those terms by Chapter 2274 of the Texas Government
Code, as added by Acts 2021, 87th Leg., R.S., S.B. 19, § 1. To the extent that Chapter 2274 of the
Government Code is applicable to this Agreement, by signing this Agreement, NAPC certifies that
NAPC's signature provides written verification to the Client that NAPC: (1) does not have a
practice, policy, guidance, or directive that discriminates against a firearm entity or firearm trade
association; and (2) will not discriminate against a firearm entity or firearm trade association
during the term of this Agreement.
