Under the terms of this Agreement, Company agrees to pay FI a non-refundable sponsorship fee of $0.00 and, in exchange, Company's employees ("Employees") may enroll with FI under the following membership option(s): Option 1: An Employee may enroll with FI under a "Signature" membership in consideration of an initiation fee of $25.00, recurring monthly dues ("Monthly Dues") of $39.99 per month and a recurring annual fee ("Annual Fee") of $49.00 per year. This option provides access to all "LA Fitness" -branded, "City Sports Club" -branded, and "Esporta Fitness" -branded clubs in the U.S. and Canada. Access to clubs operating under other brand names or in other locations is excluded. Employees who enroll will be permitted racquetball court use at an additional cost of $0.00 per month (included in the Monthly Dues) if this option is selected at the time of enrollment. Employees must enter into a current FI membership agreement as a condition to becoming a member. Enrollment requires payment of an initiation fee (if indicated above) and the enrollee's first and last months' Monthly Dues (including any extra fees for additional services selected), all of which will be due at the time of enrollment. Subsequent Monthly Dues and Annual Fees must be paid by pre -authorized direct debit or credit card payment. Employees must enroll online, through a secure link located on Company's secured employee website. If an Employee is already currently enrolled with FI prior to the commencement date of this Agreement (or enrolls in the future without knowledge of the preferential pricing herein), then, if the Employee wishes instead to enroll under this offer, the Employee will need to cancel his/her existing FI membership per FI's then -current policy and re -enroll with FI as provided above. In no event will any refunds be issued for any previous dues or other funds paid to FI. Additional Terms: 1. Unless expressly included in the option(s) above, additional services (the availability of which varies from club to club) are not included in the membership option(s) described above and will cost extra, including, without limitation, personal training services (which require a separate agreement), Kids Klub services (which require a separate agreement), towel service, guest privileges, parking, league access, racquetball -court use, some group fitness classes (which may require a separate agreement), and juice bar and other vendor services. 2. If approved in advance by FI through wellness@fitnessintl.com, Up to three immediate family members of each Employee who enrolls may also enroll pursuant to the same membership option under which the Employee enrolled and subject to the same terms hereof (for the avoidance of doubt, separate initiation fees and Annual Fees (if included in the option(s) above), and separate Monthly Dues, will be required for each family member who enrolls). If the e-voucher enrollment option is selected, then each family member will need his/her own unique e-voucher number to enroll. 3. All pricing herein is subject to applicable sales tax, if any. 4. Reports (e.g., showing the amount of usage by Employees) will not be provided. 5. Intentionally omitted. 6. Questions regarding the Company's account must be directed to wellnessafitnessintl.com. 7. FI's trademarks, names, logos and other intellectual property (including, without limitation, those referencing "LA Fitness," "Esporta Fitness" or "City Sports Club") may not be used in any advertising or marketing by Company without the written approval of FI, which approval it may withhold in its sole discretion. 8. Future club locations and brands may be excluded from the membership option(s) above at the discretion of FI. FI may also cease providing access to any individual health club locations that are closed and vacated by FI or for which the lease has expired. 9. This Agreement must be signed by both parties below to be valid and enforceable. Any amendment to or variance from this Agreement must be in writing and signed by both parties. 10. FI may terminate this Agreement by providing 10 days' written notice in the event of breach, intentional misconduct or fraud (including, without limitation, voucher misuse or abuse) by Company. 11. The pricing set forth above is not guaranteed to remain the same if this Agreement is renewed or extended. 12. This membership offer may not be offered or advertised to the general public. 13. In the event FI's clubs are, or any club that is the primary club used by a majority of enrolled Employees is, temporarily closed due to a force majeure event (including without limitation a strike, lockout, earthquake, hurricane, flood, fire, pandemic, epidemic or other act of God, nature, war, rebellion, civil disorder, or act of civil or military authorities), Company may request, as its sole remedy in such an event, that the term of this agreement be extended for a period equal to the duration of such temporary closure or, if said closure is in excess of 15 days, termination of this Agreement upon 5 business days' prior notice. 14. California only: Solely to the extent that Employees are "consumers" under the California Consumer Privacy Act of 2018 (the "CCPA"), FI shall not retain, use, or disclose Employee personal information (as the term "personal information" is defined under the CCPA) collected from the Company, if any, pursuant to this Agreement for any purpose other than for the "business purpose" (as the term "business purpose" is defined under the CCPA) of providing services to such Employees, or as otherwise permitted by law. Personal information, if any, provided in any reports made available to Company are made for such business purpose and not in exchange for any payment or other consideration. 15. This offer expires on February 5t', 2023.
