FWLDC-2021-07 FORT WORTH LOCAL DEVELOPMENT CORPORATION RESOLUTION OF THE BOARD OF TRUSTEES Authorizing a Vendor Services Agreement in an Amount Up To $110,000.00 With National Main Street Center, Inc. for the Development, Services, and Assessments of a Fort Worth Main Street Pilot Program WHEREAS, the City Council of the City of Fort Worth ("City") adopted the Economic Development Strategic Plan on December 12, 2017 (the "Strategic Plan") that includes a goal to "Ensure Community Vitality", known as "Goal 3" WHEREAS, Goal 3 included initiatives related to the need to establish, retain, and grow independent, micro, and small businesses in the neighborhoods (City of Fort Worth Strategic Plan Goal3.3.1.4); establish neighborhoods as cultural centers that celebrate their historical and unique qualities (City of Fort Worth Strategic Plan Goal 3.2.5); and lay the foundation and catalyze community supported incremental development and redevelopment efforts along corridors and nodes of opportunity with strategies to mitigate displacement (City of Fort Worth Strategic Plan Goal 3.2.1); WHEREAS, the Fort Worth Local Development Corporation (the "Corporation") was created in 1987 to assist the City with, among other things, the creation of jobs and other economic development activities of the City; WHEREAS, the Corporation desires to assist the City with the achievement of Goal 3 of the Strategic Plan by engaging National Main Street Center, Inc. to develop, service, and assess a Fort Worth Main Street Pilot Program, which would be a three-year pilot program for two corridors that would achieve community revitalization; WHEREAS, National Main Street Center, Inc. employs a "Main Street Approach", which is a comprehensive framework that helps communities identify their unique competitive advantage, leverage the power of residents and local stakeholders, and offers community -based revitalization initiatives with a strategic, adaptable framework for transformation that is easily tailored to local conditions and is generated through meaningful community engagement and informed by an analysis of the district's market position; WHEREAS, the corridors will be selected for the Fort Worth Main Street Pilot Program through a community and stakeholder application process established by a steering committee, and an organizational structure and non-profit entity for each corridor will be implemented, if it does not already exist, with which the Corporation intends to contract to attain defined metrics and work plans in a total aggregate amount of $540,000.00; PAGE 2 WHEREAS, the Board of Trustees now desires to approve an agreement to engage National Main Street Center, Inc. to perform the services as set forth in the attached Exhibit "A" (the "Services"). NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE FORT WORTH HOUSING FINANCE CORPORATION: 1. THAT the Board authorizes the execution and delivery of an agreement (the "Agreement") by and between the Corporation and National Main Street Center, Inc. in substantial conformity to the Services for a term beginning on or about October 1, 2021 and ending on June, 2027, for a total cost not to exceed $110,000.00. 2. THAT the Board directs staff to budget $540,000.00 for the implementation of defined metrics and work plans for up to two corridors for the Fort Worth Main Street Pilot Program, provided that any contract with an entity for said implementation shall return to the Board for Board approval. 3. THAT any authorized signatory of the Corporation are each authorized to execute and deliver the Agreement for and on behalf of the Corporation along with any related documents necessary to implement the Agreement, and each is authorized to extend, modify and amend the Agreement, provided any such extensions, modifications and amendments are within the scope of the project. 4.
