AMENDMENT NO.2 TO
CITY SECRETARY CONTRACT NO.51239
FOR TOWING MANAGEMENT, LOGISTICS, AND TECHNOLOGY SERVICES
This Amendment is made between the City of Fort Worth ("City"), a home -rule
municipal corporation, acting herein by and through Fernando Costa, its duly authorized
Assistant City Manager and AutoReturn US, LLC. ("AutoReturn"), each individually referred
to herein as a "party" and collectively referred to as the "parties."
WHEREAS, the Parties previously entered into City of Fort Worth City Secretary
Contract No. 51239 the "Contract"), with an effective date of September 11, 2018 and an
expiration date of September 30, 2019 with renewals for up to four one-year renewal periods;
and
WHEREAS, the Contract is for the provision of law enforcement purpose tows, namely
police -purpose tow services are necessary to protect the safety of the citizens of the City of Fort
Worth; and
WHEREAS, the current term of the Agreement is for a period of one year beginning
October 1, 2021; and
WHEREAS, the City and AutoReturn now wish to amend the Contract by $300,000.00
for a new total not to exceed amount of $950,000.00 per year for law enforcement purpose tows.
NOW, THEREFORE, City and AutoReturn, acting herein by the through their duly
authorized representatives, enter into the following agreement to amend the contract:
1.
Contract is amended to include the following language:
City shall pay Contractor in accordance with the fee schedule of services and tests under
this Agreement in accordance with the provisions of this Agreement. Total payments made
under this Agreement by City shall not exceed the amount of $950,000.00 per year. Contractor
shall not perform any additional services or bill for expenses incurred for City not specified by
this Agreement unless City requests and approves in writing the additional costs for such
services. City shall not be liable for any additional expenses of Contractor not specified by this
Agreement unless City first approves such expenses in writing.
2.
All other provisions of the Contract which are not expressly amended herein shall remain
in full force and effect.
