FIRST AMENDMENT TO THE
LEASE AGREEMENT
This First Amendment to the Lease Agreement dated February 20, 2020 under City Secretary
Contract ("CSC") No. 53320 ("Lease") is made by and between the City of Fort Worth, Texas, a
home -rule municipal corporation of the State of Texas, acting by and through its duly authorized
Assistant City Manager, Dana Burghdoff ("Landlord"), and Paramount Aerospace Systems USA,
Incorporated, acting by and through its duly authorized Chief Executive Officer, Brian Stephen
Greyling ("Tenant") (the "First Amendment").
RECITALS
WHEREAS, Landlord and Tenant agreed under the Lease for Tenant to occupy approximately
21,624 square feet of space in the Structures Building ("Building") located at 2070 Eagle Parkway,
Fort Worth, Texas 76177 at the Alliance Fort Worth Maintenance Facility (collectively the "Original
Leased Premises");
WHEREAS, the Tenant has needed to utilize additional space within the Building not currently
identified under the Original Leased Premises for office space purposes and has approached the City
with this request;
WHEREAS, the City is amenable to Tenant's use of the office space within the Building and
the Tenant has agreed to pay the additional rent for the additional space which began on January 1,
2023; and
WHEREAS, the parties have now agreed to amend the Lease to add the additional office space
of approximately 2,139 square feet of space to the Leased Premises in the Structures Building, more
particularly described herein, and for the Tenant to pay such additional rent for the office space
beginning as of January 1, 2023.
NOW THEREFORE, in consideration of the terms set forth in this First Amendment the parties
agree to amend the Lease as of the executed date herein as follows:

Article II, Section 2.1(a)(i) of the Lease describing the Leased Premises is hereby deleted in its
entirety and replaced with the following:
(i) Landlord hereby leases to Tenant, and Tenant hereby leases from
Landlord, the Leased Premises of approximately 23,763 square feet of space in the
Structures Building #16 located at 2070 Eagle Parkway, Fort Worth, Texas 76177 on the
Alliance Maintenance Facility, more specifically described in Exhibit B-2; and

Article IX, Section 9.1 of the Lease is hereby amended by updating the "Base Rent" for the
remainder of the Lease Term to reflect the updated square footage total of 23,763 square feet of the
Leased Premises as follows:

Exhibits B-1 (Site Plan Leased Premises) and Exhibit B-2 (Leased Premises Structure Building
Space of the Lease are hereby replaced with Attachments 1 &2, respectively of this First Amendment.

Upon the execution of this First Amendment, all other fees under the Lease shall be calculated
using the new square footage amount of 23,763 square feet.

The parties agree that based on the new square footage amounts reflected in this First
Amendment, the additional amount currently due under the Lease for Base Rent since January 1, 2023
until the execution date herein is $631.02 for past use. A corrected invoice for this amount currently
owed will be mailed to the Lessee upon execution of this Amendment.
6.
All other terms and conditions of the Lease that are not expressly amended herein or
directly in conflict with the provisions and conditions of this Amendment shall remain in full force
and effect.

The statements set forth in the recitals above are true and correct and form the basis upon
which Lessor and Lessee have entered into this Amendment. The Lease is a public document on file
in Lessor's City Secretary's Office and is incorporated herein by reference for all purposes.

RECOMMENDATION:
It is recommended that the City Council authorize the execution of a first amendment to City
Secretary Contract No. 53320, the lease agreement with Paramount Aerospace Systems USA,
Incorporated to add approximately 2,139 square feet of space to the leased premises to be used as
office space in the Structures Building #16 located at 2070 Eagle Parkway, Fort Worth, Texas 76177
at the Alliance Fort Worth Maintenance Base.
DISCUSSION:
On December 23, 2019, the City of Fort Worth (City) entered into a lease agreement with Paramount
Aerospace Systems USA, Incorporated (Paramount) to lease approximately 21,624 square feet of
space in the Structures Building #16 located at 2070 Eagle Parkway, Fort Worth, Texas 76177 at the
Alliance Fort Worth Maintenance Facility (City Secretary No. 53320).
Paramount has requested to add additional space in the Structures Building #16 to be used for office
space which began on January 1, 2023.
The City of Fort Worth Property Management Department and Paramount have now agreed to a
first amendment to the lease agreement under the following terms:
Add approximately 2,139 square feet to the leased premises be used as office space which will
increase the total leased premises to 23,763 square feet; and
Revise the base rent payment schedule to include the additional square footage to the leased
Dremises as follows:
Term Base Rent Rate Monthly Annually
January 1, 2023 — December 22, $1.18 / SF $2,336.70 $28,040.40

FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that upon approval of the above recommendation and execution of
this first amendment to the lease agreement, funds will be deposited into the Alliance Maintenance
Facility Fund. The Property Management Department (and Financial Management Services) is
responsible for the collection and deposit of funds due to the City.
