AMENDMENT NO. 2
TO
CITY OF FORT WORTH CONTRACT 56904
This Second Amendment is entered into by and between the City of Fort Worth
(hereafter 'Buyer"), a home rule municipality, with its principal place of business at 200 Texas
Street, Fort Worth, Texas, and SHI Government Solutions, Inc. ("Vendor"), Buyer and Vendor
may be referred to individually as a Party and collectively as the Parties.
WHEREAS, on May 1, 2018, the Fort Worth City Council ("Council") authorized a
purchase agreement with Vendor for Crowdstrike anti -virus and anti-malware software, license
fees and maintenance support services;
WHEREAS, as authorized by the Council, the agreement aligned with the underlying
DIR Cooperative contract and included an initial one-year term with four options to renew
annually;
WHEREAS, on December 29, 2021, the Parties executed City Secretary Contract 56904,
for a term beginning January 17, 2022 and ending January 17, 2023, to memorialize the purchase
agreement in the form of a written contract ("Agreement/Contract");
WHEREAS, on March 28, 2023, the parties amended the agreement to reflect a change
in the underlying cooperative contract (DIR-TSO-4317) and exercised a renewal option to extend
the Agreement to align with the cooperative contract;
WHEREAS, the parties mistakenly referenced the incorrect contract term and set the
Agreement to renew May 10, 2023 instead of April 27, 2023, the date in -line with DIR-TSO-4317;
WHEREAS, the City has also reached the maximum renewals authorized by the Council
pursuant to M&C P-12192 and must seek further council authorization to extend the Agreement
in accordance with DIR-TSO-4317 and will do so in the form of a ratifying M&C at a future date;
WHEREAS, the Parties wish to amend the Agreement to align contract renewal dates
with Texas Department of Information Resources DIR-TSO-4317.
NOW, THEREFORE, the Parties, acting herein by and through their duly authorized
representatives, enter into the following agreement:

AMENDMENTS
The Agreement is hereby amended to begin April 27, 2023 and expire April 26, 2024 in
accordance with Texas Department of Information Resources DIR-TSO-4317.

ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Agreement which are not expressly amended herein shall
remain in full force and effect.
3.
ELECTRONIC SIGNATURE
This Amendment may be executed in multiple counterparts, each of which shall be
an original and all of which shall constitute one and the same instrument. A facsimile copy
or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall
have the same effect as anoriginal.
