AMENDMENT No . 1
TO CITY SECRETARY CONTRACT No. 56501
WHEREAS, the City of Fort Worth (CITY) and CDM Smith, Inc.,
(ENGINEER) made and entered into City Secretary Contract No. 56501, (the
CONTRACT) which was authorized by M&C 21-0767 on the 28th day of
September, 2021 in the amount of $1,433,000.00; and
WHEREAS, the CONTRACT involves engineering services for the
following project:
Village Creek Water Reclamation Facility Primary Clarifiers
Replacement Phase 1, CPN 103295; and
WHEREAS, it has become necessary to execute Amendment No. 1 to the
CONTRACT to include an increased scope of work and revised fee.
NOW THEREFORE, CITY and ENGINEER, acting herein by and through
their duly authorized representatives, enter into the following
agreement, which amends the CONTRACT:
1.
Article I of the CONTRACT is amended to include the additional
engineering services specified in proposal attached hereto and
incorporated herein. The cost to City for the additional design services
to be performed by Engineer totals $3,712,425.00.
2.
Article II of the CONTRACT is amended to provide for an increase in
the fee to be paid to Engineer for all work and services performed under
the Contract, as amended, so that the total fee paid by the City for all
work and services shall be an amount of $5,145,425.00.
3.
All other provisions of the Contract, which are not expressly
amended herein, shall remain in full force and effect.

Amendment No. 1 Rev4 Proposal - Final Design and Bid Phase Services
Dear Farida:
Enclosed please find revision 4 (Rev4) of CDM Smith's proposal for final design and bid phase
services related to the Primary Clarifier Improvements Project. We have revised our proposal to
reflect what we understand as our scope of work for the odor control rehabilitation coordination
task as discussed in our conference call March 8, 2023. It is our understanding that the City is in the
process of developing contract documents to procure a vendor or contractor to rehabilitate the
existing Odor B Facilities chemical scrubber system and the City anticipates starting the rehab work
in Fall 2023. CDM Smith will provide the City a memorandum defining the airflows assumed from
each odor source with recommendations on operational strategies for existing fans or
recommendations to replace the fans to match the required airflow for the new clarifier
improvements with the objective to minimize cost to the Project and City. CDM Smith will
coordinate our ductwork design with final rehabilitation scope of work. This effort is defined as
Task 2.4.14 in the scope document and fee breakdown schedule.
Additionally, we have removed all the additional services from revision 3 (Rev3) proposal per our
meeting on February 28, 2023 and moved the design efforts to replace clarifiers 15 and 18 launder
covers and repair existing odor control ductwork with the understanding these items may be
alternative bid items.

understand time is if the essence to the City.

The scope set forth herein defines the work to be performed by the ENGINEER in
completing the project. Both the CITY and ENGINEER have attempted to clearly define the
work to be performed and address the needs of the Project.
PROJECT DEFINITION AND BACKGROUND
The Fort Worth Water Village Creek Water Reclamation Facility (VCWRF) Primary
Clarification Improvements Project "the Project" includes proposed improvements to the
plant's existing infrastructure and modifications/construction of additional infrastructure for
primary clarification improvements. The original contract included Phase I evaluation and
preliminary design report and 30% design drawings.
Based on the Preliminary Design and PDR and subsequent meetings with the City regarding
Odor Control Improvements, the Project includes the following specific improvements:
• Demolish Bar Screen Buildings 1 and 2 and Detritors 1-4
• Demolish Boxes G and H
• Demolish Primary Clarifiers 1-12
• Demolish Primary Sludge Pump Stations 1 and 2
• Demolish Scum Pump Stations 1 and 2
• Rehabilitate Odor B Facilities (by the CITY)
• Modify Plant Sewer #1 Structure
• New Primary Clarifiers (PCs) 1-3 with launder covers
• New Primary Sludge Pump Station 1

This Amendment 1 includes Phase II Final Design Phase and Bid Phase engineering
services for the Project. It is understood that Phase III Construction Phase engineering
services for the Project will be completed by ENGINEER under subsequent professional
engineering services amendment or agreement by approval of the CITY. The Phase II Final
Design services will be 9-month duration and Bid Phase Services will be 3-month duration
from bid advertisement to preparing conformed documents.
WORK TO BE PERFORMED
BASIC SERVICES SCOPE OF WORK
Phase II — Final Design and Bid Phase Services
The scope of work for engineering services to be provided by the ENGINEER during
completion of Phase II Final Design and Bid Phase for the Project is as described in Tasks
2.1 through 2.5 below.
2.1 Project Management
During the Final Design and Bidding Phases of the Project, ENGINEER will perform project
management duties and manage change, communicate, coordinate internally and externally
as needed, and address issues with the CITY's Project Manager and others as necessary to
make progress on the work.
2.1.1 General Project Management
• Lead, manage and direct design team activities
• Implement ENGINEER's quality assurance and quality control practices in
performance of the work
• Communicate internally among team members
• Task and allocate team resources
• Advise the CITY when the established project expectations cannot be met or when
the engineering fee or construction cost will increase as a change directive from
the CITY on the scope of the desired improvements.
2.1.2 Communications and Reporting
• Prepare and submit invoices and progress reports monthly in the standard CITY
format.

• Prepare and submit baseline Project design schedule initially, and Project design
schedule updates with a schedule narrative monthly, as required in Attachment D
to this Standard Agreement and according to the CITY of Fort Worth's Schedule
Guidance Document.
• Complete Monthly M/WBE Report Form and Final Summary Payment Report Form
at the end of the project.
• Coordinate with permitting authorities, other agencies and entities as necessary for
the design of the proposed improvements and provide and obtain information
needed to prepare the design.
• Utilize CITY's BIM360 document management system to provide all documentation
related to the project, including:
- Monthly status reports of project progress
Decision log and information needs documents
- Meeting minutes
- Draft and final documents
- Other project documents
• With respect to coordination with permitting authorities, ENGINEER will
communicate with permitting authorities such that their regulatory requirements are
appropriately reflected in the designs. ENGINEER will work with regulatory
authorities to obtain approval of the final design.
Task 2.1 Work Products
• Up to 12 monthly invoices and progress reports (electronic .pdf file)

2.2 Project Meetings and Site Visits
During the Final Design and Bidding Phases of the Project, ENGINEER will provide project
meetings and site visits as follows:
2.2.1 Project Meetings
Project progress meetings will be held during the course of the project with CITY staff to
discuss aspects of the project presently underway, project schedule, and upcoming issues.
These meetings will generally be about one hour in duration and are not intended to be
formal presentations. It is assumed that up to three (3) of the ENGINEER's team members
will attend the meetings to discuss pertinent issues. Twelve monthly progress meetings with
the City are planned for this phase of the project.

ENGINEER will conduct site visits to field verify existing conditions, investigate site
conditions, etc. When conducting site visits to the project location, the ENGINEER or its
SUBCONSULTANTS will carry readily visible information identifying the name of the
company and the company representative.
2.2.3 Review Workshops
Review workshops will be held with CITY for each design milestone (60%, 90%) to obtain
CITY comments. Review workshops will be 4-hour duration and be in -person meeting with
WebEx virtual conferencing optional. Review comments will be logged with ENGINEER's
responses and distributed with final documents.

2.3 TWDB Funding Assistance
ENGINEER will provide support as required for CITY to complete and submit the Financial
Assistance Application for federal financial assistance under the Clean Water State
Revolving Fund (CWSRF) through the Texas Water Development Board (TWDB).
2.3.1 Environmental Review Coordination
ENGINEER will provide support as required to coordinate with the TWDB to determine of
this project can be considered a Category Exclusion (CE), which allows the project to be
excluded from a full federal environmental review. ENGINEER will develop and provide
necessary documentation to obtain a CE for the project.
2.3.2 Engineering Feasibility Report
ENGINEER will develop an Engineering Feasibility Report (EFR), as a requirement for
TWDB financial assistance, in accordance with the guidelines provided in TWDB-0556.
ENGINEER will use the Preliminary Design Report developed for the Project to supplement
similar information required in the EFR. ENGINEER will submit the draft EFR to the CITY
for review and comment. After addressing CITY comments, ENGINEER will finalize the
EFR, submit it to TWDB, and coordinate with TWDB for approval. After the document is
approved by TWDB, ENGINEER will submit the final EFR with TWDB approval letter to the
CITY.
2.3.3 Application for Financial Assistance
ENGINEER will provide support as required for CITY to prepare the Financial Assistance
Application as required by the TWDB to be reviewed by the TWDB for the release of
construction funds for the Project. Additionally, ENGINEER will provide support to CITY in
reviewing the Green Project Reserve to determine if the project has the potential to apply for
green project funding. If CITY determines that the Project has the opportunity for Green
Project funding, ENGINEER will prepare Green Project Reserve portion of the Financial

2.3.4 Design Plan Submittal Review and Coordination with TWDB
ENGINEER will submit 100% complete plans (ready for bidding) to TWDB for their review
and approval. ENGINEER will coordinate with TWDB to make any recommended changes
or clarifications, as required for approval.

2.4 Final Design (60%, 90%, 100%)
To progress and complete the Final Design of the Project and provide Contract Documents
(drawings and specifications), ENGINEER will provide engineering design services as
follows:
2.4.1 Update Influent Plant Hydraulics
ENGINEER will update the plant Infoworks hydraulic model to accommodate yard piping
changes (if any) to the primary clarification distribution box and influent lines beyond 30%
design. The plant model will be used to assess the hydraulic impacts to the new Grit Facility
and existing Headworks Facility. Additionally, the results of the plant model will be applied to
the collection system model to assess the hydraulic impacts to the collection system
upstream of the plant. Changes will be reflected in an updated hydraulic profile in the 60%,
90% and 100% deliverables.
Task 2.4.1 Work Products

2.4.2 New West Diversion Structure Computational Fluid Dynamics (CFD) Modeling
ENGINEER will develop a computational fluid dynamics (CFD) model of the new west
diversion structure to confirm the InfoWorks predicted water surface elevation in the
structure and flow to the new and existing primary clarifiers across the design flow ranges.
Results from InfoWorks will be used to set the downstream boundary conditions of the
structure for flow splitting purposes to the existing six and new three clarifiers. Results of the
modeling will be summarized in a brief technical memorandum.

Task 2.4.2 Work Products

2.4.3 Update Primary Effluent Hydraulics
ENGINEER will develop AFT Fathom model of primary effluent piping and perform hydraulic
evaluation of primary effluent piping from new and existing clarifiers to Primary Effluent
Pump Stations (PEPS) 1 and 2 for 191 million gallons per day (mgd) AADF and associated
P2HF to confirm primary effluent piping improvements recommended in PDR. Primary
effluent hydraulics conclusions will be addressed in Final Design task 2.4.9.
2.4.4 PEPS 1 B Physical Hydraulic Modeling
This task has been deleted from the scope of work. ENGINEER understands that PEPS
improvements and/or expansion will be addressed as part of the future 191 mgd plant
expansion.
2.4.5 D110 Tank Feasibility Evaluation
ENGINEER will coordinate with D110 tank vendors and evaluation feasibility and potential
construction cost and schedule savings to competitively bid D110 tanks with cast in place
construction for the new clarifier structures. Results of evaluation will be summarized in a
technical memorandum.

2.4.6 Primary Effluent Pump Evaluation
This task has been deleted from the scope of work. ENGINEER understands that PEPS
improvements and/or expansion will be addressed as part of the future 191 mgd plant
expansion.
2.4.7 Subsurface Utility Engineering (SUE)
ENGINEER will engage a SUE subcontractor to obtain location information regarding
existing subsurface features locations within the area of impacts to the proposed Project.
Details regarding this scope of work are included below:
Perform up to 17 Quality Level A test holes (average depth of 15 feet) using
hydrovac equipment to confirm the horizontal and vertical location of existing
subsurface features such as the three 36" primary effluent piping to PEPS1 B, two
54" primary effluent piping to PEPS1A, and two 48" storm drain piping) that cross
proposed project sites or conveyances routing. To the extent possible, the test holes
will be performed as close as possible to the anticipated crossing location. The test
hole will be coordinated with the applicable utility company and required permissions
or permits will be acquired. The location and results of the test holes will be surveyed
and incorporated into the Project's base Auto CADD file and relevant information will

be reflected in the plan sheets and specifications. ENGINEER will prepare and
submit a summary report of the SUE findings, signed and sealed by a licensed
professional engineer in the State of Texas. The report will include site photographs,
ground elevation and depth to opt of utility, elevation, horizontal location coordinates
and material type of existing utility.
Task 2.4.7 Work Products

2.4.8 Supplemental Geotechnical Investigations and Evaluation
ENGINEER will engage a geotechnical drilling subcontractor, and a supplemental field
subsurface investigation will be scheduled. (An initial field program was performed during
Preliminary Design Phase.)
ENGINEER will develop a subsurface investigation plan, including 8 geotechnical test
borings to supplement previous boring information throughout the project area.
The test borings will generally be performed at/near the center of the clarifiers, as
accessible due to existing structures and utilities.
Perform vac -truck clearing for geotechnical borings. Vac truck clearing assumes to
be up to 10-ft below ground surface.
One (1) mobilization is planned for the field investigation, with the test borings
assumed to be performed using a truck -mounted vehicle.
- The test borings are anticipated to be advanced to approximately 75 feet below -
grade (on average) using auger and wash -rotary drilling techniques.
- Soil samples will be collected from the test borings continuously from the ground
surface to 10 feet, and at 5-foot intervals thereafter to the planned depth of boring.
Where bedrock is encountered in the test borings, rock coring will be performed to
continuously to the planned depth of the boring.
- Collected soil and rock samples from the test borings will be delivered to a
geotechnical laboratory where selected samples will be subject to index, strength,
consolidation, swell and corrosion testing, as applicable.
- Upon completion of the subsurface investigation program, geotechnical boring logs
and results from the geotechnical laboratory testing program will be prepared.
- Based on the results of the geotechnical subsurface investigation described above,
ENGINEER will perform engineering analyses to evaluate the existing subsurface
conditions, as they relate to the design and construction of the proposed
improvements.
ENGINEER will provide geotechnical-related support and coordination to the design team as
it relates to evaluating the potential use of AWWA D110 or D115 tank structures for the
proposed clarifiers. If additional borings beyond those already included above are required

within the exact footprint of these proposed D110 or D115 structures (as recommended
based on ACI 372), such borings would be performed during construction and following
demolition of the existing clarifiers and associated infrastructure.
ENGINEER will update the prior Geotechnical Report developed as part of Preliminary
Design to provide as signed and sealed Final Geotechnical Report summarizing the original
and supplemental subsurface investigations (including soil boring logs and laboratory testing
results), analyses performed, and engineering recommendations for Project foundation
design developed under this task.

2.4.9 Develop Final Design/Contract Documents
Upon approval of the Preliminary Design Report and 30% Drawings, ENGINEER will
prepare Final Design/Contract Documents (plans and specifications) for the Project
components for CITY's use in bidding and construction of the Project, as follows:
ENGINEER will provide design progression submittals at the approximate 60% and 90%
design progression points for CITY review and confirmation of project intent. CITY shall
provide consolidated set of review comments on plans and specifications for each review
submittal, including a list of comments in spreadsheet form. CDM Smith will respond to one
consolidated set of comments, addressing each item in CITY's review.
For 60% design submittals, the approximate percent complete by discipline is assumed as
follows:

2.4.10 Final Plans and Specifications
Upon receipt of CITY comments on the 90% design drawings and specifications,
ENGINEER will prepare final signed and sealed construction documents for bidding
purposes. Signed and sealed documents will be used for CITY Building Department and
TWDB review. ENGINEER will update drawings and specifications as necessary prior to
bidding.

2.4.11 Regulatory Submittals
ENGINEER will prepare and submit a Summary Transmittal Letter to TCEQ for the Project
in accordance with TCEQ 217.6(c). We have assumed that TCEQ approval would be
granted following the submittal of the Summary Transmittal Letter. If additional submittals,
meetings, or additional work is associated with TCEQ approval, ENGINEER will prepare a
contract amendment proposal for CITY consideration.
ENGINEER will provide one hard copy of contract documents for Texas Water Development
Board review and approval.

Practice No. 18R-97, with appropriate contingencies based on design progress completion.
ENGINEER will update the 60% OPCC estimate to reflect changes/additions/deletions to
project made between the 60% and 90%. The 90% cost opinion will be a Class 2 estimate,
per AACE International Recommended Practice No. 18R-97, with appropriate contingencies
based on design progress completion. The final cost opinion will be a Class 1 estimate, per
AACE International Recommended Practice No. 18R-97, with appropriate contingencies
based on design progress completion.

2.4.14 Existing Odor Control Scrubber Rehabilitation Coordination
ENGINEER will coordinate with the CITY regarding their efforts to rehabilitate the existing
Odor Control B Facilities in the primary area. ENGINEER will provide the CITY a
memorandum defining the air flows assumed from each odor source with recommendations
on operational strategies for existing fans or recommendations to replace fans to match
required airflow for the new clarifier improvements with the objective to minimize cost to the
Project and CITY.

2.5 Bidding Assistance Services
During the Bidding Phase of the Project, ENGINEER will provide the following engineering

2.5.1 Pre -Bid Meeting
ENGINEER will conduct a pre -bid meeting. ENGINEER assumes pre -bid meeting will be at
VCWRF and will include subsequent visit to Project site. It is assumed that the Pre -bid
meeting and site visit will be 2-hours long. ENGINEER will have up to three project team
members attending pre -bid meeting.

ENGINEER will provide necessary interpretations and clarifications of contract documents
from bidders during the bidding phase. If necessary, such clarifications will be included in
Addenda. Up to two addenda are assumed.
2.5.3 Bid Opening/Recommendation of Award
Engineer will attend Bid Opening, review and tabulate bids received and provide a summary
of tabulation and any informalities noted for CITY's consideration in award of construction
contract.
2.5.4 Conformed Documents
ENGINEER will prepare conformed documents for the construction project, incorporating
addenda items into the drawings and specifications, and provide ten sets of half-size plans
and specifications and five sets of full-size drawing for use by the CITY and Contractor
during construction.

PHASE II SCOPE OF WORK ASSUMPTIONS
In developing this scope of work and associated task budgets discussed in this Amendment
1, ENGINEER has made the following assumptions outlined below.
• ENGINEER will not proceed with Final Design activities without written approval by the
CITY of the Preliminary Design Report and 30% Drawings.
• The CITY's front end and technical specifications will be used. ENGINEER will
supplement the technical specifications as needed.
• Access to the project site is to be provided by the City of Fort Worth.
• Plant staff will be available to assist in locating all plant -related or known utilities, as
Texas One -Call service is not assumed to enter the plant property.
• No soil or groundwater contamination is located at the site. If additional work is needed,
a scope and fee for additional engineering services will be developed.
• Work will conform to local, state, and federal requirements. Consideration will be given
to Water Environment Federation (WEF) Manuals of Practice, Hydraulic Institute
Standards, International Building Codes, and other applicable industry practices during
the development of this project.
• No confined spaced entry will be conducted as part of this Project.
• Final design of dewatering and shoring retention systems will be by the Contractor.

• Delegated design for process mechanical, building mechanical, plumbing, and electrical
system will be by the Contractor.
• The existing power distribution system and existing plant standby power generator has
enough capacity for new electrical loads associated with proposed improvements.
• CITY will execute the construction under design/bid/build approach under one bid
package.
• ENGINEER assumes this project will fall under a Categorical Exclusion and no
environmental reconnaissance is required for Clean Water State Revolving Fund
CWSRF). If additional environmental reconnaissance is necessary and an
Environmental Information Document (EID) is required, ENGINEER will prepare a
contract amendment proposal for CITY consideration.
• CITY will handle all CWSRF application submission and all coordination and
communication with TWDB. If additional submittals, meetings, or additional work
associated with TWDB approval is required in addition to the scope of work defined in
Task 2.3, ENGINEER will prepare a contract amendment proposal for CITY
consideration.
• The CITY will rehabilitate the existing Odor Control B Facilities in the primary area,
replace clarifiers 15 and 18 launder covers, repair existing odor control ductwork,
supports and dampers, and improve any condensate management needed of existing
underground 84-inch ductwork prior to construction of new primary clarifiers. It is
ENGINEER's understanding that the Odor Control B Facilities rehabilitation efforts will
start in Fall 2023 and be completed prior to the new primary clarifiers being in service to
allow the primary clarifier improvements contractor to balance the primary area odor
control system with new clarifiers. ENGINEER will coordinate new clarifier odor control
ductwork design with CITY's rebuilt odor control system.
If the CITY choses to proceed with design of new biotrickling filter system in lieu of
rehabilitating the existing Odor B Facilities chemical scrubber system, ENGINEER will
prepare a contract amendment proposal for CITY consideration.
Further PEPS capacity evaluation and pump capacity expansion is not included in this
scope of work. Therefore, ENGINEER will not perform PE pump performance field
testing on existing primary effluent pumps individually at each of the three pump
stations to gauge the remaining useful life, define the maximum total primary effluent
flow that PEPS 1A, 1 B, and 2 can handle today, and confirm they can handle future PE
flows from all the clarifiers. ENGINEER will not perform physical modeling of PEPS wet
well B since no pump station improvements are included in this scope of work.
However, future evaluation of PEPS capacity is warranted and can be postponed to a
later project in conjunction with aeration basin expansion improvements.
CITY review time for each design deliverables will be no longer than two weeks.

RECOMMENDATION:
It is recommended that the City Council:
1. Authorize execution of Amendment No. 1 in the amount of $3712,425.00 to City Secretary Contract
No. 56501, an Engineering Agreement with CDM Smith, Inc., for the final design of the Village Creek
Water Reclamation Facility Primary Clarifier Replacement Phase 1 project for a revised contract
amount of $5,145,425.00;
2. Adopt the attached resolution expressing official intent to reimburse expenditures with proceeds
from future debt for the Village Greer Water Reclamation Facility Primary Clarifiers Replacement
Phase 1 project; and
3. Adopt the attached appropriation ordinance adjusting appropriations in the W&S Commercial paper
Fund by increasing appropriations In the Village Creek Water Reclamation Facility Primary Clarifiers
Replacement Phase 1 project (City Project No.103295) in the amount of $4,035,605.00 and
decreasing appropriations in the W&S Commercial Paper project (City Project No. lJCMLPR) by the
same amount to effect a portion of Water's Contribution to the Fiscal Years 2023-2027 Capital
Improvement Program.
DISCUSSION:
Village Creek Water Reclamation Facility (VCWRF) currently has 18 primary clarifiers, consisting of 12
small 80-foot diameter clarifiers and 6 large 160-ft diameter clarifiers, located in the southeast corner of
the plant. The 12 small primary clarifiers, which were constructed in 1956, '1963, and 1971, have outlived
their useful lives and are in need of replacement.
On September 28, 2021, Mayor and Council Communication (M&C 21-0767) the City Council authorized
an engineering agreement with CDM Smith, Inc., (City Secretary Contract No. 56501) in the amount of
$1,433,000.00 for process evaluation, technical memos, preliminary design, cost estimates, and
assessment of additionaI/improve ment infrastructure necessary for the replacement of Primary Clarifiers
1-12.
Amendment No. 1 includes the additional scope and fee to complete the final design, including plans and
specifications for the replacement of the 12 small 80-foot Primary Clarifiers and necessary improvements
along with additions to the infrastructure.
CDM Smith, Inc,, is proposing to perform the necessary engineering design work for the VCWRF Primary
Clarifier Replacement for a fee not to exceed $3,712,425.00. Staff considers this fee to be fair and
reasonable.
In addition to the contract amount, $323,180.00 is required for project management and material testing.
This project will have no impact on the Water Department's operating budget when complete.
This project is anticipated to be included in a future revenue bond issue for the Water & Sewer Fund.
Available cash within the Water and Sewer portfolio and the City's portfolio along with the appropriation
authority authorized under the Callable Commercial Paper Program (CP) will be used to provide interim
financing for this project until debt Is issued. Once debt associated with this project is sold, bond proceeds
will be used to reimburse the Water and Sewer portfolio and the City's portfolio in accordance with the
attached reimbursement resolution. Under federal law, debt must be issued within approximately three
years in order for these expenses to be reimbursable. Adoption of the attached resolution does not
obligate the City to sell bonds, but preserves the ability of the City to reimburse itself from tax-exempt
bond proceeds.
It is the practice of the Water Department to appropriate its CIP plan throughout the fiscal year, instead of
within the annual budget ordinance, as projects commence, additional funding needs are identified, and to
comply with hand covenants. The actions in the M&C will amend the City of Fort Worth's Fiscal Year 2023-
2027 Capital Improvement Program as follows:
