AMENDMENT 1 AND RENEWAL 2 TO CITY OF FORT WORTH CONTRACT 51042 BETWEEN THE CITY OF FORT WORTH AND TETRA TECH, INC FOR DEBRIS MONITORS AND DEBRIS MONITORING SERVICES This Contract Renewal and Amendment Agreement (the "Agreement") is made and entered into by and between the City of Fort Worth, a home -rule municipal corporation of the State of Texas, located within Tarrant, Denton, and Wise Counties, (hereinafter referred to as the "City"), acting by and through Valerie Washington, its duly authorized Assistant City Manager, and Tetra Tech, Inc. (hereinafter referred to as the "Contractor"), a Delaware Company authorized to do business in the State of Texas, located at 2301 Lucien Way, Suite 120, Maitland, Florida, and acting by and through its duly authorized representative, to provide debris monitors and debris monitoring services. Each party shall be individual referred to herein as Party and collectively as Parties. RECITALS WHEREAS, the parties have previously entered into City of Fort Worth City Secretary Contract No. 51042 (the " Contract) for a period of four (4) years beginning on February 21, 2018 through February 20, 2022 with the option to renew the contract term for up to five (5) additional one (1) year periods; and WHEREAS, the Contract was executed for Contractor to provide the City debris monitors and debris monitoring services to assist the City in monitoring the operations of the disaster debris removal, hauling and disposal contractor(s) on an as- needed basis; and WHEREAS, the first renewal term of the Contract expired on February 20, 2023; and WHEREAS, the Parties continued operating under the same terms and conditions and intended to renew the Contract; and WHEREAS, the Contract allows for renewals so long as the Parties agree to renew the Contract at the sole discretion of the City; and WHEREAS, the City and Contractor also desire to renew the term of the Contract for continued services pursuant to the original Contract for 2nd renewal term, specifically from February 21, 2023, to February 20, 2024; WHEREAS, Contractor has requested a price adjustment to reflect the increase in billing rates based on the Consumer Price Index as published by the Bureau of Labor Statistics, U.S. Department of Labor; WHEREAS, the City has reviewed the request and determined that the requested increases are reasonable and allowed under state and local law; and WHEREAS, the parties wish to amend the Contract to incease the contracted prices. The Contract, as amended herein, is hereby renewed and extended for a 2nd renewal term commencing on February 21, 2023, and ending on February 20, 2024. II. AMENDMENT TO AGREEMENT The following terms are hereby amended to either replace any conflicting terms in the Contract or shall be added to the terms and shall be binding and enforceable as if they were originally included therein and the Agreement shall be referred to as the Contract in all future documents. 1. Exhibit B of the Contract is hereby amended and replaced in its entirety with the Exhibit B attached to this Agreement. III. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Contract which are not expressly amended herein shall remain in full force and effect. IV. ELECTRONIC SIGNATURE This Renewal and Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as anoriginal. WORTH, TX Page 3 of 4 Attachment B Fee Schedule The fee for the services under this Agreement will be based on the actual hours of services furnished multiplied by Contractor's hourly rates as set forth below. The hourly rates are inclusive of all applicable overhead, profit, and travel expenses. Overtime hours will be paid at the same rate as regular time hours. Special costs such as boat rental and marine expenses may be billed to the City at cost without mark-up. FEMA Coordinator - A FEMA coordinator will assist in providing examples of historical precedent and work with FEMA on disaster -specific guidance. They will help the City with FEMA policy interpretcltions, institute corrective processes and procedures to address project deficiencies, and provide consultation to the City and project manager. Administrative Assistant- Locally hired administrative assistants are responsible for proper time keeping for all project employees, which includes time sheets and monitor log management. They also aid in project scheduling, assist home owners with inquiries regarding the private property debris removal program, and facilitate the homeowner application process.
