ADDENDUM NUMBER 2 TO CITY SECRETARY CONTRACT NUMBER 54728
A PROFESSIONAL SERVICES AGREEMENT
BETWEEN THE CITY OF FORT WORTH AND
STRATEGIC GOVERNMENT RESOUCES, INC.
This ADDENDUM NUMBER 2 TO CITY SECRETARY CONTRACT NUMBER
54728 ("Second Addendum") is made and entered into by and between the City of Fort Worth
("City"), a home -rule municipal corporation of the State of Texas, and STRATEGIC
GOVERNMENT RESOURCES, INC. ("Consultant"), a Texas corporation.
WHEREAS, the City and Consultant entered into a Professional Services Agreement for
Consultant to provide City with professional development and training services, City Secretary
Contract Number 54728 ("Agreement"); and
WHEREAS, City and Consultant executed Addendum Number 1 to add additional
services to the Agreement; and
WHEREAS, City and Consultant renewed the Agreement for the First and Second
Renewals Terms; and
WHEREAS, City and Consultant desire to add the additional services and project
described herein to the Agreement;
NOW THEREFORE, City and Consultant, acting herein by and through their duly
authorized representatives, enter into the following agreement which amends City Secretary
Contract No. 54728:

Exhibit "A" of the Agreement is amended to add the information in Exhibit "A" of this
Second Addendum, which is attached hereto and incorporated herein by reference for all purposes.
2.
a. All other provisions of City Secretary Contract Number 54728 which are not expressly
amended herein, shall remain in full force and effect.
b. All terms in this Second Addendum that are capitalized, but not defined, shall have the
meanings ascribed to those terms in City Secretary Contract Number 54728.

Company Profile
Strategic Government Resources, Inc. (SGR) incorporated in Texas in 2002 to help local
governments become more successful by Recruiting, Assessing, and Developing Innovative,
Collaborative, and Authentic Leaders. SGR is fully owned by Ron Holifield, who spent two high -
profile decades in city management and served as the City Manager for several local
governments.
SGR's business model is truly unique. Although we are a private company, SGR operates like a
local government association. Most of SGR's principals are former local government officials,

Logistical Information
Strategic Government Resources, Inc. ("SGR")
City of Fort Worth, Texas ("Organization")
Confirmation Email
SGR will send an email to the Organization approximately 7-days prior to the scheduled session
date to reconfirm date/time and location, allow for resolution of any questions, and generally
ensure a smooth event. The confirmation email will also include the following:
• Printed Materials. In the confirmation email, SGR will provide an electronic version of
any materials that should be printed by the Organization and disseminated to
participants at the beginning of the session. The Organization is responsible for printing
all session -related materials and handouts. Any material sent to the Organization is
considered copyright and proprietary and the Organization is expressly prohibited from
saving copies of material or sharing in any way that does not pertain to this Professional
Services Agreement.
Internet Use & Access to YouTube, if Applicable
The Organization shall provide Facilitator the option to utilize an Ethernet connection and
ensure high-speed Internet access for all presentation -related needs. Additionally, as some SGR
PowerPoint presentations have YouTube videos embedded to enhance Participant experience,
SGR asks that Facilitator not be blocked from accessing YouTube from standard Internet
restrictions that may otherwise be enforced within the Organization. If such provisions cannot
be made to allow for YouTube access, the Organization acknowledges that certain parts of the
session experience will be omitted completely from the curriculum, and the presentation will
not be delivered as designed.
Marketing and Outreach
SGR reserves the right to publish the name(s) and logo(s) of the organization(s) of any
participating organization. However, SGR will not share or publish any individual participant
information without written consent from both the individual participant and the organization
they represent.
Occasionally, SGR may take photographs and/or video during SGR sessions. This agreement
specifies the release of such images and/or recordings for the use of promotion and business
development, which may include but not limited to, use on website and social media. These
images and/or recordings may be used without compensation or additional permission.

Hilary Shine recently retired from a 20-year career in city government. As an executive leader,
she honed her skills in effective communications, strategic advancement, program
development, performance management and team building. Now a member of the SGR
Leadership Development Team, she's excited to share her experience and expertise with local
governments.
Hilary is a passionate community servant and has volunteered in leadership positions for local
non -profits including United Way, Relay for Life and hospital, theater and education foundation
boards. She is co-founder of Friends of Central Texas State Veterans Cemetery, which has
ensured that every grave has been honored with a wreath each holiday season since 2006.
Hilary earned a B.S. in Communications from the University of Texas at Austin and holds various
certifications in leadership, management, communications and emergency response.

Billing
SGR will send an invoice immediately following the date of service, which can sometimes result in
multiple session offerings being represented in a single invoice if the event dates are all
delivered within a relatively short period of time. Payment is due within thirty (30) days of
receipt. If full payment is not made by the due date, SGR reserves the right to suspend the
delivery of all future events until full payment is made.
Purchase Order Number
If applicable, please provide the appropriate Purchase Order (PO). This PO number will be
included on the invoice for services provided as part of this Professional Services Agreement.
