The above referenced Contract with the City of Fort Worth expires on October 1, 2023.
Pursuant to the Contract, contract renewals are at the sole option of the City. This letter is to inform
you that the City is exercising its right to renew the Contract for an additional one (1) year period,
which will begin immediately after the Expiration Date. All other terms and conditions of the
Contract remain unchanged. Please return this signed acknowledgement letter, along with your
quote for charges for the new renewal term, and current insurance certificate, to the address
set forth below, acknowledging receipt of the Contract Renewal Notice.

Scope of Work
The City of Fort Worth wishes to continue an advisory/consulting relationship with Mighty
River, LLC to October, 2023:
The advisory and consulting services are related to three tasks:
• Concluding the contracting for long-term, scalable and cost effective broadband
infrastructure that supports CFW administrative, public safety, citizen support and
outreach and other essential government functions.
• Securing investments from the CFW departments to make the required $13M down
payment.
• Leveraging the investment the CFW will make in broadband infrastructure to provide
affordable and scalable residential and business broadband service to areas of the City
where investment in broadband infrastructure has lagged.
1) Concluding the contracting for City of Fort Worth Broadband Enhancement RFP - CFW
has selected a vendor to provide CFW broadband infrastructure services and is in the
contract negotiation stage with this vendor. Mighty River assisted in this selection
process.. Mighty River will:
a. Interface with the vendor and report on progress to the CFW
b. Continue to communicate CFW priorities in network design to the vendor
c. Provide guidance to the vendor and the CFW on the following
i. The overall City network design seeking to optimize cost effectiveness
and resiliency of the network. The goal being to achieve a high
availability network defined as 99.999% available (less than 6 minutes of
unscheduled downtime per year) for an investment that meets the CFW
fiscal requirements
ii. Existing fiber assets owned by third parties that can be leveraged to make
the CFW network more affordable while not sacrificing the ability of the
CFW broadband infrastructure's ability to reach areas where broadband
investments have lagged.
iii. Opportunities for co -build with third parties that will make the CFW
network more affordable while not sacrificing the ability of the CFW
broadband infrastructure's ability to reach areas where broadband
investments have lagged.
iv. Identify CFW network segments where the potential to serve adjacent
residential areas is limited and help the vendor translate this into cost
savings for the CFW.
d. Assume a leadership role in negotiating the following:
i. Final dark fiber lease and fiber maintenance and operations agreement
with the vendor
ii. Final written commitment of the vendor to serve areas of the City with
last -mile residential and business broadband service where broadband
infrastructure investment has lagged
iii. Review agreements with third party fiber owners who lease fiber for CFW
to vendor
e. Other vendor issues that arise and require Mighty River help as directed by the
CFW
2) Assistance with documentation to support CFW operating departments in allocating
funding for the necessary $12.9M down payment for the fiber network
a. Produce and continue to update an investment justification document.
3) Assistance in identifying areas within the CFW where investment in last -mile
broadband service has lagged and where CFW selected broadband infrastructure
vendor can offer enhanced last mile service.
a. Continue to assist in identifying unserved and underserved residential and
business locations throughout the City
i. Monitor updates to FCC Broadband Availability map
ii. Monitor updates to State of Texas Broadband Availability Map
b. Continue to assist the CFW with interface with the TX Broadband Development
office on rules for allocating Broadband Equity, Access and Deployment funding
that is allocated to the State from the National Telecommunications and
Information Administration
c. Assist the CFW IT team in interfacing internally with government relations staff
and the City Council and with the Texas Broadband Development office on issues
that could limit the amount of BEAD funding made available to the CFW.
d. Other issues that arise and require Mighty River help as directed by the CFW
