HomeMy WebLinkAboutContract 59799CSC NO. 59799 STORM SEWER PIPLINES REIMBURS EMENTA GREEMENT The State of Texas § § Know all men by these Presents: County of Tarrant § That FORT WORTH & WESTERN RAILROAD COMPANY, 6300 Ridglea Place, Suite 1200, Fort Worth, Texas 76116 ("FWWR") and the CITY OF FORT WORTH, 200 Texas Street, Fort Worth, Texas 76102 ("City"), do hereby agree as follows: RECITALS WHEREAS, FWWR is a rail carrier engaged in interstate commerce providing common carrier railroad transportation services by rail including within the City's city limits which crosses City's storm sewer network at various locations; WHEREAS, FWWR acknowledges the City and St. Louis Southwestern Railway Company entered into an agreement dated January 10, 1984, as shown in "Exhibit C" attached hereto, which grants the City access to make certain repairs in accordance with the terms and conditions therein; WHEREAS, City owns and maintains for public use a storm sewer network which crosses FWWR railroad tracks at various locations; WHEREAS, City desire to improve or reconstruct the storm sewer network from time to time; WHEREAS, City desires to reconstruct the storm sewer pipelines crossing at or near Hodge Yard, Mile Post 8.5, Fort Worth Subdivision, Tarrant County, Fort Worth, Texas ("Project"), as more particularly identified on the print hereto attached, marked Exhibit "A"; WHEREAS, to facilitate the Project, FWWR must perform specific track work in advance and after the City's portion of the Project; and WHEREAS, City agrees to pay the costs of the Project and reimburse FWWR in (lie amounts specified in this agreement and as shown in Exhibit "B" attached hereto. NOW THEREFORE, in consideration of the premises and of the promises and conditions set forth in this agreement, the parties hereto agree as follows: AGREEMENT FWWR shall, subject to the reimbursement provided for in this agreement, furnish all labor, materials, equipment, flagging set -vices and supervision for its portion of the Project, as described in Exhibit B, at the above location ("FWWR Services"). WORTH, TX City agrees to reimburse FWWR the entire cost of all FWWR Services, as depicted on Exhibit B, in an amount up to Seventy -Four Thousand Five Hundred Ninety -Six Dollars and 96/100 (S74,596.96) ("City Reimbursement"). City also agrees to reimburse FWWR for FWWR Services costs in excess of City Reimbursement (the "Excess Costs"), if any, unless such Excess Costs are due to the cause of FWWR. Excess Costs which cause the City's total expenditure to exceed the City Reimbursement by One Hundred Thousand Dollars ($100,000) or greater will require additional City authorization before payment can be made. City shall provide for its portion of the Project, at the City's sole expense, including (i) removal of the existing storm sewer pipelines by open cut excavation (ii) replacement of three (3) fifty-four inch (54") storm sewer pipelines of like type or better, and (iii) restoration of the grade for the railroad track roadbed and the surrounding land area (collectively the "City Work"). If City intends to self -perform the City Work, prior to beginning of work on the FWWR's right-of-way, City will provide FWWR a copy of the City's self -insured documentation. City's contractor(s) and subcontractor(s), if any, shall provide FWWR a certificate of insurance covering the below listed insurance coverage: Comprehensive General Liability Insurance — Amounts: Bodily Injury & Property Damage $2,000,000 each occurrence $2,000,000 Aggregate Products & Completed Operations $2,000,000 Aggregate Or Combined Single Limit $2,000,000 This insurance shall be kept in force until the work described in this contract on FW WR's right-of-way has been completed and accepted by the City of Fort Worth. FWWR shall be included as an "Additional Insured." A "Waiver of Subrogation Endorsement" in favor of FWWR shall be a part of each policy. The City's contractor(s) and subcontractor(s) shall be responsible for any deductibles stated in the policy(s). No work is to be performed by the City, City's contractor(s) and subcontractor(s) until they have provided prior notification to FWWR's dispatch office (817) 731-1180 and the Director of Planning/Special Projects, at (817) 201-4450. FWWR shall not be liable to the City or the City's agents, or employees for any injury to person(s) regardless of cause or of any fault or negligence of FWWR, its agents or employees, occurring while they are performing services for or on behalf of the City, and the City does hereby release FWWR from any and all liability and causes of action with respect thereto. To the extent allowed by law, the City shall indemnify and hold harmless FWWR from any loss, damage, injury, death, liabilities, claims, fines, actions, costs or expenses whatsoever, FWWR & City of Fort Worth Page 2 of 12 Storm Sewer Pipelines Reconstruction Agreement Hodge Yard, MP 8,5, Fort Worth Subdivision Document # 20230615-01 including attorney's fees, which arises as a result of any and all actions of the City, City's employees or contractor(s)/subcontractor(s), whether such actions are intentional or not. The City agrees to have its contractor(s) or subcontractor(s), if any, abide by and comply with all applicable laws, statutes, rules, and regulations of any federal state, or municipal authority, or any other public body having jurisdiction, including without limitation, laws, ordinances and governmental regulations controlling air, water, noise, solid wastes and other pollution, and environmental damages, and to file all reports or statements required in connection with the conduct of its business in the conduct of its operations hereunder. The City will provide in its contract with its contractor(s) that the contractor(s) shall indemnify and hold harmless FW WR from any and all loss, cost or expense whatsoever, incurred by reason of any violation of such rules and regulations. If a contractor(s) is to do any work within or upon FWWR's right-of-way or any other FWWR property, then City shall require its contractor(s) to execute FWWR's form Temporary Right of Entry Agreement (hereinafter called "TROE"), City acknowledges such requirement and will inform its contractor(s) of the need to execute the TROE. Under no circumstance will City's contractor(s) be allowed onto FWWR's right-of-way or any other FWWR property without first executing the TROE and FWWR retains the right to remove any contractor who has not executed the TROE. In addition to any other right, remedy of FWWR hereunder, City agrees to pay to FWWR within thirty (30) days of demand an administrative fee in the amount of Three Thousand Five Hundred Dollars ($3,500.00) to cover FWWR's internal administrative costs incurred for each occurrence when one of City's contractors comes on or about FWWR's property hereunder without having first executed and delivered to FWWR a TROE. It is further agreed that the execution of this Agreement shall not constitute a waiver by FWWR, with respect to third party claims asserted against the City and the City's contractor(s) and subcontractor(s), of any defense allowed by law. The terms of this Agreement and all rights and obligations hereunder shall be governed by the laws of the State of Texas. Grantee shall, at its expense, comply with all applicable lags, regulations, rules and orders regardless of when they become or became effectivu, including, without limitation, those relating to health, satety, noise environmental protection, waste disposal, and water and air quality, and furnish satisfactory evieence of such compliance upon request of Railroad. Should any discharge, leakage, spillage, emission or pollution of any type occur upon or arise from the premises covered hereunder as a result of Grantee's use, presence, operations or exercise of the rights granted hereunder, Grantee shall, at its expense, be obligated to clean all property affected thereby, whether owned or controlled by Railroad, or any third person, to the satisfaction of Railroad (iiaofar as the property owned or controlled by Rail- road is concerned) and any governmental body having jurisdiction in the matter. Railroad may, at its option, clean Railroad's premises; if Railroad elects to do so, Grantee shall pay Railroad the cost Of such cleanup promptly upon the receipt of a bill therefor. Gran- tee agrees to invest gate, release, indemnify and defend Railroad from and against all liability, cost and expense (including, without limitation, any fines, penalties, judgments, litigation costs and attorney fees) incurred by Railroad as a result of Grantee's breach of this section, or as a result of any such discharge, leakage, spillage, emission or pollution, regardless of whether such liabil- ity, cost or expense arises during the time this indenture is in effect or thezeafter, unless such liability, crest or expense is proximately caused solely and exclusively by the active negligence of Railroad, its officers, agents or employees. 9. As part consideration, Grantee agrees to pay Railroad an amount equal to any and all assessments which may be levied by order of any authorized lawful body against the property of Railroad (and which may have been paid by Railroad) to defray any part of the cost or expense incurred in connection, with the construction of said structure upon said property commenced within one (1) year from the date first herein written. 10. Grantee, its agents and employees subject to provisions hereof, shall have the privilege of entry on said property for the Purpose of k"ekiRVx reconstructing, maintaining and making necessary repairs to said structure. Grantee agrees to give [railroad five (5) days' written notice prior to commencement of any work on said structure, except emergency repairs, in which event Grantee shall notify Railroad's authorized representative by phone. In the eve -it any work upon or in connection with said structure or its appurtenances, to be done upon or adjacent to the tracks and property of Railroad, should be let to a contractor by Grantee, such work shall not be begun until such contractor shall nave first entered into an agreement with Railroad,, satisfactory to Railroad, and indvkMn:,tying Railroad from and against all, claims, liability, cost and expense growing out of the performance of the work to be done by sac: contractor. 12. Insofar as it lawfully may, Grantee agrees to investigate, release, defend and indemnify Railroad, its officers, employees, agents, agents, successors and assigns, from all claims, liability, cost and expense howsoever same may be caused, including reasonable attorney fees, for 1098 of or damage to property and for injuries to or death of persons arising out of the I reconstruc- tion, maintenance, presence, use or removal of said structure,regardless of any negligence or alleged negligence, active, passive cr otherwise, on the part of Railroad employees. The word 'Railroad" as used in this section shall be construed to include, in addition to Railroad, the successors, assigns and affiliated companies of Railroad and any other railroad company that may be lawfully operating upon and over the tracks' crossing or adjacent to said structure, and the officers and employees thereof. 13. Should Grantee, its successors or assigns, at any t.iae abandon the use of said property, or any part thereof, or fail at any time to use the same for the purpcSe contemplated herein for a continuous period of one (1) year, the right herby given shall cease to the extent of the use so abandoned or discontinued, and Railroad shall at once have the right, in addition to, but not in qualifica- tion of, the rights hereinabove reserved, to resume exclusive posses- sion of said property or the part thereof the use of which is so discontinued or abandoned. Upon termination of the rights and privileges hereby granted, Grantee, at its own cost and expense, agrees to remove said structure from said property and restore said property as nearly as practi- cable to ,the same state and condition in which it existed prior to the construction of said structure. This indenture shall inure to the benefit of and be bind- ing upon the successors and assigns of the parties hereto.
