ADDENDUM NO.2 AND RENEWAL 4 TO
CITY SECRETARY CONTRACT NO. 53303
SYSTEM SUPPORT AGREEMENT
This Addendum and Renewal is executed by and between the CITY OF FORT
WORTH ("City"), a home -rule municipality, with its principal place of business at 200 Texas
Street, Fort Worth, Texas, and BAKER & TAYLOR, LLC ("Vendor"), a Limited Liability
Company. City and Vendor shall be referred to individually as a "Party" and collectively as
"Parties."
WHEREAS, on December 19, 2019, Parties previously entered into City Secretary
Contract 53303 ("Agreement");
WHEREAS, Agreement was executed for Vendor to provide books, materials and
collection development and management services to the Fort Worth Public Library ("Library");
WHEREAS, Agreement was amended on May 12, 2020 to include the Vendor's
Sustainable Shelves Program among other collection analysis tools listed in the Statement of Work
(City Secretary Contract 53303-A1);
WHEREAS, Agreement was amended on June 9, 2020 to include the OCLC Online, Inc.
third party license agreement for bibliographic processing services (City Secretary Contract
53303-A2);
WHEREAS, Agreement addendum executed on October 18, 2022 to adjust cost for labor
and/or materials at the time of renewal (City Secretary Contract 53303-AD 1R3);
WHEREAS, Agreement allows for renewals under the same terms and conditions for up
to four (4) one-year renewal options, upon mutual agreement of the parties;
WHEREAS, Parties previously exercised three one-year renewal options, the most recent
being CSC No. 53303-AD1R3;
WHEREAS, current term of the Agreement expires on November 5, 2023;
WHEREAS, Parties now wish to renew the term of Agreement for continued services
pursuant to the original Agreement for the final renewal year option, specifically from November
6, 2023 to November 5, 2024;
NOW, THEREFORE, Parties acting herein by and through their duly -authorized
representatives, enter into the following agreement to renew the contract.

ADDENDUM TO AGREEMENT
The attached renewal letter to the City from the Vendor dated July 14, 2023 provides for
a 2.5% increase in prices for cataloging and pricing.
2.
RENEWAL OF AGREEMENT
The term of Agreement is hereby renewed for an additional year to begin on November 6,
2023 and expire on November 5, 2024, unless terminated earlier in accordance with Agreement.
3.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of Agreement which are not expressly amended herein shall remain in
full force and effect.
4.
ELECTRONIC SIGNATURE
This Addendum and Renewal may be executed in multiple counterparts, each of
which shall be an original and all of which shall constitute one and the same instrument.
A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be
treated as and shall have the same effect as anoriginal.

RE: Renewal 4 to City Secretary Contract No 53303
Dear Mr. Shidal,
Baker & Taylor will be pleased to extend subject solicitation for the proposed additional one-year period and would like
to continue servicing the Library under this agreement. However, we would like to propose adjustments to our pricing
with the upcoming renewal term, as allowed by the escalation clause included in the original agreement that states the
following:
29.0 ESCALATION Any requests for price adjustments must be submitted thirty days prior to the agreement renewal date.
Justification for the requested adjustment in cost of labor and/or materials must be accompanied by appropriate documentation.
Escalation shall not exceed the increase in the U.S. Department of Labor (Bureau of Labor Statistics) Consumer Price Index for Urban
Consumers. Increases shall be provided in writing to the Collection Management Division prior to any adjusted invoicing submitted
for payment.
Over the last year, the U.S. Department of Labor (Bureau of Labor Statistics) Consumer Price Index for Urban Consumers
has increased by 2.6S%. We would like to propose increasing the prices for cataloging and processing fees as outlined in
the contract by 2.5%. Please let us know if the City would agree to these proposed changes for the upcoming renewal
term to begin in November 2023.

Please let us know what additional documentation you may need and what our next steps should be in terms of making
price adjustments for the upcoming renewal term.
