THIS AMENDMENT to City of Fort Worth City Secretary Contract Number 24692 and Amendment 1
(25295) is by and between the City Of Fort Worth, a municipal corporation of Tarrant and Denton Counties, Texas
(hereinafter called "Owner"),acting by and through Mike Groomer, its duly authorized Assistant City Manager, and
Austin Commercial, Inc. (hereinafter called "Construction Manager" or "Manager") acting by and through its Vice
President Steve Warnick.
WITNESSETH:
WHEREAS, the Owner intends to construct the Fort Worth Convention Center Phase 1 Expansion, (the
"Project"), in the City of Fort Worth, Texas, to be built according to the Plans and Specifications prepared and/or
assembled by Construction Manager through Carter and Burgess,Inc.;and
WHEREAS, the City Council of the City of Fort Worth, Texas, authorized the City Manager to enter into
an agreement (City Secretary Contract Number 24692 as amended by City Secretary Contract Number 25295
(hereinafter referred to as "PM Agreement") with Manager for Project Management Services and Design Services
for the Project;and
WHEREAS, pursuant to such PM Agreement, Construction Manager has heretofore been providing
professional services to Owner in development of plans, specifications, schedules and budgets for the Project;and
WHEREAS,the City desires for additional design work to be accomplished to add scope to the project.
NOW, THEREFORE, Owner and Manager, in consideration of the foregoing, and the terms and conditions
herein contained, do hereby amend City of Fort Worth City Secretary Contract Number 26492, as amended, to
include the following:
Article 1:Additional Scope of Services
1.1 Provide designs for the addition of a Grand Entrance to the Ball Room.
1.2 Prepare concept plans for Phase 11 of the project to include expansions on the west side of the Convention
Center,and
1.3 Contract with Mr. Philip Johnson for the preparation of a Master Plan for the incorporation of the Water
Gardens into the Project.
Article 2:Additional Compensation
2.1 Compensation shall not exceed$413,987 as outlined in the attached letter dated March 22,2000, which is
made a part of this Amendment.
2.1.1 Design of Grand Entrance(Carter and Burgess) $300,000
2.1.2 Partial Schematic Design for Phase II(Carter and Burgess) $101,987
2.1.3 Master Plan update for Water Garden(Philip Johnson) $12,000
Article 3: Minority and Women's Business Enterprise
3.1 In accordance with City of Fort Worth Ordinance No. 11923 as amended by City of Fort Worth Ordinance
No. 13471, Owner has goals for the participation of minority and women business enterprises (M/WBE).

Construction Manager acknowledges the M/WBE goal of 26 % established for this Amendment and its
commitment to meet that goal. Any misrepresentation of facts (other that a negligent misrepresentation)
and/or the commission of fraud by Construction Manager may result in the termination of this amendment
and debarment from participating in City of Fort Worth contract for not less than three years.
All other terms, conditions, and covenants contained in City Secretary Contract Numbers 24692 and 25295 not
amended hereby continue in full force and affect.
IN WITNESS WHEREOF, Owner has caused this Agreement to be signed in its corporate name by its Assistant
City Manager,duly authorized to execute the same in its behalf by Mayor and Council Communication No. C-18049
approved by the City Council on May 30, 2000 and Austin Commercial, Inc. has signed by and through its duly
authorized Vice President, thereby binding the Parties hereto, their successors, assigns and representatives for the
faithful and full performance of the terms and provisions hereof.

Dear Hugo:
This letter Is a request to Increase contract#25295 by$413,987. The change
represents design fees for the following:
a South Addition (plaza and ballroom entrance/prefunction)—Carter+ Burgess
$300,000 (fixed fee)
a Water Garden Master Plan—Philip Johnson/Alan Ritchie ($12,000 not to
exceed).
Partial Schematic Design Phase It— Carter+ Burgess $101,987(fixed fee)
The above fees are consistent with previously negotiated fees. The partial Schematic
Design fee Is not an addition to phase II fees; it is a part of phase II fees and therefore
will be credited to the project should Carter+ Burgess be awarded the Phase II design.

SUBJECT SECOND AMENDMENT TO AGREEMENT WITH AUSTIN COMMERCIAL, INC. FOR
PROFESSIONAL SERVICES FOR ADDITIONAL PLANNING AND DESIGN SERVICES
FOR EXPANSION OF THE FORT WORTH CONVENTION CENTER
RECOMMENDATION:
It is recommended that the City Council approve Amendment No. 2 to the agreement with Austin
Commercial, Inc. for the provision of additional design services for expansion of the Convention Center
for an additional fee of $413,987.
DISCUSSION:
Austin Commercial, Inc. was selected by the City Council to provide planning services for the
Convention Center (City Secretary Contract No. 24692).
Amendment No. 1 (City Secretary Contract No. 25295) provided for detailed design and preparation of
bid documents for the expansion. The City Council reviewed the preliminary detailed design and
expressed the intent to further address the south end of the Convention Center (ballroom) which was
beyond the original scope as amended.
Austin Commercial, Inc. has requested additional funds for design of the expanded area of the south
addition ($300,000), the study of the Convention Center relationship to the Water Gardens ($12,000),
and preparation of a partial schematic design for Phase II ($101,987). These fees, totaling $413,987,
are recommended for approval.
Austin Commercial, Inc. is in compliance with the City's M/WBE Ordinance by committing to an
additional 26% M/WBE participation on this amendment. The City's goal on this amendment is 26%.
FISCAL INFORMATION/CERTIFICATION:
The Finance Director certifies that funds are available in the current capital budget, as appropriated, of
the Public Events Fund.
