LICENSE AGREEMENT This agreement is entered into on September 15, 2000, between the City of Fort Worth (the "City"), a home-rule municipal corporation in Tarrant County, Texas by and through its duly authorized Assistant City Manager, Ramon Guajardo, and Emma Cordova ("Cordova"). Cordova owns a piece of property known as a portion of Lots 4 and 5, Block 58, North Fort Worth, Townside Subdivision, as recorded in Volume 106, Page 54, Plat Records, Tarrant County, Texas, and also being a portion of a certain lot or parcel of land as conveyed to Emma Cordova by deed recorded in Volume 12674, Page 1086, Deed Records, Tarrant County, Texas ("Property"). For and in consideration of$7,600.00 and other good and valuable consideration paid by the City, the receipt of which is hereby acknowledged, Cordova grants to the City a five (5) year license ("License") for the use of a portion of the Property as specifically described in the attached and incorporated Exhibit"A" ("License Area"). This License shall be for a term of five (5) years ("Term") beginning September 15, 2000 and ending September 14, 2005 with no automatic extension; however, the City may request an extension in writing to Cordova 60 days prior to the expiration of the License. The License may be extended upon mutual agreement in writing signed by the City and Cordova. City may use the License Area to construct a pedestrian walkway as designed and specifically described in the attached and incorporated Exhibit "B", sod the remainder of the License Area and provide an irrigation system to the License Area (together as "Improvements"). The License Area shall include the surface of the five-foot storm drain easement ("Easement") granted by Cordova to the City. The Easement is recorded in Volume 14505, Page 0057 of the Deed Records of Tarrant County. Texas. It is specifically understood and agreed that if the use of Cordova License l 7 _ . the License Area in the License conflicts with the terms governing the use of the surface of-the Easement as stated in the Easement, the License shall control for the Term and any extension of the License. Unless specifically stated herein, this License shall not affect the terms of the Easement. The City shall be responsible for the construction, repair, maintenance and reconstruction of the Improvements in the License Area during the Term at the City's sole cost provided that the License is not terminated earlier during the Term. To the extent permitted by law and without setting aside sums in trust to pay the same, the City shall indemnify and hold Cordova harmless from any suits, liabilities, claims, demands or damages arising from the City's use of the License Area during the Term or any extension; provided however, the City shall have no liability or obligation to indemnify and hold Cordova harmless with respect to any injury or damage to person or property resulting from the sole negligence of Cordova. Cordova may terminate the License during the Term under the following conditions: If Cordova intends to terminate the License within the Term or sell the Property during the Term therefore causing the License to terminate, Cordova shall give the City 30 days written notice to terminate the License (before the sale of the Property if a sale is contemplated) and shall reimburse the City immediately for the cost of the improvements according to the amortization schedule in the attached and incorporated Exhibit "C". Thereafter, Cordova shall assume all responsibilities of maintenance, repair and reconstruction of the Improvements at her own cost. Further, Cordova shall indemnify, release and hold the City harmless from any damage or injury arising out of the License Area after the termination of the License. The City shall not be liable for any damage or injury arising out of the License Area after the termination of the License. 7-777 ----� U Cordova License 2 Cordova may use the License Area during the Term from time to time provided Cordova shall not interfere with or prevent the City's use and enjoyment of the License Area or in anyway damage or cause to be damaged the Improvements in the License Area. All notices required or permitted under this License by either party to the other shall be in writing and may be effected by personal delivery or registered or certified mail, return receipt requested, addressed as follows: City of Fort Worth 1000 Throckmorton Street Fort Worth, TX 76102 Attention: Emma Cordova Either City or Cordova may change the address to which notice shall be sent by giving notice of such change to the other party in accordance with this provision. The City may not assign this License in whole or in part without the prior written consent of Cordova.
