HomeMy WebLinkAboutContract 26380 CITY SECRETSRY CONTRACT NC), AGREEMENT STATE OF TEXAS Tarrant County CSJ No. 8648-02-011 COUNTY OF TARRANT ROW Account 6002-50-07 Parcel 44 This agreement by and between the State of Texas, acting by and through the Texas Department of Transportation (hereinafter called "State") and the City of Fort Worth acting by and through its duly authorized official under Ordinance dated J&4, day of & pawc (hereinafter called "City") shall be effective on the date of approval and execution by and on behalf of the State. WHEREAS. the State and the City have entered into that certain Contractual Agreement for Right of Way Procurement dated January 14, 1998, as supplemented by that certain Supplemental Contractual Agreement for Right of Way Procurement dated January 14,1998, (together referred to herein as "Procurement Contract")whereby the State deemed it necessary to make certain improvements to Rosedale St. from Forest Park Blvd. to South Main Street ("Rosedale PASS Project"), and the City and State agreed to share certain costs of the Rosedale PASS Project, including but not limited to, all costs of right of way acquisition; and WHEREAS, in connection with the Rosedale Project, the State has deemed it necessary to acquire a portion of that certain parcel of land owned by the City and improved with a fire station. Said portion of needed property is described on Exhibit "A" attached hereto (hereinafter called the "Property"); and WHEREAS, after the acquisition of the Property, the City will still own a substantial remainder parcel as described an Exhibit "B" attached hereto (hereinafter called the "Remainder"); and WHEREAS, in order to proceed expeditiously with the project involving improvements on the C, Rosedale PASS Project the State is willing to arrange to pay for one-half of the purchase or construction of a substitute fire station facility, less the value of any Betterments, as defined herein, and less the value of the Remainder; and WHEREAS, the City has identified a new site for a substitute fire station to be constructed, said new site being described on Exhibit "C" attached hereto (hereinafter called "New Site"); and Z� WHEREAS, the City has acquired an option for the New Site and wishes to exercise the option: NOW THEREFORE, for and in consideration for the City's conveyance of the Property to the State, and the State's reimbursement of one-half of the purchase price of the New Site and one- half the actual costs of the construction of the substitute fire station, less any costs of Betterments and less the value of the Remainder, and the mutual covenants and agreements set forth below, the City and the State agree as follows: L Purchase of New Site and Construction of Substitute Fire Station A. Purchase of New Site. Upon the execution of this Agreement by the State, City will exercise its option to purchase the New Site for the estimated sum of$200,000. The City agrees that the New Site is adequate for its needs and purposes to construct a fire station to replace the fire station located on the Property and the Remainder. The City will be responsible for obtaining title insurance for be New Site at the City's expense if it so desires. If City is successful in contracting for the purchase of the New Site, the State will reimburse to City one-half of the actual final negotiated contract purchase price, less the sum equal to the value of the Remainder. If the City is unsuccessful in purchasing the New Site,within 120 days, then this Agreement shall automatically terminate without further action. The parties hereto agree that the value of the Remainder is approximately S140,000. B. Construction of Substitute Fire Station. The City will construct a substitute fire station on the New Site as provided in this Agreement. The City will contract with an architect of City's choice to develop construction plans for the fire station improvements to be located on the New Site, and to develop an estimation of construction costs thereof. City shall submit the construction plans and cost estimations to State for review and approval. The State, in its sole discretion, will review the plans and cost estimations to determine to what extent, if any, the design and/or construction exceed the required specifications, as defined herein. All costs attributable to any such excess design and/or construction as determined by State in its sole discretion ("Betterments") will be the sole responsibility of the City. After the City has received the State's written approval of the plans and cost estimations, and authorization for commencement of construction, the City will contract for construction of the substitute fire station. The State, its employees and/or representatives, have the right to inspect work on the New Site at any time during the progress of the construction of the substitute fire station, and to make a final inspection upon completion. The City will notify the State in writing of any and all change orders for the construction of the fire station. The City acknowledges and agrees that loss or damage to the New Site and/or the substitute fire station for any reason shall be at the risk of the City. The City agrees until completion of the construction of the substitute fire station, and conveyance of the Property to the State, to maintain casualty insurance in amounts and forms acceptable to State. The City agrees that the State will not be liable to the City for any expense due to the destruction and/or reconstruction of the substitute fire station resulting from fire, flood, accident or other events. Construction of the substitute fire station shall be deemed completed upon installation and connection of the electric meter. For the purposes of this agreement, the following definitions apply: Betterments: Added function or capacity that was not present in the original facility. Excess Design: Features not necessary to the operation of the station. Required Specifications: A facility sized to provide all of the functions present in the original I facility, including additional features necessary to meet present codes and regulations such as ADA, landscaping codes, or fire codes. For the purposes of review, "Required Specifications" will be in accordance with"Safety and Health Considerations for the Design of Fire and 2 Emergency Medical Services Stations", FA 168, May 1997,FEMA, United States Fire Administration. C. Reimbursement Payments. The State will reimburse the City in accordance with this Agreement for one-half of the actual construction costs of constructing (including actual construction and design costs) a substitute fire station facility on the New Site; provided however, the State's contribution is limited to a fire station adequate to comply with reasonable applicable industry standards, and any applicable laws, ordinances, and regulations relating to minimum requirements and specifications for fire stations ("Required Specifications"). Periodic reimbursements to the City from the State for one-half of the construction costs of the substitute fire station, less any Betterments, shall be paid within 60 days after receipt of written requests together with paid invoices from the City. Unless the parties agree to the contrary, requests for reimbursement shall be made by the City monthly. The final reimbursement payment shall be due and payable within 90 days after completion of the construction. H. Sale to State of Property The City will convey fee simple title by General Warranty deed for the Property to the State upon the completion of the substitute fire station on the New Site. The title to the Property will be subject to only the items as reflected on Exhibit"D" attached hereto. Until final reimbursement payment is made by the State, and the deed,to the Property is delivered to the State, title and possession of the Property remains with the City and the City shall bear all risk of loss to the Property. The State will be responsible for obtaining title insurance for the Property at the State's expense if it so desires. The City agrees that the State, its employees, consultants, and contractors may enter upon the Property prior to the conveyance of the Property to the State for the purposes of preparing field surveys, and to gather data for an Environmental Site Assessment Phase I in order to perform a visual site inspection of the Property to determine the possibility of hazardous substances, if any. HI. Miscellaneous A.Total Reimbursement Amount from State. Notwithstanding any provision herein to the contrary, the total sum that will be required to be paid by the State for the purchase of the Property and for the New Site and substitute fire station to be located thereon is equal to one-half of the purchase price of the New Site, plus one-half the actual construction costs of the substitute fire station, less the value of the Remainder and less any Betterments. B. Amendment to be Executed. The parties hereto agree to execute an amendment to this Agreement upon completion of the following for the purpose of setting forth the purchase price of the New Site, the value of the Remainder, the costs of the substitute fire station less any Betterments, and for attaching Exhibit D conceming title matters for the Property- (1) City has executed a contract for the New Site; (2) the remainder has been appraised by State at State's expense, and State has approved the value; (3)) the City's architect has provided a written estimation of total costs for the design and construction of the substitute fire station and State has reviewed such estimate and deducted any Betterments; and(4) State has obtained a commitment for title insurance for the Property which is acceptable to State, SUCH ANLIENDNIENT TO 3 THIS AGREEMENT MUST BE SIGNED PRIOR TO THE DELIVERY OF ANY REIMBURSEMENT SUMS TO THE CITY FROM THE STATE. C. Approvals and Inspections by State. Any approvals and/or inspections by State under this Agreement. including but not limited to approvals of plans and specifications, inspection of work,design and/or construction are not to be construed as a representation,warranty or statement as to (1) the quality, soundness and/or safety of the facilities related thereto nor(2) that the plans, specifications, design,work and/or construction are in compliance with all applicable statutes, codes, ordinances and other regulations including but not limited to the Americans With Disabilities Act or related Texas statute. D.Entire Agreement. This Agreement and the Procurement Contract constitute the entire agreements of the parties, supersedes any prior understandings or written or oral agreements concerning the Property, the New Site and the substitute fire station, and can be modified or varied only by a written instrument subscribed to be both State and City. DISCUSSION: The widening of West Rosedale Street to a 6-lane divided boulevard from Forest Park Boulevard to South Main Street will necessitate the relocation of Fire Station No. 8 located at 1301 West Rosedale Street. An agreement has been prepared by TxDOT and the City of Fort Worth that outlines the basic framework for the functional replacement of Fire Station No. 8. The agreement sets forth the total reimbursement amount from the state to be one-half (1/2) of the purchase price of the new property, plus one-half (1/2) of the actual design and construction costs of the new fire station, less the value of the remainder of the old property and less any betterments. The agreement has been structured in order to execute an amendment to the agreement at a later date to finalize the purchase price of the new property, the actual design and construction costs of the new building, the value of the remainder of the old property, and the value of any betterments. The amendment would be brought to the City Council for approval. The amendment must be executed prior to the delivery of any reimbursement sums to the City from the state. The City anticipates the new fire station to be located in the southeast quadrant of the 12th Avenue and West Rosedale Street intersection. A preliminary site plan of the new fire station and construction cost estimate is shown as Exhibit "C" in the agreement. On November 27, 1990 (M&C G-8921), the City Council approved TxDOT Minute Order No. 90822 for the construction of West Rosedale Street from Forest Park Boulevard to IH-35W. On October 14, 1997 (M&C C-16378), the City Council approved an agreement with TxDOT for right-of-way acquisition on West Rosedale Street from Forest Park Boulevard to South Main Street. TxDOT is approximately 80% complete with right-of-way acquisition and has acquired 54 parcels and condemned 28 parcels. TxDOT anticipates a letting of construction for West Rosedale Street from Forest Park Boulevard to South Main Street in August 2001. This project is located in COUNCIL DISTRICT 9.
