HomeMy WebLinkAboutContract 60121Date Received: 9/18/2023 Permit No.: SWFMA-23-0026 Time Received: 1:22 p.m. City Secretary No.: 60121 STORMWATER FACILITY MAINTENANCE AGREEMENT THIS AGREEMENT, made and entered into this 18th day of September 2023 , by and between FW Bonds Ranch Public Facility Corporation, a Texas public facility corporation, hereinafter referred to as "Landowner", and Inspire Homes Bonds Ranch. LLC, a Delaware limited liability company, hereinafter referred to as "Developer", and the City of Fort Worth, hereinafter referred to as "City". WITNESSETH WHEREAS, the Landowner is the owner of certain real property described as a tract of land situated in the Josiah Walker Survey, Abstract No. 1600, Tarrant County, Texas according to the deed recorded in Instrument No. D223149493, Deed Records, Tarrant County, Texas, hereinafter called the "Property". WHEREAS, the Landowner has granted a 99-year ground lease of the Property to the Developer; WHEREAS, the Developer is proceeding to build on and develop the Property according to the Site Plan/Subdivision Plan known as Bonds Ranch Addition, hereinafter called the "Plan", which is expressly made a part hereof, as approved or to be approved by the City and the Landowner provides for management of storm water within the confines of the Property; and WHEREAS, the City, Landowner, Developer and their respective successors and assigns, agree that the health, safety and welfare of the residents of the City of Fort Worth, Texas require that on -site Stormwater Management Facilities be constructed and maintained on a portion of the Property; and STORMWATER FACILITY MAINTENANCE AGREEMENT Rev. 03/01/2022 BN OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX WHEREAS, the City requires that on -site Stormwater Management Facilities ("Facility") as shown on the Plan be constructed and adequately maintained by the Developer, its successors and assigns, the location and dimensions of which is shown and more particularly described by metes and bounds in the attached Exhibit "A" ("Facility Property"); and WHEREAS, the Landowner and Developer acknowledge that this Agreement will run with the Property and if the Lease was ever to expire or terminate, the Landowner acknowledges the responsibilities within this Agreement currently designated to the Developer would then revert back to the Landowner during its period of ownership; WHEREAS, the parties agree that for the purpose of this Agreement, the liable party herein will be the Developer, for so long as the Developer is the Tenant of Landowner on the Property, or the Landowner and its successors or assigns if the lease of the Property to Developer terminates. NOW, THEREFORE, in consideration of the foregoing premises, the mutual covenants contained herein, and the following terms and conditions, the parties hereto agree as follows: 1. The Developer its successors and assigns, shall adequately construct and maintain the on -site Stormwater Management Facility ("Facility") at no expense to the City of Fort Worth in accordance with the design specifications for the Facility, attached as Exhibit `B", and the current standards then in force and effect in the City of Fort Worth and with the Operations and Maintenance Plan attached to this Agreement as Exhibit "C". The Stormwater Facility includes all pipes, channels or other conveyances built to convey Stormwater to the facility, as well as all structures, improvements, and vegetation provided to control the quantity and quality of the Stormwater. Adequate maintenance is herein defined as good working condition so that these facilities are performing STORMWATER FACILITY MAINTENANCE AGREEMENT 2 Rev. 03/01/2022 BN their design functions. The Stormwater Structural Control Maintenance Checklists, attached to this Agreement as Exhibit "D", are to be used to establish what good working conditions are acceptable to the City. 2. The Developer, its successors and assigns, shall inspect the Facility and submit an inspection report to the City annually. The purpose of the inspection is to ensure safe and proper functioning of the Facility. The inspection shall cover the entire Facility, berms, outlet structure, pond areas, access roads, etc. Components of the Facility, which need maintenance or replacement to perform their design function, shall be noted in the inspection report along with the corrective actions to be taken. 3. The Landowner and Developer, and their respective successors and assigns, hereby grant permission to the City, its authorized agents and employees, to enter upon the Property and to inspect the Facility Property whenever the City deems necessary. The purpose of inspection is to follow-up on reported deficiencies and/or to respond to citizen complaints. The City shall provide the Developer, its successors and assigns, copies of the inspection findings and a directive to commence with the repairs if necessary. 4. In the event the Developer, its successors and assigns, fails to maintain the Facility in good working condition as specified herein, the City, its authorized agents and employees, may enter upon the Facility Property and take whatever steps necessary to correct deficiencies identified in the inspection report and to charge the costs of such repairs to the Developer, its successors and assigns. It is expressly understood and agreed that the City is under no obligation to routinely maintain, or repair said Facility, and in no event shall this Agreement be construed to impose any such obligation on the City, such obligation is Develouer's. 5. The Developer, its successors and assigns, will perform the work necessary to keep the Facility in good working order as appropriate. In the event the City pursuant to this Agreement, performs work of any nature, or expends any funds in performance of said work for labor, use of equipment, supplies, materials, and the like, the Developer, its successors and assigns, shall reimburse the City STORMWATER FACILITY MAINTENANCE AGREEMENT 3 Rev. 03/01/2022 BN upon demand, within thirty (30) days of receipt thereof for all actual costs incurred by the City hereunder. In the event that Developer or its successors or assigns fail to pay the City for the costs incurred under this section, the City shall impress a lien for the costs of such work upon the Property owned by the Landowner. Such lien shall be perfected by filing in the office of the County Clerk of Tarrant County, Texas an affidavit identifying the property to be charged with such lien, stating the amount thereof, and making reference to this Agreement. 6. This Agreement imposes no liability of any kind whatsoever on the City. TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE DEVELOPER AGREES TO HOLD THE CITY HARMLESS FROM ANY LIABILITY IN THE EVENT THE FACILITY FAILS TO OPERATE PROPERLY. TO THE EXTENT PERMITTED BY APPLICABLE LAW, DEVELOPER COVENANTS AND AGREES AND DOES HEREBY INDEMNIFY, HOLD HARMLESS AND DEFEND THE CITY OF FORT WORTH, ITS AGENTS, SERVANTS AND EMPLOYEES FROM AND AGAINST ALL COSTS, EXPENSES, LOSSES, DAMAGES, CLAIMS OR CAUSES OF ACTION WHATSOEVER ARISING, OR WHICH MIGHT ARISE, FROM THE FAILURE OF DEVELOPER OR ANY FUTURE OWNERS OF THE ABOVE FACILITY PROPERTY TO MAINTAIN THE FACILITY, INCLUDING, BUT NOT LIMITED TO THE BED AND BANKS OF THE DETENTION POND; ANY DAMAGES CAUSED TO PERSON OR PROPERTY DUE TO (1) FLOODING OF THE POND AND ITS BANKS, (2) SLOPE FAILURE OF THE BANKS OF THE POND, OR (3) FAILURE OF THE POND OR ITS BANKS TO OPERATE IN A MANNER CONSISTENT WITH CITY OF FORT WORTH CRITERIA TO PERFORM ANY OTHER DUTIES OR OBLIGATIONS HEREUNDER. 7. Developer covenants and agrees that no habitable building shall be erected within the boundaries of the Property in which the Facility is located as outlined on Exhibit "A" but this paragraph shall not preclude construction of STORMWATER FACILITY MAINTENANCE AGREEMENT 4 Rev. 03/01/2022 BN other improvements within the boundaries of the Property in which the Facility is located, which do not impede drainage. Developer covenant and agree that no habitable building shall be erected on the above property abutting such boundaries of the Property in which the Facility is located, which shall have a finished floor at an elevation less than two feet above the maximum depth of water in the detention pond which would occur during a 100-year frequency flood. 8. This Agreement shall be recorded among the land records of Tarrant County, Texas, shall constitute a covenant running with the land, and shall be binding on the Developer and Landowner, their respective administrators, executors, assigns, heirs and any other successors in interests, including any property owner's association. Upon termination of the Lease for the Property between the Developer and Landowner, any responsibilities under this Agreement currently designated to the Developer will automatically become the Landowner's, or its successors or assigns, responsibilities. General Maintenance Procedures The structural and functional integrity of the Facility shall be maintained at all times by removing and preventing drainage interference, obstructions, blockages, or other adverse effects into, through, or out of the system. Periodic silt removal shall occur when standing water conditions occur or the pond's storage volume is reduced by more than 10%. Silt shall be removed and the pond/basin returned to original lines and grades shown on the approved engineering plans. In addition, corrective measures are required any time a basin does not drain completely within 72 hours of cessation of inflow. NO STANDING WATER IS ALLOWED in basins designed for dry detention purposes. Accumulated litter, sediment, and debris shall be removed every 6 months or as necessary to maintain proper operation of the basin. Disposal shall be in accordance with federal, state and local regulations. Detention facilities shall be mowed monthly between the months of April and October or anytime vegetation exceeds 12-inches in height. To prevent debris from entering and clogging the downstream storm sewer system a wire mesh screen or similar screening device shall be installed over the outlet until final acceptance. 4. PREVENTIVE MAINTENANCEANSPECTION • Visual inspections of all components will be conducted every 6 months. • A log shall be kept of maintenance actions, and inspections. The log should document the condition of the detention system's primary components, mowing, and silt, litter and debris removal dates. Document aeration of the basin bottoms and replanting to prevent the sealing of the basin bottom. • Written maintenance and repair records shall be maintained by the party or parties signing the attached Agreement and shall be provided to the City upon request. Paying attention to the following items will greatly reduce the propensity for problems: 1. Always maintain proper moisture content in the vicinity of the retaining wall including: a. Too little water can cause soils around the wall to shrink, causing contraction in the soil and subsequent cracks in the retaining wall. b. Too much water may cause hydrostatic pressure build-up behind the wall, which is the leading cause of failures. i. Never allow water to pool above or below the wall. Positive drainage should always occur in the vicinity of the retaining wall. ii. Always keep weep holes or French drains free and clear of debris. Clogged or blocked weep holes can lead to hydrostatic pressure build-up behind the wall. As seen in item "i", this should never be allowed to happen. So, keep an eye on the following: 1. Broken irrigation lines or heads can add massive amounts of water to soil rapidly and should be repaired immediately. 2. Gutter downspouts can cause erosion to occur behind the wall and saturate the retaining wall backfill material. Where possible, downspouts should be piped through the wall. 3. Area drains should always be maintained and kept free and clear of debris. 2. Never remove downhill soils (dirt below the wall) or change the steepness of the slope below the wall without consulting with your retaining wall contractor, the wall engineer or the geotechnical engineer of record. a. Typically, the slope below the wall should not exceed 25% (or max. 1' of fall in 41.£). As such, any removal of dirt below the wall or "steepening" of the slope could cause a sliding failure and should never be done. b. Erosion at the toe (bottom) of wall can do the same thing. Over time, if a large amount of water is going over the top of the way in a single location, then erosion can occur where the water hits the dirt grade at bottom of wall. Never add any new structures within two (2) times the height of a retaining wall without consulting your wall contractor. For example, don't install a building, road or other structure within 10' of a 5' tall wall, or within 20' of a 10' wall. This is a good rule of thumb and is used to avoid placing a surcharge (load) on the wall that it wasn't designed to carry. 4. There is no way to outline every possible item that can have a detrimental impact on the retaining wall. However, paying attention to the following bullets will greatly reduce the propensity for problems: 1. Always maintain proper moisture content in the vicinity of the retaining wall including: a. Too little water can cause soils around the wall to shrink, causing contraction in the soil and subsequent cracks in the retaining wall. b. Too much water may cause hydrostatic pressure build-up behind the wall, which is the leading cause of wall failures. When water is allowed to infiltrate soils above the wall (the area that is being retained by the wall), it can cause the soil to be twice its normal weight. Since most retaining walls aren't designed for this much weight, they are likely to fail. To avoid this, the following should be done: i. Never allow water to pool above or below the wall. Positive drainage should always occur in the vicinity of the retaining wall. If the original grading scheme was designed to allow water to surface drain over the top of the wall, then it is critical that the dirt grade above the wall matches the top of the wall elevation (ie... over time, settlement of the soils can occur which causes the dirt grade to fall below the top of the wall. When this happens, water cannot flow over the top of the wall and will pool above the wall. This forces water into the soil and causes hydrostatic pressure build-up which should never occur. 2. If the original grading scheme was designed to keep the water from going over the top of the wall and a swale is used to pick up water, then the swale should be maintained. Over time, these drainage swales can "silt -in" and water is not allowed to flow. Just as in example 1, you always want to have positive drainage and never let water sit in place. They are typically located 6" to 12" above grade (at the bottom of the wall) and 8' to 10' apart. 2. Check for rat's nests or other natural causes that might restrict or inhibit the weep holes ability to function. Confirm that your current weep holes are not covered up. Just because you didn't do it, there is no reason not to remedy the problem. However, keep in mind that some retaining wall systems may not have week holes (ie.. Cross -Ties and some Structural Concrete & Segmental Block walls which utilize a French Drain). In the case of the French Drain, it should be treated with similar respect. Be sure it is allowed to drain. iii. Broken Irrigation lines or heads can add massive amounts of water to soil rapidly. If this occurs, the irrigation system should be turned off immediately. Repairs should be made expeditiously, and the water should not be turned on until normal moisture content is achieved (ie... if a ponding situation occurs due to a broken sprinkler line and the repair is made, do not turn on the sprinkler system until the water has dissipated). iv. Gutter downspouts can cause erosion to occur behind the wall and saturate the retaining wall backfill material. 1. Where possible, downspouts should be piped through the wall. If not, keep a watchful eye on erosion caused by the force of the water coming out of the downspouts and repair as needed to avoid saturating the soils. 2. Another big item to keep an eye on is the pop-up drain. Many times they are tied into downspouts and only pop up when water is coming out of the downspout. They work well, when functioning properly. However, if the pop-up fails to work (ie... after being damaged or overgrown ground cover), then the pipe may break below the grade. This, of course, would force all downspout drainage directly into the ground which will over - saturate the ground. 3. Finally, be sure that downspouts are mechanically connected to underground pipe. If they become blocked, then water can pond and saturate the ground. 2. Another item to watch is the underground pipe attached to the area drain. In similar fashion to the pop-up drains, if the pipe is damaged, all surface water would then be piped directly into the ground. 2. Keep in mind, if you're limited on space and cannot avoid coming in close proximity to a retaining wall, then you should consider installing piers beneath the structure. This will transfer the loads of the building below the retaining wall and should allow the wall to function as intended. Since it is virtually impossible to outline every possible scenario that could have a negative impact on the retaining wall's ability to function as intended, common sense should always be considered, Once we understand these three items can have a major impact on the retaining wall (water, removal of downhill slopes, and structures that place a surcharge on the wall), then we need to consider any type of cursory item that may have an impact on these items. By that, we mean don't allow additional water sources to come onto your property. Watch out for changes in stream flows or creeks that may cause erosion to occur at the base of the wall. Act quickly at the first sign of these events and you greatly increase the chance of reducing costly repairs. It's much more cost effective to add a little rip -rap in an erosion area than to rebuild a failing retaining wall. Maintain ground cover to avoid erosion of soils around the retaining wall. Don't plant items that have large root systems in the vicinity of a retaining wall. This will cause problems with the retaining wall or remove excessive amounts of moisture from the surrounding earth.
